BE IT RESOLVED BY THE CIry COMMISSION OF THE CITY OF DANIA,
FLORIDA;
Secti n 1. That that certain Proposal submitted by Horwath Hospitality Consulting'
lnc. relating to development of Dania pier restaurant complex, copy of which is aftached
hereto as Exhibit "A", be and the same is hereby accepted and payment in an amount not
to exceed Fifteen Thousand Dollars ($15,000.00) is hereby approved.
Section 2. That this resolution shall be in force and take effect immediately upon
its passage and adoption.

Dear Mr. Flatlev
It was a pleasure speaking with you regarding the city of Dania's Dania pier, pier
restaurant and bair shop project. ln accordance with those discussions. we are pleased
to present this proposal for consulting services to assist you in this project. This letter
sets forth the background and objectives of our assignment, the scope of our work, timing
of the engagement and professional fees and conditions of the enga-oement.
Background and Objectives:
The city of Dania is currently constructing a new city fishing pier at Dania Beach. As part
of this project the city is seeking a restaurant developer/operator to construct and
operate a full-service restaurant and a related bait, tackle and sundry shop. Toward this
end the city advenised a Request For Proposal earlier this year seeking an operator for
the proposed faciiity A single proposal was received. your negotiations with this bidder
have not progressed at an acceptable speed and you desire to issue e new Request for
Proposal to attraci additional bidders. You have requested our assistance in preparation
of this new Request for Proposal.

To accomplish the cutlined objective, we have structured the scope of cur assignment asoutlined below. \\'e will:
conduct an overview analysis of the proposed pier project and identify comparable
operations
conduct an overview market analysis to be used in the preparaticn of the Requestfor Proposa .

$275 per hour
$175 per hour
Develop an executive summary format Request for Proposal document highlighting
the restauranubait shop development opportunity. This document would be
designed for preparation and distribution by City staff to interested
developer/operato rs.
Assrst in the identification of developer/operators of Florida, regional or national
multi-unit restaurants that may be suitable for development and operation of the
Dania Pier facility
Assist the City in conducting a proposer's conference or, if more appropriate based
on the number of potential proposers, a series of phone conferences to discuss
the development opportunity and requirements with potential proposers: and,
Assist the City in establishing evaluation criteria to be applied to the proposals and
assist in the conduct of initial screening of proposals to reduce the proposals to a
"short list" for further evaluation by and negotiations with City management.
Estimated Timing and Professional Fees
Hospitality consulting services are billed based on the actual amount of time spent in the
performance of the assignment. Based on the scope of the services proposed we
estimate that our fees for this assignment will range from $13,500 to $15,000.
We have budgeted for three meetings during the assignment. Preparations for and
attendance at any additional requested meetings and/or presentations will be charged
separately based on the actual hours of professional time expended at the standard
hourly billing rate of the professionals involved. Our rates are as follows:

Travel and related expenses, demographic and other data purchased, long-distance
phone charges, courier, FAX and other out of pocket expenses will be billed separately.
ln accordance with our standard firm policy for consulting assignments, we require a
retainer in the amount of $5.000 prior to commencement of the assignment: this retainer
will be applied to the final invoice. lnvoices will be rendered every two weeks as work
progresses.
Our fee estimate iS Subject to upward revision if problems are encountered that are
unforeseeable at the commencement of the engagement or if the work expands beyond
the scope indicated. ln this event, we will discuss the matter with you so that mutually

acceptable revision may be made
lf a decision is made to discontinue the project, our fees will be based on actual man
hours expended and oulof-pocket expenses incurred to date.
We will meet with you to establish the timetable for the completion of the various
components of the assignment in light of the needs of the City. We will schedule the
assignment upon receipt of the retainer and an executed copy of this engagement leter.
Based on our current schedule, we would be able to commence work within one - two
weeks of acceptance of our proposal.
Conditions of the Engagement
The following paragraphs express conditions and limitations which our flrm necessarily
states with any proposal of this nature. Please contact us if any items are not clear.
Our report will be based on estimates. assumptions and other information developed from
our research of the market, knowledge of the industry, and meetings with you, your
representatives and representatives of the developer/operator. The sources of
information and bases of the estimates and assumptions will be stated in the report. No
effort will be made to determine the legal and regulatory requirements applicable to the
restaurant and bait house, including zoning, other state and governmental regulations,
permits and licenses. Furthermore. no effort will be made to determine the possible effect
on the restaurant and bait house of present or future governmental legislation relating to
environmental or ecological matters or interpretations thereof, of resulting from energy
shortages or other major economic disturbances.
Further, we are not responsible for future marketing efforts and other management
actions upon whrch actual results will depend, and we will so state in our report.
The terms of this engagement will be such that we will have no obligation to revise our
report or estimated results (if any) to reflect events or conditions which occur subsequent
to the respective dates of completion of our field work for various tasks. However, we will
be available to discuss the necessity for revision in view of changes in the economic or
market factors affecting the restaurant and bait house.
Our report will be based on estimates and assumptions which are inheren y subject to
uncertainty and variation depending upon evolving events. some assumptrons inevitably
will not materialize and unanticipated events and circumstances may occur; therefore.
actual results achieved during any periods analyzed will vary and the variations may be
material. Our report will contain a statement to that effect, as appropriate.

Our report would be intended for your information and internal use. lt should not be usedfor any other purpose. Our report will contain a statement to that effect. Neither ourreport nor its contents, nor any reference to our Firm, may be included or quoted in anyoffering circular or registration statement, prospectus, sales brochure, loan or otheragreement or document without our prior written permission. Permission will be grantedonly upon meeting certain conditions. should you decide to include our report,summaries thereof, or reference thereto in any other document, we will need to perform
additional procedures and will require additional fees, computed at our customary hourlyrates for these services, to enable us to permit such use.
