ADLER, City AttorneY r-C roner Resolution No. 114 - 94 AGREEMENT THIS AGREEMENT, entered into on the - day of -, 1994, by and between the CITY OF DANIA, FLORIDA, hereinafter called the "OWNER' and R & G CONTRACTING, hereinafter called the "CONTRACTOR'. WITNESSETH: That the CONTRACTOR, for the consideration hereafter fully set out, hereby agrees with the OWNER as follows: ARTICLE I ARTICLE II ln accordance with the Bid Documents therefore to furnish at his own expense all labor, materials, tools and equipment needed to perform the services required by this Agreement and the Bid Documents for the amount of $103.670.00. The OWNER hereby employs said CONTRACTOR lo perform the work according to the terms of this Agreement, for the contiact amount and agrees to pay the same at the time, in the manner, and upon the conditions stipulated in the Bid Documents, and that said parties for themselves, their heirs, executors, administrators, successors, and assigns, do hereby agree to the full performance of the covenants herein contained. The CONTRACTOR further agrees that the "TOTAL SUM" price, as quoted in the Bid Documents remain firm for the duration of this Agreement, subject to approved chap$e orders. ARTICLE III Work shall begin 15 days from the date of this contract and shall be completed within 90 days. ARTICLE IV To the extent provided by law, CONTRACTOR agrees to indemnify and save OWNER harmless from all claims out of, or in any way connected with, the willful misconduct or negligence of the CONTRACTOR or its employees and to carry at its own expense a Policy of lnsurance acceptable to OWNER in an amount adequate to protect the interests of the OWNER from such action of the CONTRACTOR. CONTRACTOR further agrees to reimburse OWNER for court costs and other reasonable expenses, including attorney's fees incurred by OWNER in defending any action brought against OWNER for injury or damage claimed to have been suffered as a result of or in any way connected with CONTRACTOR'S willful misconduct or negligence or that of its employees. EXHIBIT ,.A" 1 That for, and in consideration of, the payments and agreements hereinafter mentioned, to be made and performed by the OWNER, the CONTRACTOR hereby agrees with the OWNER to commence and complete the work described as follows: BEACH RESTROOM RENOVATION, CONSTRUCTION OF FIRST AID STATIN AND RECONSTRUCTIN OF MULLIKIN PARK- as directed by the City and in full and complete accordance with the Bid Documents and the speciflcations incorporated herein. ARTICLE V The Performance Bond shall take effect at the commencement of this Agreement and shall terminate upon final acceptance by the City. The Maintenance Bond (100% of total project cost) shall commence on the date the project is accepted by the City and terminate one (1) year from the Acceptance Date. lN WTNESS WHEREOF, the parties to these present have executed this contract in three (3) counterparts, each of which shall be deemed an original, in the Year and Day first mentioned above.
