Dear Mr. Flatley:
Pursuant to your recent meeting with Mr. David Heath of our firm, we are pleased to submit this
proposal to provide The City of Dania (The City) with consulting services in connection with the
proposed restaurant and bait shop development on the Dania Pier. This letter outlines the services we
will undertake, the terms and conditions which will govern the engagement, and the professional fees
and expenses to be incurred in the performance of our work.
We understand that The City seeks a restaurant developer to construct and operate a full service
restau.rant on the new Dania Fishing Pier, which is currently under construction. Earlier this year, The
City advertised a Request for Proposal seeking an operator for the proposed facility. A single proposal
was received. Negotiatiors with the proposer have not progressed at a satisfactory pace and you desire
assistance in expediting the process. You have asked us as consultants to assist in moving the process
forward.

To accomplish the outlined objectives, we have deveioped a work program to be performed by our
consulting team. Specfically, we will:
. Review the current proposal to determine the extent to which the proiections and operating
assumptions are reasonable and consistent with industry norms;
. Prepare a brief letter report higtrlighting our findings and conclusions as to the achievability of the
operating proiections and the suitability of the developer.
Additional Services
Aseistarce with a New Request for Pmposal
Should The City be unable to reach acceptable arrangements with the curent proposet we would be
prepared to provide assistance in the structuring of a new Request for Proposal to entice others to
participate in the process. Specfically, we would:
. Develop a one-page brochure highlightnrg the restaurant development opportunitv for distribution
to the identified nulti-unit restaurant operators. [nterested operators would receive a revised
Request for Proposal document to Lre prepared by The City staff;

Identify operators of multi-unit Florida restaurants that may be suitable for the restaurant
development opportulity on the Dania Pief;
Assist The City in conducting a proposer's conference to discuss the development opportunity with
potential proposers;
Work with The City Management to develop specific criteria for evaluating the proposais;
Once new proposals are received, we would review altd evaluate them based on the agreed upon
selection criteria.
TIMING, MEE-nNGS AND PRoFEssroNAL FEES
The professional fee associated with evaluating the existing proposal is estimated at $1O000. The fee
associated with providing assistance with a new request for proposal would be discussed at the
appropriate time.
We have budgeted for two neetings during the initial phase of the assignment. Preparation for and
attendance at any additional requested meetings and presentations will be charged separately, based on
the actual hours of professional time expended at our standard hourly billing rates for the professionals
involved. Our rates are as follows:

Charged in addition to the fee for professional time will be expenses invoiced at cost. Should we incur
additional costs beyond those assoclated with normal report production/reproduction services we will

In line with our standard practice for assignments of this type, we require a retainer in the amount of
55,000. Our fee plus out-of-pocket experses will be billed upon completion of the draft report. We
reserve the right to invoice on a monthly basis, or upon early ternoinatio4 in proportion to the work
accomplished and the expenses incurred as of that date.
Our fee estimate is subiect to upward revision if problems are encountered that are ufforeseeable at the
comratenceqrert of the engagement or if the work expands beyond that indicated. In this event, we will
discuss the matter with you so that a mutually acceptable revision may be made.
If, at some potrt during the course of the worlg a decision is made to discontinue, our fee will be based
upon the actual professional time expended and the out-of-pocket expenses incured to that date against
which your irttial paynent wi.ll be applied. Ar.ry unused portion of the initial payment will be returned
to you in that eventuality.
We expect that the scope of services for the initial phase of the assignment will take approximately two
weeks to complete from the ti e we comnrence work We will schedule start-up upon receipt of the
retainer and an executed copy of this engagement letter. Prior to start-up we will call you to advise of
our starting date and estimated time of completion.

RESTRICnoNS
Andersen's maximum liahfity relating to services rendered under this letter (regardless of form
of action, whether in contract, negLigence or otherwise) shall be limited to the charges paid to
Andersen for the portion of its services or work products giving rise to liability. [n no event
shall Andersen be liable for consequential, special, incidental or punitive loss, damage or
expense (including without limitation, lost pro6Ls, opportunity costs, etc.) even if it has been
advised of their possible existence.
Andersen reserves the right to invoice periodically, or upon early terrrination, in relation to the
level of effort incurred, and experses incurred, as of that date. The retainer payment called for
will be applied to the final billing, with interim bi.llings occurring as appropriate. The f-r.rll
amount of the fee and direct expenses will be due upon completion of the work program and
suhmission of the final report in the form specified in the bisic letter. Paymenl foi services
rendered will be due upon receipt of irvoice. If payment is not received within thirty, (30) days
of billirg date, Andersen reserves the right to suspend work until payment is made and apply a
service charge of 1.5 percent per urorrth or fraction thereof to the total unpaid sum. It is
undt'rstood that Andcrsen may extend the time for payurent on any part of the billings rendered
without affecting the understanding outlined above. It is further agreed that in the event legal
action becomes necessary to enforce collection of bills rendered, the dient will be responsible for
all collection costs, including but not linited to court costs and reasonable legal fees.

Our study and report are subiect to the following restrictions and conditions:
1. We have no obligation to update our findings and conclusions for changes in market conditions
which occur subsequent to our fieldwork. Any such changes in market conditions will affect the
vdlidity of our estimates.
2. Our study and report are based on assumptions and estimates which are subiect to uncertainty
a.rrd variabion. These estimates are often based on data obtained in interviews with third parties,
and such data are not always completely reliable. ln addition, we make assumptions as to the
future behavior of consumers ald the genera-l economy which are highly ulcertain. Therefore,
while our estinates will be corscientiously prepared on the basis of our experience and the data
available to us, we make no warranty of any kind that the occupancy, rates, tevenues ot
expenses proiected will, ilr fact, be achieved.
3. The report and parts thereof, and any additional material submitted are for your internal use
only and may not be shared with third parties without our prior written consent which will not
be unreasonably withheld. The report and parts thereof, and any additional material submitted,
may not be used in any prospectus or printed material used in connection with the sale of
securities or participation interests in any Public Offering as defined under US securities laws.
4. You agree to hold harmless Arthur Andersen ("Andersen") and its persorurel from and agairst
any claims, liabilities, costs and expenses (including, without limitation, attomey's fees and the
time of Andersen personnel involved) brought against, paid or incurred by Andersen at any
time and in any way arising out of or relating to Andersen's services under this letter, except to
the extent finally determined to have resulted from the negligence or wi.llful misconduct of
Andersen persorurel. This provision shall survive the termination of this agreement for any
reason.

7 Arthur Andersen takes no responsibility for monitoring possible conflicts that could ariseduring the course of the engagement, although we will inform you promptly should any come
to our attention. Arthur Andersen reserves the right to resign from this engagement at any timeif conflicls of interest arise or become known to us that, in our iudgment would impair our
abiJity to perform obiectively.

The firm of Robert walters Architects and its consultants proposes the following scope
of work and fee Schedule for the above mentioned project. The firm's proiect team is
"orpo."J-of Robert Walters Architects, GHA Structural Engineering, and Loucks
Engineering.
Scope ol Work
Existing Pool shall be demolished, new pool, deck, plumbing, electrical, and filter system
will beiesigned. Existing site lighting will be renovated and new fencing installed' The
eiisting OuiiOing will be sEtectiviy dimotished and renovated for a new ADA accessible
restroim layoul Fixtures will be designed in accordance with HBS requirements for pool
facilities of t-his size. The pool foundalion will be based upon achieving a soil compaction
of 2500 psf after the existing pool is demolished'
The firm will perform standard services as outlined in the previously executed
owner/Architeit Agreement. Field inspection and as-built information will be obtained on
a visuai basis through site inspections, as existing drawings do not exist'
