HomeMy WebLinkAboutR-2026-015 Clean Space LLC 4th Amendment 4RESOLUTION NO. 2026-015 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING AN FOURTH AMENDMENT TO THE JANITORIAL SERVICES AGREEMENT AWARDED VIA INVITATION TO BID (“ITB”) NO. 21-027, ENTITLED “JANITORIAL SERVICES” WITH CLEAN SPACE, INC. TO INCREASE THE JANITORIAL SERVICES RATE CHARGED BY THREE AND A HALF PERCENT (3.5%) TO HELP OFFSET AN APPROXIMATELY EIGHT PERCENT (8%) INCREASE IN THE FLORIDA MINIMUM WAGE FOR FISCAL YEAR 2026 AND AN ADDITIONAL THREE AND A HALF PERCENT (3.5%) INCREASE FOR 2027 THROUGH THE END OF THE AGREEMENT, PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Dania Beach has several high-use, multi-work shift facilities that require janitorial services on a daily basis; and WHEREAS, the City is satisfied with the quality and reliability of Clean Space, Inc.’s janitorial services; and WHEREAS, the minimum wage rate, which impacts Clean Space’s labor costs directly, has been increased by eight percent (8%); and WHEREAS, to help offset the impact of this cost increase, Clean Space has requested a three and a half percent (3.5%) increase in its janitorial services rates for the core facilities currently serviced for fiscal year 2026, and an additional three and a half percent (3.5%) for the final length of the agreement, through November 23, 2027; and WHEREAS, the City Administration recommends that the City Commission approve an amendment to the Agreement with Clean Space, Inc. for a (3.5%) increase in the rate charged for janitorial services for the January 1, 2026 through September 30, 2026 and another 3.5% increase for October 1, 2026 through November 23, 2027 fiscal years. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the above “Whereas” clauses are ratified and confirmed, and they are made a part of and incorporated into this Resolution by this reference. Section 2. That the City Commission authorizes the proper City officials to execute a Fourth Amendment to the Agreement with Clean Space, Inc., which amendment is attached as Exhibit “A” and incorporated into this Resolution by this reference, to approve a three and a half percent (3.5%) increase in the rate charged for janitorial services for January 1, 2026 through 2 RESOLUTION #2026-015 September 30, 2026 resulting in a projected annual cost increase of $75,486.30 ($7,920.70 x 9 months + $4,200.00 for the annual deep cleaning), and another three and a half percent (3.5%) increase for October 1, 2026 through November 23, 2027 resulting in a projected annual cost increase of $102,575.04 ($8,197.92 x 12 months + $4,200.00 for the annual deep cleaning). Section 3. That funding for the additional routine janitorial services is available and appropriated within the Facilities “Contractual Services General” Account No. 505-39-02-539-34- 10. Section 4. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 5. BOUTSIS CITY ATTORNEY 1 FOURTH AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF DANIA BEACH, FLORIDA AND CLEAN SPACE, INC. FOR JANITORIAL SERVICES (ITB 21- 027) This Fourth Amendment (“Amendment”) is entered into this ___ day of ____________, 2026, by and between the City of Dania Beach, Florida (“City”) and Clean Space, Inc. (the “Contractor”) with a mailing address of 3764 Northwest 124 Avenue, Coral Springs, Florida 33065. RECITALS WHEREAS, the City and Contractor entered into the Agreement for Janitorial Services on November 23, 2021, pursuant to ITB No. 21-027; and WHEREAS, the Agreement provided for two (2) additional two-year renewal options; and WHEREAS, the parties executed a First Amendment and Renewal dated December 8, 2023, which (i) exercised the first two-year renewal term through November 23, 2025, and (ii) increased the Agreement pricing for Fiscal Years 2024 and 2025, resulting in a total annual amount of $91,834.20 for FY 2025, plus $4,200.00 per year for additional deep cleaning/sealing at City Hall; and WHEREAS, the parties subsequently executed a Second Amendment to add services at the I.T. Parker Community Center and a Third Amendment to add services at the C.W. Thomas Community Center and to exercise the second two-year renewal option through November 23, 2027; WHEREAS, the parties subsequently executed a Third Amendment in order to exercise the second two-year renewal through November 2027; and WHEREAS, the parties are seeking a fourth amendment as the minimum wage rate, which impacts Clean Space’s labor costs directly, has been increased by eight percent (8%); and WHEREAS, to help offset the impact of this cost increase, Clean Space has requested a three and a half percent (3.5%) increase in its janitorial services rates for the core facilities currently serviced; and WHEREAS, the City Administration recommends that the City Commission approve an amendment to the Agreement with Clean Space, Inc. for a (3.5%) increase in the rate charged for janitorial services for the 2026 and 2027 fiscal years. 2 NOW, THEREFORE, in consideration of the mutual covenants herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows: 1. Incorporation of Recitals The above Recitals are incorporated herein by reference. 2. Renewal Term The City exercised the final renewal option, extending the Agreement November 24, 2025, through November 23, 2027. 3. Updated Pricing with Two Adjustments a. First Adjustment (January 1, 2026 – September 30, 2026) Effective January 1, 2026, the recurring monthly service rates for City Hall, the Public Parking Garage, the Public Services Building, and the Water Treatment Plant shall be increased by three and one-half percent (3.5%) from the rates in effect immediately prior to January 1, 2026. These adjusted rates shall remain in effect through September 30, 2026. Based on the prior monthly rates, the estimated adjusted monthly rates for this period are as follows: Location Prior Monthly Rate Monthly Rate (3.5% Increase) City Hall $2,801.08 $2,899.12 Parking Garage $3,545.14 $3,669.22 Public Services Building $1,007.95 $1,043.23 Water Treatment Plant $298.68 $309.13 The combined estimated monthly total for these four facilities during this period is $7,920.70. b. Second Adjustment (October 1, 2026 – September 30, 2027) Effective October 1, 2026, the recurring monthly service rates for the same facilities shall be increased by an additional three and one-half percent (3.5%), applied to the adjusted rates set forth in subsection (a) above. These rates shall remain in effect for a period of twelve (12) months, through September 30, 2027, within the current renewal term. The estimated monthly rates following the second adjustment are as follows: Location Monthly Rate as of Sept. 30, 2026 Monthly Rate (Additional 3.5%) City Hall $2,899.12 $3,000.59 Parking Garage $3,669.22 $3,797.64 3 Location Monthly Rate as of Sept. 30, 2026 Monthly Rate (Additional 3.5%) Public Services Building $1,043.23 $1,079.74 Water Treatment Plant $309.13 $319.95 The combined estimated monthly total for these four facilities during this period is $8,197.92, resulting in an estimated annual amount of $98,375.04 for the twelve-month period beginning October 1, 2026. c. No Further Adjustments Except for the two specific adjustments expressly set forth in this Section 3, the Agreement contains no automatic escalation, and no further price increases shall occur absent a future written amendment approved by the City Commission. 4. City Hall Deep Cleaning Services In addition to the recurring janitorial services provided under the Agreement, the Contractor shall perform annual deep cleaning and sealing services at City Hall as an added service during the current renewal term. The cost for such added services shall be $4,200.00 per year. 5. Other Rates Unchanged All other pricing and rate provisions under the Agreement, as amended — including, without limitation, the annual deep cleaning/sealing maintenance service for City Hall, the special event hourly rates, and the rates applicable to the I.T. Parker Community Center and C.W. Thomas Community Center — shall remain unchanged and in full force and effect, unless modified by a future written amendment approved by the City Commission. 6. No Automatic Escalation The parties expressly acknowledge that the Agreement contains no escalation clause, and no additional price increases shall occur without a written amendment approved by the City Commission. 7. No Other Changes Except as modified herein, all terms of the Agreement and prior Amendments remain in full force and effect.
