A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING TO EXECUTE THE FIFTH
AMENDMENT TO THE AGREEMENT WITH CENTURION SECURITY
GROUP, LLC (RFP NO. 21-018) TO EXPAND THE SCOPE OF SERVICES TO
INCLUDE SECURITY SERVICES FOR DANIA AFTER DARK AND OTHER
COMMISSION APPROVED EVENTS AT OR AROUND CITY HALL,
THROUGH THE DURATION OF THE AGREEMENT; AUTHORIZING THE
CITY TO EXCEED THE ANNUAL VENDOR THRESHOLD TOTAL
AMOUNT OF FIFTY THOUSAND DOLLARS ($50,000.00) PROVIDING FOR
CONFLICTS; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the Dania Beach Code of Ordinances, Chapter 2, Article I, Section 2-10,
"Monetary Thresholds for Certain Purchases and Payment Disbursement Authorizations,"
establishes a monetary threshold of Fifty Thousand Dollars ($50,000.00) for a vendor during each
fiscal year; and
WHEREAS, the City of Dania Beach, Florida (the “City”) and Centurion Security Group,
LLC, a Florida limited liability company (“Contractor”), entered into that certain Agreement for
Security Patrol Services pursuant to RFP No. 21-018 (the “Agreement”); and
WHEREAS, the Agreement, as amended, remains in effect through December 2026 and
does not provide for additional renewals; and
WHEREAS, the City desires to expand the scope of services to include security services
for Dania After Dark events and other Commission-approved events at or around City Hall,
including staffing at City Hall Garage, SW 1st Avenue event footprint, and City Hall facilities; and
WHEREAS, the parties desire to memorialize such additional services as the Fifth
Amendment to the Agreement (“Fifth Amendment”) without modifying the underlying term or
procurement structure; and
WHEREAS, all services to be performed pursuant to the Fifth Amendment are of the same
general nature as those originally procured under RFP No. 21-018 and shall be provided under the
same terms, conditions, and pricing structure; and
WHEREAS, the City Commission has determined that approval of the Fifth Amendment
is in the best interest of the health, safety, and welfare of the residents and citizens of the City of
Dania Beach.
NOW, THEREFORE, BE RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA, AS FOLLOWS:

Section 1. That the foregoing recitals are true and correct and are hereby incorporated
herein by this reference.
Section 2. That the City Commission of the City of Dania Beach, Florida, or designee,
to execute the Fifth Amendment to the Agreement with Centurion Security Group, LLC under RFP
No. 21-018, in substantially the form attached hereto, to expand the scope of services to include
security services for Dania After Dark and other Commission-approved events at or around City
Hall, through the duration of the Agreement and to exceed the annual amount of Fifty Thousand
Dollars ($50,000.00) purchase threshold for a single vendor for Fiscal Year 2025-26.
Section 3. That the City Manager and City Attorney are authorized to make minor
revisions to the agreement which are deemed necessary and proper and is in the best interest of
the City and to execute extensions that do not materially alter costs or scope of the agreement
modification.
Section 4. That funding for event security services shall be appropriated from the Parks
and Recreation Department's in their 001-72-09-574-49-15 account. In the event that the
Commission approves funding for security services on behalf of an outside organization, a
Commission-approved account shall be designated to cover the associated expenditure.
Section 5. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 6. That this Resolution shall be effective 10 days after passage.

FIFTH AMENDMENT TO AGREEMENT
THIS FIFTH AMENDMENT TO AGREEMENT (“Amendment”) is made as of
___________________, 2026, by and between the City of Dania Beach, Florida, a Florida
municipal corporation (“City”), and Centurion Security Group, LLC, a Florida limited liability
company (“Contractor”).
RECITALS
WHEREAS, the City and Contractor entered into that certain Agreement for Security
Patrol Services pursuant to RFP No. 21-018 (the “Agreement”); and
WHEREAS, the Agreement, as amended, remains in effect through December 2026 and
does not provide for additional renewals;
WHEREAS, the City desires to expand the scope of services to include security services
for Dania After Dark events and other Commission-approved events at or around City Hall; and
WHEREAS, the parties desire to memorialize such additional services without modifying
the underlying term or procurement structure;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the
parties agree as follows:
1. ADDITION OF EVENT SECURITY SERVICES
The Scope of Services is hereby supplemented to include the following:
1.1 Event Security Services
Contractor may be utilized to provide security personnel for City-sponsored events, including but
not limited to:
a. Dania After Dark event series;
b. Commission-approved events at or around City Hall;
Services may include:
• Staffing of security personnel at designated locations, including City Hall Garage, SW 1st
Avenue event footprint, and City Hall facilities;
• Crowd monitoring, access control, and perimeter security;
• Coordination with the Broward Sheriff’s Office and City staff;
• Enforcement of safety and security protocols within the event footprint.
All such services are of the same general type as those contemplated under the Agreement and
shall be performed on an as-needed basis.

2. PERFORMANCE AND OPERATIONAL CONTROL
2.1 Staffing and Resources
Contractor shall provide sufficient personnel, supervision, and equipment necessary to safely and
effectively perform services, as determined solely by the City.
2.2 City Direction
Contractor shall coordinate all services through the City’s designated event manager. In the event
of any conflict in direction, the City’s direction shall control.
2.3 Event Plans
Contractor shall comply with all event-specific operational plans, including traffic control plans,
site maps, security protocols, and coordination directives issued by the City.
2.4 Readiness
Contractor shall ensure all personnel are on-site, fully staffed, and operational at the time
specified by the City and shall remain until released by the City.
3. SCHEDULING AND FLEXIBILITY
3.1 Event-Based Services
All services shall be provided on an as-needed, event-based basis as scheduled by the City.
3.2 City Rights
The City may adjust staffing levels, modify service requirements, or reschedule services at any
time.
3.3 Cancellation
The City may cancel or modify any scheduled services:
(i) Without penalty upon at least twenty-four (24) hours’ notice; and
(ii) With less than 24 hours’ notice, Contractor shall only be entitled to reimbursement for
actual, documented reasonable costs incurred and approved by the City.

4. COMPENSATION
4.1 Rates
Compensation shall be based solely on the rates established in the Agreement unless
otherwise expressly approved in writing by the City.
4.2 No Guarantee
Nothing herein shall be construed as a guarantee of any minimum number of events, hours, or
compensation.
4.3 Payment Condition
Payment is contingent upon satisfactory performance as determined by the City. The City
may withhold payment for incomplete, deficient, or non-compliant services.
5. INSURANCE
Contractor shall provide updated Certificates of Insurance, acceptable to the City, prior to the
commencement of each event season and upon request for any individual event.
6. INDEMNIFICATION (EVENT-SPECIFIC)
Without limiting any obligations under the Agreement, Contractor shall indemnify and hold
harmless the City from any claims arising out of or related to event operations, including security
services, crowd control, and related activities.
7. PROCUREMENT COMPLIANCE AND SCOPE CLARIFICATION
This Amendment is intended solely to clarify and supplement the types of services that may be
performed within the existing scope of the Agreement and does not constitute a material expansion
of services, a new category of services, or a new procurement.
All services performed pursuant to this Amendment are of the same general nature as those
originally procured under RFP No. 21-018 and shall be provided under the same terms, conditions,
and pricing structure.
Nothing in this Amendment shall be construed as:
a. Extending the term of the Agreement;
b. Creating any renewal right not expressly provided in the Agreement; or
c. Authorizing services beyond those permitted under applicable procurement laws and
the Agreement.

Any services required beyond the current term of the Agreement shall be subject to a separate
procurement or other legally authorized contracting method.
8. TERM
This Amendment does not extend the term of the Agreement. All services authorized herein must
be completed prior to expiration unless otherwise approved by the City Commission.
9. TERMINATION
The City may terminate event-related services at any time for convenience upon written notice.
10. RATIFICATION
Except as expressly modified herein, all terms, conditions, and provisions of the Agreement
remain in full force and effect and are hereby ratified and confirmed.
11. EFFECTIVE DATE
This Amendment shall become effective upon full execution by both parties.
