A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO
WAIVE COMPETITIVE BIDDING REQUIREMENTS AND AUTHORIZE THE
PROPER CITY OFFICIALS TO ENTER INTO AN AGREEMENT FOR REAL
ESTATE AND MARKETING SERVICES WITH COLLIERS
INTERNATIONAL SOUTH FLORIDA, LLC IN A NOT TO EXCEED
AMOUNT OF FORTY FOUR THOUSAND DOLLARS ($44,000.00);
PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the reopening of a new and safe Dania Beach Grill is a "Top Priority" of the
City Commission and the City Manager's Strategic Plan 2021; and
WHEREAS, Colliers International Florida, LLC ("Colliers") submitted a proposal that
includes preparation of a Request for Proposal ("REP") in collaboration with the City's
procurement team, marketing of the subject property, and the subsequent analysis of the proposal
responses for the redevelopment of the Dania Beach Grill; and
WHEREAS, to achieve the desired goal of seeking the best responsible developer, Colliers
would represent the City to market the RFP and work on the City's behalf during negotiations with
the selected developer; and
WHEREAS, in furtherance of the advancement of the reopening of the Dania Beach Grill,
the City finds it is in its best interest to enter into an agreement with Colliers International for Real
Estate and Marketing Services in a not to exceed amount of Forty Four Thousand Dollars
($44,000.00);
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1. That the above "WHEREAS" clauses are ratified and confirmed as being
true and correct, and they are made a part of and incorporated into this Resolution by this reference.
Section 2 That the City Commission authorizes the proper City officials to execute an
agreement with Colliers International to provide real estate and marketing services without
competitive bidding.
Section 3. That funding for the real estate and marketing services related to the
reopening of the Dania Beach Grill is available in the General Fund Reserves Account No. 001-
00-00-389-90-01 to be appropriated to the City Manager Professional Services Account No. 001-
12-01-512-31-10.
Section 4. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 5. That this Resolution shall take effect immediately upon its passage and
adoption.

Dear Ana,
Thank you for considering Colliers International Florida ("Colliers") for the assignment of preparing a
request for proposal (herein referred to as RFP), marketing the site and subsequent analysis of the
submitted proposal responses for the redevelopment of Dania Beach Grill for the City of Dania
Beach.
Accordingly, please review our proposed preliminary scope of service as follows and revert to us
with any questions, comments, or additional requests.
PROPOSED SCOPE OF WORK ("Agreement")
Project Owner's Representative Services for Re -development of Dania Beach Grill in the
City of Dania Beach
Location 65 N Beach Road, Dania Beach, FL.
Parties Colliers International Florida, LLC ("Colliers") and City of Dania Beach (herein at
times referred to as "Client")
Intended The RFP and report on the proposals received by the City will be prepared by
User Colliers is intended to be used solely by the City of Dania Beach, which is the
Intended User.
Intended The report to be performed under this Agreement ("Owner's Representative
Use Services for Dania Beach Grill for City of Dania Beach") is intended for the creation
of an RFP and evaluation of proposals received for the reconstruction or
redevelopment of Dania Beach Grill. The report is not intended for any other use.

Scope of
Work The City of Dania Beach (the "City") has had previous engineering reports
completed on the Grill. The report concluded that the existing structure is not
safe for public use and requires major structural, electrical, mechanical, and
plumbing repairs and to be safe for occupancy. As such, the City is seeking to
identify a developer to either reconstruct or renovate and repair the existing
deficiencies and operate the Grill.
To achieve the desired goal of seeking a developer/development team, the City is
seeking owner's representative services to develop an RFP, broadly and
proactively market the RFP, assist in the evaluation of proposals and work on
City's behalf during negotiations with selected developer generally outlined in
the tasks below.
Task 1 RFP Global Marketing
1.1 Meet with City stakeholders to understand the goals of the City in the type of
project, financial structure, and qualifications of the respondents they would
like to see.
1.2 Develop a comprehensive and detailed marketing offering brochure for the
Dania Beach Grill considering all the City's goals.
1.3 Proactively market the RFP nationwide/globally leveraging Colliers
International's professional network, proprietary database(s) and through all
forms of marketing efforts to include email, online database portals, print and
digital marketing efforts.
Task 2 Real Estate Advisory
2.1 Act as real estate advisor to the City of Dania Beach/ Grill RFP Evaluation
Committee.
2.2 Assist in reviewing all proposals to determine if they meet the
requirements stated in the RFP and achieves the goals established with
the City. Included in part of this evaluation will be an initial meeting with
evaluation committee.
2.2 For all proposals that meet the requirements, provide technical assistance
and market analysis of the proposals.
2.3 Attend all required meetings of the Evaluation Committee,

Task 3 Development Agreement Negotiations
3.1 Participate in agreement negotiations with selected firm(s).
3.2 Attend all required negotiation meetings.
3.3 Provide real estate advisory services to the City team as requested,
including written reports and financial/market analysis.
Deliverable 1 Related to Task 1 An RFP/Offering Memorandum marketing
package reflecting the goals of the City for the development.
Deliverable 2 Related to Task 2 A strengths & weaknesses matrix for all
qualified proposals based on the criteria listed in the RFP and the due diligence
items listed in Task 2 above.
Deliverable 3 Related to Task 3 A completed Developer Agreement with all the
specific terms and conditions sufficiently detailed so a final document can be
presented to City Council for action.
Based on the scope of work outlined above, Colliers anticipates 15 days for
development of the Offering Memorandum/RFP, a national and international
60-day marketing period, 30 days to complete the evaluation and report from
receipt of the proposals from City and after selection of finalist, 90 days to
execute an agreement. Should the scope expand beyond the defined scope
presented above, then we would revisit timing and costs based on the extent of
scope modifications.

Professional A flat, lump sum fee due Colliers International upon completion of Tasks 1, 2 & 3
Fees shall be forty-four thousand ($44,000) dollars which shall be payable as follows:
$10,000 within thirty (30) days upon the completion of Task 1
$17,000 within thirty (30) days upon the completion of Task 2
$17,000 within thirty (30) days upon the completion of Task 3
The fee above includes client calls and emails as needed discussing deliverables
status followed by a one -week post -delivery comment period for
modifications/clarifications on materials presented within the scope described
above. Colliers will also be available to meet with and discuss report with both
the Evaluation Committee and City Council as required.

The attached Terms and Conditions are deemed a part of this Agreement as though set forth in full
herein. To meet the timeline described herein, please sign and return an executed copy of this
agreement within the next ten (10) days.
I, Ana M. Garcia, on behalf of the City of Dania Beach, agree to the above stated terms and authorize
