A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, APPOINTING NANCY E. STROUD OF THE LAW FIRM
OF LEWIS, STROUD AND DEUTSCH, P.L. TO REPRESENT THE CITY IN
LAND USE MATTERS AND RELATED MATTERS AS SPECIAL CITY
ATTORNEY; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR
AN EFFECTIVE DATE.
WHEREAS, the Dania Beach City Charter, Part III , Article 5, Section 3, authorizes the
City Commission to employ special city attorneys who shall serve under terms and conditions as
may be determined by the City Commission; and
WHEREAS, the Dania Beach City Commission desires to appoint Nancy E. Stroud of
the law firm of Lewis, Stroud and Deutsch, P.L. as a special City Attorney to represent the
City's interests in land use and related matters;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF DANIA BEACH, FLORIDA, AS FOLLOWS:
Section 1. That Nancy E. Stroud of the law firm of Lewis, Stroud and Deutsch, P.L.,
is appointed by the Dania Beach City Commission to serve as special City Attorney to represent
the City's interests in land use and related matters.
Section 2. That Nancy E. Stroud shall be compensated for her legal services at an
hourly rate of$160.00. All statements submitted by Nancy E. Stroud for services rendered shall
be subject to review and approval by the City Attorney.
Section 3. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 4. That this Resolution shall be in force and take effect,immediately upon its
passage and adoption.

Re: Retainer Agreement
Dear Tom:
Thank you for your interest in retaining our firm to provide legal services for the City of
Dania Beach. This letter is intended to set forth our understanding as to the nature and scope of the
legal services we have agreed to render for you, the amount of our fees for those services, the
manner in which our fees for those services shall be determined and the terms upon which you will
make payment.
1. Nature of Legal Services. You have engaged the firm to provide legal services in
• land use law matters. Nancy E. Stroud will be the primary attorney prov ding these services, with
the assistance of other attorneys in the firm as agreed in advance by you. Ms. Stroud will be
directed by you on the nature of the specific matters assigned, and may also consult with members
of the City staff for further information and coordination.
2. Fees and Costs for Services. You will be charged and agree to pay for our services
on the basis of hourly rates for the time of the attorneys in the firm. The film will charge an hourly
rate of$160 for this assistance, which is a governmental rate. It is our practice to charge for actual
time expended on your behalf,but not less than 2/10ths of an hour for each activity.
In addition to the fees discussed above, we anticipate that certain expenses may be incurred
and advanced on your behalf. These expenses may include delivery charges, long distance
telephone charges, photocopies (xerox), special postage (express mail, certified mail and the like),
travel and computer research charges. The City will reimburse the firm for these expenses, and for
substantial expenses over $50.00, the firm may request that the City pay these expenses directly to
the vendor.
3. Payment of Fees and Costs. Our invoices will be submitted to you on a monthly
basis, which will show the hourly detail for services provides, and each invoice will be due and
payable when rendered.
4. Representation of Other Clients. We are bound by rules of legal ethics not to

• represent any client if the representation of that client will be directly adverse to the interests of
another client unless each such client consents to such representation after consultation.
5. Fees for Other Services. In the event you ask us to render legal services with respect
to other matters, in the absence of a written agreement specifically addressing that representation,
the other matters will be handled on an hourly basis consistent with this agreement.
7. Commencement of Representation. If the foregoing is agreeable to you, please
acknowledge your understanding and agreement by signing this letter and delivering it to us.

RE: Appointment of Nancy E. Stroud as Special City Attorney for Land Use and
Related Matters

As was reported to the City Commission last month, Nancy E. Stroud recently and
formerly a shareholder at the Weiss, Serota law firm, left the firm with two other attorneys
who chose to open their own law firm. We have relied on Mrs. Stroud for the more difficult
land use matters faced by the City as well as CRA and impact fee matters and it is strongly
suggested that we maintain our relationship with her.
She has agreed, at my request, to provide the City a "governmental rate" of $160.00
(ten dollars more than that charged by the Weiss, Serota firm). That is particularly reasonable
in light of her reputation, experience and expert assistance. Since land use legal costs were
included within the City's legal budget, no cost impact is expected as a result of the transition.
Dependent upon the matter or issue involved, the remaining land use attorneys at Weiss,
Serota continue to assist us with some of the land use matters, as well. Their rate remains at
$150.00 per hour.
I recommend that Mrs. Stroud be retained subject to the terms outlined in the
December 8, 2005 retainer agreement she provided us (copy attached). If the City Commission
agrees, this is ready for City Commission approval (by Resolution).
