HomeMy WebLinkAboutR-2005-035 Hidden Harbor RESOLUTION NO. 2005-035 A RESOLUTION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE AN ACCESS EASEMENT AGREEMENT WITH AMAS DEVELOPMENT- HIDDEN HARBOR, LLC, RELATED TO ACCESS TO GRIFFIN MARINE PARK AND A RESIDENTIAL DEVELOPMENT TO BE KNOWN AS THE OAKS AT HIDDEN HARBOR; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH,FLORIDA: Section 1. That the proper City officials are authorized to execute an Access Easement Agreement with AMAS Development-Hidden Harbor, LLC, related to access to Griffin Marine Park and a residential development to be known as the Oaks at Hidden Harbor. Section 2. The City Manager and City Attorney are authorized to make minor revisions to the terms of such Agreement as are deemed necessary and proper for the best interests of the City. Section 3. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 4. O. Box 1708, Dania Beach, FL 33304 ("CITY"); and AMAS Development - Hidden Harbor, LLC, a Florida limited liability company ("AMAS"), whose post office address is 1103 East Las Olas Boulevard, Suite 200, Fort Lauderdale, FL 33316. WITNESSETH : WHEREAS, the City is the fee simple owner of the real property legally described as: See Exhibit "A" attached hereto and made a part hereof ("City Property") which City Property is used as a public park known as Griffin Marine Park("Park"); and WHEREAS, AMAS is the owner in fee simple of the real property legally described as: See Exhibit "B" attached hereto and made a part hereof("Hidden Harbor Property") which Hidden Harbor Property has been approved by the City for a 55-unit, single-family and townhouse project known as The Oaks at Hidden Harbor ("The Oaks at Hidden Harbor"), as depicted on the site plan attached hereto and made a part hereof as Exhibit "C" ("Site Plan"); and, WHEREAS, the approved Site Plan provides for' vehicular access to The Oaks at Hidden MHarbor to and from Southwest 301h Avenue through the City Property, as generally depicted on the Site Plan; and, WHEREAS, AMAS and the City wish to enter into this Access Easement Agreement, whereby the City shall grant an easement over, through and across the portion of the City Property depicted on Exhibit "M attached hereto and made a part hereof("Easement Property") under the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the adequacy and receipt of which are acknowledged and agreed upon, the City and AMAS hereby agree as follows: 1. Recitals. The above recitals are true and correct and are incorporated herein by reference. 2. Access Easement. The City hereby grants to AMAS, its successors and assigns, for the benefit of the Hidden Harbor Property, a perpetual, non-exclusive easement for ingress and egress on, over and across those portions of the Easement Property which are or will be paved for vehicular ingress and egress purposes, together with a perpetual and nonexclusive easement to construct, reconstruct roadway, install, maintain, repair and replace roadway, landscaping, signs, lighting devices and related improvements depicted on and in general conformance with the Site Plan, as said Site Plan may be amended from time to time and approved by the City and in accordance with plans and specifications approved by the City in accordance with applicable City codes. 3. Sign Easement. The City hereby grants to AMAS, its successors and assigns, for the benefit of the Hidden Harbor Property, a perpetual easement for project identification and directional signage for The Oaks at Hidden Harbor on, over and across the portion of the City Property described in Exhibit "E" ("Sign Easement Property"), together with a perpetual, exclusive easement to construct, install, maintain, repair and replace project identification and directional signage and related improvements in accordance with plans approved and permits issued by the City for such improvements. 2 5. Covenant Running With the Land. The rights, easements and covenants granted • herein are established for the benefit of the owners of the Hidden Harbor Property and shall run with, be appurtenant to title and shall be binding upon the City Property and the City, its successors and assigns. The benefits conferred under this Access Easement Agreement shall inure to the benefit of AMAS, its successors, tenants, assigns, successors in title, mortgagees, invitees, agents and employees. 6. Reasonable Use of Easements. The easements granted herein shall be used and enjoyed by AMAS, its successors and assigns, tenants, invitees and agents in such a manner as not to unreasonably interfere with, obstruct or delay the use of the City Property for its intended use as a City park, including, without limitation, public access to and from the City Property. 7. Indemnification and Insurance. AMAS, as the owner of the Hidden Harbor Property, its successors and assigns, shall and hereby indemnifies and holds harmless the City, its successors and assigns, from any and all damage or loss, including attorney fees at all trial and appellate proceedings, relating to or arising from the use of the easement rights granted herein, by AMAS, its successors and assigns, invitees, employees, contractors or agents. This • indemnification includes the use of the property described in the easement by those people entering or leaving the Park via the easement area, if a claim is related to the location, maintenance or illumination of the authorized signage, the maintenance of landscaping, and any modifications, maintenance, repairs and construction of any improvements which are the responsibility of AMAS, its successors or assigns.. Throughout the term of this Access Easement Agreement, AMAS, its successors and assigns shall procure and maintain commercial general and comprehensive general liability and property damage insurance against claims for personal injury (including contractual liability arising under the indemnity contained in this Agreement), bodily injury, death or property damage occurring on the Access Easement Property and Sign Easement Property with single limit coverage of not less than an aggregate of Three Hundred Thousand dollars ) $ 300,000.00 Dollars, including umbrella coverage, if any, or such greater amount as may from time to time be reasonable and prudent under the circumstances as determined by the City. Such insurance shall identify the City as an additional named insured. 8. Notices. All notices and statements provided for or permitted hereunder shall be in writing and shall be deemed to have been properly given or served when delivered personally or deposited in the United States Mail, or any official successor thereto, as registered or certified 3 mail, return receipt requested, postage prepaid and addressed as hereinafter provided. Each such . notice shall be effective upon being so delivered in person or when mailed. The time period within which a response to any such notice or billing must be given, however, shall commence to run from the date of delivery, if delivered by hand, or from the date of receipt set forth in the return receipt notice, if mailed, as provided above. Any party hereto may change an address for notice by giving the other party hereto at least fifteen (15) days' prior written notice of any such change of address. 9. Exercise of Rights. All rights, powers and remedies provided herein may be exercised only to the extent that the exercise thereof does not violate applicable law and shall be limited to the extent necessary to render this instrument valid and enforceable. If any term, provision, covenant or agreement contained herein or the application thereof to any person or circumstance shall be held to be invalid, illegal or unenforceable, the validity of the remainder of this Access Easement Agreement or the application of such term, provision, covenant or agreement to persons or circumstances other than those to which it is held invalid or enforceable shall not be affected thereby. • 10. Governing Law. This instrument shall be governed by and construed in accordance with the laws of the State of Florida. In the event of any dispute arising from the terms of this Access Easement Agreement, the venue shall be in Broward County, State of Florida. 11. Mortgagee's Rights. In the event that any owner of the Hidden Harbor Property shall default in the performance of any of their obligations hereunder, the holder of any mortgage shall have the right, but shall not be obligated, to cure any default within ten (10) days after receipt of written notice of said default or within additional time as may be reasonably necessary to cure said default, provided that the holder of said mortgage is proceeding with due diligence to cure said default and thereupon shall be entitled to all the benefits of this instrument. 12. Estoppel Certificate. The City agrees, within ten (10) business days after receipt of written request by AMAS, its successors and assigns, to execute, acknowledge and deliver to and in favor of AMAS or any proposed or existing mortgagee or purchaser of any portion of the Hidden Harbor Property, which is subject hereto, an estoppel certificate stating: a. Whether or not this instrument has been modified or amended, and if so, • identifying and describing any said modification or amendment; 4 • b. Whether any party has actual knowledge of any default hereunder by any party or has any claim hereunder against any other person and, if so, specify the nature of said default or claim. 13. Force Majeure. If any party shall be delayed or prevented from the performance of any act required hereunder by reasons of acts of God, strikes, lock-outs, labor troubles, inability to procure materials, adverse weather, unusual delay in transportation, or other cause without fault and beyond control of the party obligated to perform (financial inability excepted), then upon written notice to AMAS or the City, as applicable, the performance of said acts shall be excused for the period of the delay and the period for the performance of said act shall be extended for a period equivalent to the period of said delay; provided, however, that a party so delayed and prevented from performing shall exercise good faith efforts to remedy any such cause of delay or cause preventing performance, and nothing in this section shall excuse any party from the prompt payment of any sums or charges required of said party hereunder. 14. Transfer of interest. Either party, upon conveyance of its respective property, shall be deemed to assign its rights and obligations under this Access Easement Agreement and • shall be released from liability hereunder thereafter accruing and such party's successors and grantees shall be deemed to assume the covenants and obligations contained herein. This Access Easement Agreement may be canceled, changed, modified or amended in whole or in part only by a written and recorded agreement, executed by the then record fee owners of the Hidden Harbor Property and the City Property. In the event either Property is subdivided, then each successive owner is deemed to be a party and subject to the terms and conditions of this Access Easement Agreement with rights and obligations arising upon acquiring fee simple ownership of the same as if said party was an original party to this Access Easement Agreement. 15. Severability. If any provisions contained herein shall be held to be invalid or to be unenforceable or not to run with the land, such holding shall not affect the validity or enforceability of the remainder of this Access Easement Agreement. In the event the validity or enforceability of any provision of this Access Easement Agreement is held to be dependent upon the existence of a specific legal description, the parties agree to promptly cause such legal description to be prepared. • 5 16. Third Parties. All portions of this Access Easement Agreement are for the exclusive benefit of the parties and, except as otherwise provided in this Access Easement Agreement not for the benefit of any other person or entity. This Access Easement Agreement shall not be deemed to have conferred any rights, express or implied, upon any third party. Except as expressly provided herein, nothing in this Access Easement Agreement shall be construed to create any rights in or for the benefit of any third party. 17. Term. This Access Easement Agreement shall have an initial term of thirty (30) years, which term shall be automatically extended for successive ten (10) year periods, unless this Access Easement Agreement is terminated by instrument recorded in the Public Records and signed by all of the then owners of the Hidden Harbor Property and the City Property. 18. Maintenance; Improvements; Signs. The improvements and vegetation located within the easement area, including but not limited to, lighting fixtures, asphalt paving, curbing, grass, plants and trees, shall be maintained by AMAS in first class condition, in accord with City specifications, building and fire codes and the requirements of all applicable City ordinances. AMAS, its successors and assigns also agree to furnish and pay for any electrical and irrigation • services, and to install, and replace when deemed necessary by City staff, lighting, additional landscaping and signs which meet City staff approval in all respects, including but not limited to type, design, dimensions, locations, height, materials and colors. 19. Notices.
