HomeMy WebLinkAboutR-2004-030 AES Easement and Service Agreement •' RESOLUTION NO. 2004- 030 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE AN EASEMENT AGREEMENT AND A SERVICE AGREEMENT WITH AES OCEAN EXPRESS, L.LC., SUBJECT TO CERTAIN TERMS AND CONDITIONS; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the proper City officials of the City of Dania Beach, Florida are authorized to execute an Easement Agreement and a Service Agreement on behalf of the City, with AES Ocean Express, L.L.C., pertaining to a natural gas pipeline proposed to be constructed by the company, such Agreements to be subject to certain terms and conditions. Section 2. That the City Manager and City Attorney are authorized to make minor revisions to the agreements with AES Ocean Express, L.L.C. as deemed necessary and proper for the best interests of the City. Section 3. That all resolutions or parts of resolutions in conflict with this resolution are repealed to the extent of such conflict. Section 4. Bartlett "Broward's First City" 100 West Dania Beach Boulevard Dania Bcach, Florida 33004 Phone: (954) 924-3000 nia-heach.Il.us EASEMENT AGREEMENT TF{� EASEMENT_AGREEMENT ("AGREEMENT"), is made and entered into as of they - day of by and between the CITY OF DAN IA BEACH, a Florida municipal corpo . tion (hereafter "CITY"), and AES OCEAN EXPRESS LLC, a Delaware limited Liability company (hereinafter "OCEAN EXPRESS"); WITNESSETH: WHEREAS, CITY owns, operates or controls real property and other improvements (individually and collectively the "Property") described and graphically depicted in Exhibit "A" attached hereto and incorporated herein by reference; and WHEREAS, OCEAN EXPRESS desires use of the CITY's Property for the purpose of constructing, owning, operating, and maintaining a new, federally regulated interstate natural gas pipeline and related appurtenances, including, without limitation, cathodic protection equipment (collectively, the "Pipeline"); and WHEREAS, the CITY is willing to grant an easement to OCEAN EXPRESS for such use of its Property; and WHEREAS, the parties desire to set forth in this Agreement the terms and • conditions of their relationship; NOW, THEREFORE, in consideration of the mutual promises herein contained and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows: 1. Recitals: The foregoing recitals are true and correct and are incorporated into this Agreement. 2. Term: The term of this Agreement shall commence upon execution by the parties to this Agreement and shall continue for a period of forty (40) years after the date the Federal Energy Regulatory Commission ("FERC") issues OCEAN EXPRESS Certificates of Public Convenience and Necessity ("Certificates"). This Agreement may be renewed by the mutual written consent of the parties under the same terms and conditions as set forth herein for a period of time up to ten (10) years or more. 3. Permitted Use: Subject to all the conditions set forth below, the CITY grants an easement (for the term hereof)to OCEAN EXPRESS over, under and across the C ITY's Property more particularly described on Exhibit"A" attached hereto (the "Easement Area") for the construction, installation, maintenance, replacement and operation of the Pipeline (together with an easement for ingress and egress over and across the City's Property in order for OCEAN EXPRESS to have access to the Property and the Easement Area) and • the associated equipment to be used by OCEAN EXPRESS solely for the provisionsof the transmission of natural gas and associated condensates. 4. Approval of CITY: (a) OCEAN EXPRESS shall submit signed and sealed plans to the Building Official. OCEAN EXPRESS shall also comply with the technical requirements set forth in the Certificates. The CITY agrees that it will issue all applicable CITY permits relating to the construction and operation of the pipeline and OCEAN EXPRESS shall pay all applicable fees. (b) The Pipeline shall be placed underground and be constructed by OCEAN EXPRESS in accordance with applicable laws, rules, regulations and codes, as specified by law and in the Certificates. (c) OCEAN EXPRESS shall provide the City Building Official with as-built plans upon completion of all construction work on the CITY's Property. 5. Compensation: The consideration for the use of CITY Property by OCEAN EXPRESS for the purpose of installing and placing its Pipeline on the CITY'S Property shall be as follows: (a) Fee: As payment in full for the entire term of this Agreement, OCEAN EXPRESS shall pay CITY One Thousand One Hundred Five ($1 ,105.00) Dollars, for the right to construct, own, operate, and maintain the Pipeline pursuant to the terms of this Agreement. (b) Taxes: The consideration to be paid by OCEAN EXPRESS to the CITY under this Section is compensation for the use by OCEAN EXPRESS of the CITY's property and not to be considered as the payment of any taxes, as may be otherwise allowed by the Florida Constitution, the general or special laws of the State of Florida or any ordinance of the CITY. 6. Records: If the Florida Public Records Law is applicable to OCEAN EXPRESS, OCEAN EXPRESS shall preserve and make available all records and documents pertinent to this Agreement in accordance with the requirements of Chapter 119, Florida Statutes. In addition, OCEAN EXPRESS shall preserve and make available to CITY all financial records, supporting documents, statistical records, and any other documents pertinent to this Agreement for a period of time as required by the Public Records Law or for a period of four(4)years after termination of this Agreement, whichever is longer, or if an audit has been initiated and audit findings have been initiated and they • 2 have not been resolved at the end of the four (4) years, the records shall be retained until • resolution of the audit findings. 7. Release and Waivers: OCEAN EXPRESS acknowledges and realizes the potential dangers and risks associated with the types of activities described herein and hereby agrees to release, waive, discharge, and covenants not to sue the CITY, its officers, agents, and employees for any and all liability to persons for any and all damage, social and economic losses and any rights or claims which may be sustained by them directly or indirectly in connection with, or arising out of OCEAN EXPRESS' use of CITY's Property for the purposes set forth in this Agreement. 8. CITY does not assume any liability for injuries to or death of persons, damage to property, or loss of service claims by third parties as well as claims or penalties of any sort resulting from the installation, presence, maintenance, repair or operation or any other activity relating to the Pipeline by OCEAN EXPRESS or any other activities by OCEAN EXPRESS. 9. OCEAN EXPRESS agrees to defend, indemnify and hold harmless the CITY, its officers, employees and agents, from and against any and all costs, liabilities, losses, expenses and claims for damages of any kind, including but not limited to loss of life or personal injury and damage to property, arising out of and in connection with and including, but not limited to, the construction, presence, installation, maintenance, repair or operation by OCEAN EXPRESS of its Pipeline and use of the CITY's Property, whether any act or om ission complained of is authorized, allowed or prohibited by CITY or due to the issuance of a permit. The CITY's right to indemnification shall not be affected by the issuance of permits and inspection of plans or work by the CITY. Nothing in this Agreement shall affect the CITY's rights, privileges and immunities under the doctrine of sovereign immunity and as set forth in Section 768.28, Florida Statutes. The provisions of this section shall survive this Agreement. 10. Insurance: During the term of this Agreement, OCEAN EXPRESS shall maintain, or cause to be maintained, in full force and effect, at its sole cost and expense, the following types and limits of insurance: a. Workers' Compensation insurance shall be provided to apply for all employees in compliance with the Workers' Compensation Law of the State of Florida and all applicable federal laws. b. Comprehensive general liability insurance with minimum limits of Three Million ($3,000,000.00) Dollars per occurrence and in the aggregate fordeath, bodily injury, personal injury and property damage. The policy shall provide blanket contractual liability insurance for all written contracts and shall include coverage for products and completed operations liability, independent contractor's liability, coverage for property 3 damage from perils of explosion, collapse or damage to underground utilities commonly • know as XCU coverage. C. Automobile liability insurance covering all owned, hired, and non- owned vehicles in use by OCEAN EXPRESS, its employees and agents, with personal protection insurance and property protection insurance to complywith the provisionsof the applicable State law including residual liability insurance with minimum limits of Two Million ($2,000,000.00) Dollars per occurrence and in the aggregate for bodily injury and property damage. 11. Non-performance: OCEAN EXPRESS shall be in non-performance during the term of this Agreement if OCEAN EXPRESS fails to perform or observe any term, covenant, agreement or condition of this Agreement and such non-performance is not cured after CITY provides OCEAN EXPRESS and OCEAN EXPRESS' lenders with written notice of such non-performance and OCEAN EXPRESS, OCEAN EXPRESS' lenders, or both, and any of such parties' do not cure such non-performance within ninety (90) days from the date of the notice to cure such non-performance. In the event that such non- performance cannot be cured within ninety (90) days, OCEAN EXPRESS, OCEAN EXPRESS' lenders, or both, shall request in writing an extension to cure from the CITY. Failure by OCEAN EXPRESS or OCEAN EXPRESS' lenders or both to cure the non- performance during the requisite time, shall entitle the CITY to terminate this Agreement immediately. OCEAN EXPRESS is obligated to provide to the City Manager in writing the name and address of any and all lenders to whom or to which notice is to be given. Failure • of OCEAN EXPRESS to do so shall relieve the CITY of any responsibility to provide notice to any such lender(s). 12. Governing Law/Remedies: This Agreement shall be interpreted and construed in accordance with and governed by the laws of the state of Florida. Any controversies or legal problems arising out of this Agreement and any action involving the enforcement or interpretation of any rights hereunder shall be submitted to the jurisdiction of the federal courts of the Southern District of Florida or the appropriate state or local courts for Broward County, Florida. 13. Notices:All notices required in this Agreement shall be sent by certified mail, return receipt requested, and if sent to the CITY shall be mailed to: AS TO CITY: City Manager City of Dania Beach 100 W. Modifications: No changes, amendments, modifications, cancellation or discharge of this Agreement, or any part thereof, shall be valid unless in writing and signed by the parties hereto, or their respective successors and assigns. 15. Assignment: OCEAN EXPRESS shall not assign ortransferthis Agreement without the prior written consent of the CITY, which consent will not be unreasonably withheld or conditioned. Consent will be deemed granted within thirty (30) days of receipt by City of any request unless the CITY finds that the proposed assignee or transferee lacks the legal, financial or technical qualifications to operate OCEAN EXPRESS' system. Notwithstanding anything contained herein to the contrary, the CITY acknowledges and agrees that: (i) OCEAN EXPRESS shall be permitted to mortgage, pledge, assign or otherwise encumber all or any part of OCEAN EXPRESS' right, title and interest in and to this Agreement and the Property without the CITY's prior written consent; and (ii) the CITY's prior written consent shall not be required in connection with: (a) any transfer or assignment by virtue of the foreclosure or acceptance of an assignment or transfer in lieu thereof by any holder of any mortgage, deed of trust, security agreement or other security instrument which encumbers OCEAN EXPRESS' right, title and interest in and to this Agreement and the Property (collectively, a "Foreclosure Transferee"); and (b) any subsequent assignment or transfer of OCEAN EXPRESS' right, title and interest in and to 5 this Agreement and the Property granted hereunder by a Foreclosure Transferee to another person or entity. 16. Waiver of Compliance: No failure by either party to insist upon the strict performance of any covenant, agreement, term or condition of this Agreement, or to exercise any right, term or remedy consequent upon a breach thereof shall constitute a waiver of any such breach or such covenant, agreement, term or condition. No waiver of any breach shall affect or alter this Agreement, but each and every covenant, agreement, term or condition of this Agreement shall continue in full force and effect with respect to any other existing or subsequent breach hereof. 17. Binding Upon Successors and Assigns: The rights and obligations contained within this Agreement shall run with the lands described herein and shall inure to, be for the benefit of and obligate the parties, and their successors and assigns, and the agents, employees, invitees, tenants, subtenants, licensees, concessionaires, mortgagees in possession and independent contractors thereof. 18. Estoppel Certificates. a) OCEAN EXPRESS shall, at any time and from time to time, so long as this Agreement shall remain in effect, upon not less than fifteen (15) and not more than (30) days' prior written request by CITY, execute, acknowledge and deliver to CITY, or any iother person or entity specified by CITY, a written statement addressed to CITY and such other person or entity(which may be relied on by such person or entity) (a)certifying that (i) this Agreement is unmodified and in full force and effect (or if there have been modifications, that it is in full force and effect as modified, stating the modifications and if so requested, that the annexed copy of the Agreement is a true, correct and complete copy of the Agreement) and (ii)the date to which the fee and other charges due hereunder have been paid, if any, and (b) stating (i) whether OCEAN EXPRESS has given CITY written notice of any non-performance, or any event that, with the giving of notice or the passage of time, or both, would constitute a non-performance, by CITY in the performance of any covenant, agreement, obligation or condition contained in this Agreement, and (ii)whether, to the actual knowledge of OCEAN EXPRESS (but without independent inquiry), CITY is in non-performance in the performance of any covenant,agreement, obligation or condition contained in this Agreement, and, if so, specifying in detail each such non-performance. b) CITY shall, at any time and from time to time, so long as this Agreement shall remain in effect, upon not less than fifteen (15) and not more than thirty (30) days' prior written request by OCEAN EXPRESS, execute, acknowledge and deliver to OCEAN EXPRESS, and any other person or entity specified by OCEAN EXPRESS (including, but not limited to, any holder of any mortgage or other security interest which encumbers OCEAN EXPRESS' interest hereunder, a Foreclosure Transferee or other proposed transferee of this Agreement), a written statement addressed to OCEAN EXPRESS and • 6 such other person or entity (which may be relied on by such person or entity) (a) certifying • that (i) this Agreement is unmodified and in full force and effect (or if there have been modifications, that it is in full force and effect as modified, stating the modifications and if so requested, that the annexed copy of the Agreement is a true, correct and complete copy of the Agreement) and (ii) the date to which the fee or any other amounts due hereunder and other charges have been paid in advance, if any, and (b) stating (i) whether an event of OCEAN EXPRESS' non-performance hereunder has occurred or whether CITY has given OCEAN EXPRESS notice of any event that, with the giving of notice or the passage of time, or both, would constitute an event of OCEAN EXPRESS' non-performance hereunder, and (ii) whether, to the actual knowledge of CITY (but without independent inquiry), OCEAN EXPRESS is in non-performance in the performance of any covenant, agreement, obligation or condition contained in this Agreement, and, if so, specifying in detail each such non-performance. RECITALS The parties agree that the following facts are true and that those facts form the basis for this Agreement: A. OCEAN EXPRESS has received its FERC Certificates to construct, own, operate and maintain an approximately 54.5-mile interstate natural gas pipeline, beginning at a receipt point on the Exclusive Economic Zone ("EEZ") boundary between the United States and The Bahamas and terminating at two delivery points in Broward County, Florida, one at an interconnection with the Florida Gas Transmission System ("FG7) at the Florida Power & Light Company ("FPL") Fort Lauderdale Power Plant, and the other at an interconnection with the FPL gas line that services the FPL Fort Lauderdale plant (the "Pipeline"). B. OCEAN EXPRESS may build a portion of the Pipeline on two tracts of land located in Dania Beach, Florida and more particularly described in Exhibit A attached to and made a part of this Agreement (the "Site"). C. The CITY and OCEAN EXPRESS wish to enter into a service agreement which they believe will improve mutual understanding and cooperation regarding the construction and safe operation of the Pipeline. AGREEMENT In consideration of the Recitals above, the mutual promises and covenants below and other good and valuable consideration, the adequacy and receipt of which are acknowledged, the parties agree as follows: 1. Pipeline Safety a) The CITY and OCEAN EXPRESS agree that as required by the FERC Certificates or modification to the FERC Certificates, the Pipeline and aboveground facilities associated with the Ocean Express project must be designed, constructed, operated, and maintained in accordance with DOT Minimum Federal Safety Standards in 49 CFR Part 192. These regulations are intended to FTL 251149.2 ensure adequate protection for the public and to prevent natural gas facility accidents and failures. b) Furthermore, the CITY and OCEAN EXPRESS recognize that the FERC stated in the FERC Final Environmental Impact Statement ("FEIS")"Pipeline Accident Data"that the greatest cause of the failure of natural gas pipelines is a result of outside forces which mainly pertains to equipment operated by an outside party coming into contact with the pipeline. 2. CITY's Service Obligations. a) Commencing with the commercial operation date of the Pipeline, the CITY agrees it will provide a visual inspection service, to be performed twice a month, for OCEAN EXPRESS in order to identify any unauthorized construction activities along the onshore Pipeline route from RMP 48.03 to RMP 54.00, not including RMP 48.90 to RMP 49.40, as outlined in Exhibit B during the term of this Agreement. b) CITY agrees that it will provide to OCEAN EXPRESS its completed visual inspection check sheet, as outlined in Exhibit C, to OCEAN EXPRESS within 72 hours of completion of the twice monthly visual inspection. c) CITY agrees that should it detect any unauthorized construction activities along the portion of the Pipeline route described in Exhibit B it will immediately report the location of the activity to OCEAN EXPRESS. 3. OCEAN EXPRESS agrees to pay the CITY for the twice monthly visual inspection services Thirty Thousand ($30,000.00) Dollars annually for the term of this Agreement. The annual payment will commence on the date the Pipeline is placed into commercial operation. 4. CITY and its agencies agree to not (directly or indirectly) oppose or interfere with OCEAN EXPRESS in its efforts to obtain, maintain or modify the federal, state, or county permits or approvals necessary for the construction and operation of the Pipeline so long as the Pipeline is constructed and operated in accordance with the FERC Certificates and any modification to the FERC Certificates. 5. CITY and its agencies agree to promptly process and issue any and all necessary approvals, agreements and permits (including construction permits) for construction and operation of the Facility that may be required by OCEAN EXPRESS or its contractors. The foregoing shall be deemed to include easement agreements from the CITY in favor of OCEAN EXPRESS, in form and substance reasonably acceptable to the parties, that will allow OCEAN EXPRESS to construct, FTL 251 149.2 operate and maintain the Pipeline along the portion of the Pipeline route described in Exhibit B. 6. Severability. If any provision of this Agreement is held to be invalid or unenforceable for any reason, that invalidity or unenforceability shall not affect any of the remaining provisions of this Agreement, which remaining provisions shall be enforced as if the invalid and unenforceable provision had not been contained in this Agreement. Notwithstanding the foregoing, if any provision hereof that is held to be unenforceable is material to one or both of the parties hereto, then the party affected thereby shall have the right to terminate this entire Agreement. 7. Execution of Documents. This Agreement may be executed in several counterparts, any of which shall be regarded for all purposes as an original and all of which constitute but one and the same instrument. Each party agrees that it will execute any document or other instrument, and take such other action as is necessary to give effect to the terms of this Agreement. 8. Waiver. No waiver by any party of any term or condition of this Agreement is a waiver of any other term or condition. No waiver of any breach of this Agreement is a waiver of any subsequent breach whether of the same or of a different section, subsection, paragraph, clause, phrase, or other provision of this Agreement. 9. Termination. This Agreement will be immediately terminated upon any of the following events occurring: a) OCEAN EXPRESS surrenders its FERC Certificates issued on January 29, 2004. b) CITY's failure to perform its obligations under this Agreement. c) OCEAN EXPRESS' failure to pay its annual service agreement payment to the CITY within thirty (30) days of the receipt of notice from CITY that payment is past due. 10. Remedies Cumulative. Except as otherwise expressly provided herein, no remedy herein conferred upon any party is intended to be exclusive of any other remedy, and each and every such remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing at law or inequity or by statute or otherwise. No single or partial exercise by any party of any right, power or remedy hereunder shall preclude any other or further exercise thereof. 11. Entire Agreement. This Agreement is the entire agreement on the matter of the twice monthly inspections, existing between the CITY and OCEAN EXPRESS. FTL 251149.2 12. Governing Law. This Agreement shall be governed and construed • under the laws of the State of Florida. 13. Effective Date of Agreement and Term. This Agreement is effective when signed by all parties and will remain effective for twenty (20) years after the date the Pipeline commences commercial operation. 14. Successors and Assigns. This Agreement shall inure to the benefitof and be binding upon the parties and their respective successors and assigns. 15.Notices, Documents and Consents. a) All notices and the CITY's inspection check sheets required or authorized to be given by any party shall be in writing and maybe served personally or sent by registered or certified mail, return receipt requested, or by nationally recognized express delivery service, charges prepaid, receipt obtained. Whenever, under the terms of this Agreement, the CITY is authorized to give its consent, such consent may be given and shall be conclusively evidenced by an authorized representative of the CITY. d) Whenever, under the terms of this Agreement, OCEAN EXPRESS is 0 authorized to give its consent, such consent may be given and shall be conclusively evidenced by writing certified by an appropriate officer. Release and Waivers: OCEAN EXPRESS acknowledges and realizes the potential dangers and risks associated with the existence of facilities such as the Pipeline and hereby agrees to release, waive, discharge, and covenants not to sue the CITY, its officers, agents, and employees for any and all liability to persons for any and all damage, social and economic losses and any rights or claims which may be sustained by them directly or indirectly in connection with, or arising out of the services rendered or to be rendered by CITY as set forth in this Agreement. 18. CITY does not assume any liability for injuries to or death of persons, damage to property, or loss of service claims by third parties as well as claims or penalties of any sort, including any that OCEAN EXPRESS may have, resulting from any act or omission to act of CITY, or any of its officers, employees or agents in connection with the services specified in the Agreement, to be rendered by CITY. 19. OCEAN EXPRESS agrees to defend, indemnify and hold harmless the CITY, its officers, employees and agents, from and against any and all costs, liabilities, losses, expenses and claims for damages of any kind, including but not limited to loss of life or personal injury and damage to property, arising out of and in connection with and including, but not limited to, any act or omission to act of CITY or any of its officers, employees or agents in connection with inspection services related to the Pipeline whether any act or omission complained of is authorized, allowed or prohibited by CITY or due to the issuance of a permit. The CITY's right to indemnification shall not be affected by the issuance of permits and inspection of plans or work by the CITY. Nothing in this Agreement shall affect the CITY's rights, privileges and immunities under the doctrine of sovereign immunity and as set forth in Section 768.28, Florida Statutes. The provisions of this section shall survive this Agreement.
