MELI AQUATIC COMPLEX, SUBJECT TO CERTAIN TERMS AND CONDITIONS;PROVIDING FOR CONFLICTS;FURTHER, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the proper City Officials are authorized to execute a license agreement on behalf of the City with Griffin Civic Association, Inc. pertaining to Association use of an office located within the P.J. Meli Aquatic Complex. Section 2. That the City Manager and City Attorney are authorized to make minor revisions to such Agreement as are deemed necessary and proper and in the best interest of the City. Section 3. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 4. That this Resolution shall be in force and take effect immediately upon its passage and adoption. PASSED and ADOPTED on November 28, 2006. Meli Aquatic Center (the "Center"),which Center is located at 2901 SW 52 Street,Dania Beach, FL 33312. In consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and adequacy of which are acknowledged and agreed upon, the parties agree as follows: 1. City authorizes Association to use the Office located at the Center as its Association headquarters and to use the meeting room(the "Premises"). For the duration of this Agreement,the Association may continue to hold its monthly members' meeting on the first Tuesday of every month in the Main Hall Room of the Center free of charge. 2. Subject to the provisions of paragraph 5 below, this authorization shall continue as long as Association remains in existence, and meets the requirements of all applicable Florida laws. 3. Association agrees that it is solely responsible to protect and insure any of its personal property which is located in the Office and the Center, and Association agrees that the City will not be held liable for any loss of any kind whatsoever which may occur as a result of such use of the Office and meeting room, unless loss is due to the sole negligence of City, including any of its officers or employees. In addition, Association agrees to continuously maintain in full force and effect general liability insurance with a three hundred thousand($300,000.00)dollar per occurrence limit,to include bodily injury,death and property damage coverage,which policy shall name the City as an additional insured. 4. City agrees to maintain the Office and meeting room and to provide electric and other utility services,as well as pest control service at City expense;provided,however,that Association agrees to maintain the Office and meeting room in a neat and clean condition at all times and to dispose of its garbage and trash at the end of each day of Office use. 5. This Agreement shall expire twenty five (25) years after the date first appearing above, provided, however, the Association has the option to renew for an additional twenty-five (25) year term upon six months' advance written notice to City prior to the expiration of the original term. 6. It is agreed and understood between the City and the Association that the City is responsible for the repair of any structural defects or damage not caused by Association or arising out of its use (e.g., floor and walls), broken water or sewage pipes, roof repairs, the outside electrical service provided to its Center and all interior maintenance and repairs at the City's sole cost, expense and responsibility throughout the term of this Agreement and any extension to it. 7. The City,including any of its agents and employees,shall have the right to enter the Premises • during all reasonable hours, to examine the same to make such repairs, additions or alterations as may be deemed necessary for the safety, comfort, or preservation of them. 8. In consideration of the Premises being used by the Association free of rent and for Ten Dollars($10.00)and other good and valuable consideration,the receipt and sufficiency of which are acknowledged and agreed upon,the Association at all times will indemnify and hold harmless the City from all losses, damages, liabilities and expenses of any kind which may arise or be claimed against the City by any person,firm,or corporation for any injuries or damages to such person,firm, or corporation, consequent upon or arising from the use or occupation of the Premises by the Association . The parties acknowledge and agree that but for this indemnification, City would not have entered into this License Agreement.
