HomeMy WebLinkAboutR-2002-025 Authorizing the City Manager to contract for the purchase of phase 2 architectural services relating to a proposed fishing pier restaurant building RESOLUTION NO. 2002-025 A RESOLUTION OF THE CITY OF DANIA BEACH, FLORIDA AUTHORIZING THE CITY MANAGER TO CONTRACT FOR THE PURCHASE OF PHASE 2 ARCHITECTURAL SERVICES RELATING TO A PROPOSED FISHING PIER RESTAURANT BUILDING IN AN AMOUNT NOT TO EXCEED TWENTY-FIVE THOUSAND AND 00/130LLARS ($25,000.00) WITH ARONSON AND ASSOCIATES ARCHITECTURE, P.A., WITHOUT COMPETITIVE BIDDING AND WITHOUT ADVERTISEMENT FOR BIDS; PROVIDING FOR THE APPROVAL OF THE CONCEPT RENDERINGS PREPARED FOR THE PROPOSED FISHING PIER RESTAURANT AS PRESENTED BY NEAL ARONSON AND ASSOCIATES ARCHITECTURE, P.A.; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Charter of the City of Dania Beach, Part III, Article 3, Section 4, Subsection 0), provides that during unusual conditions or emergencies, the city commission may, by resolution, authorize the purchase by the city manager of designated supplies, services, equipment and materials in amounts in excess of fifteen thousand dollars ($15,000.00) without competitive bids and without advertisement for bids; and WHEREAS, the City Manager purchased Phase 1 Architectural Services in the amount of $25,000.00 on May 8, 2001 (Resolution No. 2001-081 identified as Exhibit "B") and has determined that it is necessary to purchase Phase 2 Architectural Services in connection with the design of a restaurant proposed to be located on the Dania Beach Pier; and WHEREAS, the City Manager has determined that such purchases can be made at the least cost to the City from Aronson and Associates Architecture, P.A. in an amount not to exceed $25,000.00; and WHEREAS, the City Commission has determined that unusual conditions are present in connection with the pier restaurant project, due to the lengthy delays experienced by the City in proceeding with the project,- 1 RESOLUTION NO. 2002-025 ® NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the Scope of Services from Aronson and Associates Architecture, P.A. for the purchase of Phase 2 Architectural Services, attached as Exhibit "A", are approved and the City Manager is hereby authorized to pay an amount not to exceed $25,000.00 from the general fund to Aronson and Associates Architecture, P.A. in connection with the design of a restaurant proposed to be located on the Dania Beach Pier. Section 2. That all resolutions or parts of resolutions in conflict with this resolution are repealed to the extent of such conflict. Section 3. That this resolution shall be in force and take effect immediately upon its passage and adoption. Section 4. February 20, 2002 Mr. Ivan Pato Re: Dania Beach Pier City Of Dania Beach Restaurant, Rest Rooms,and Bait Shop 100 West Dania Beach Blvd. City of Dania Beach, FL. 33004 Dania Beach, FL. 33004 It was a pleasure meeting with you and the rest of the City Commission Board Members to discuss the Design and Production of our Construction Documents for your Proposed Restaurant, Men's & Ladies Rest Rooms and Bait Shop with A Covered Entry Design, on the Existing Dania Pier of approximately 3,800 S.F. of Conditioned Space, and about 6,700 SF of Total Area, (exact square footage to be determined after the design development phase), on your parcel of land in the City Of Dania, Florida. The Proposal and Project was divided into Two phases; (1) Preliminary Site Plan, Preliminary and Schematic Design, Final Site Plan (Completed), and (2) Construction Documents of said Project. I take this opportunity to present to you; Aronson &Associates' Proposal for Architectural and Engineering Services required for the construction of the proposed Project and the Development of the above referenced Property. The Architect shall review the Program furnished by the Client to ascertain the Requirements of the Project, and shall review the understanding of such Requirements with the Client. The Architect shall review with the Client alternate approaches to Design and Construction of the Project. The Architect shall prepare, Preliminary Design Sketches based on the mutually agreed upon Program Requirements, consisting of Drawings and other Documents illustrating the scale and relationship of Project Components. These Drawings shall include the Design of said Project's Plan and Elevations. 'The Architect shall prepare drawings required for the Preliminary Site Planning Approval Board; such drawings may consist of a Survey (provided by Client) Site Plan, Floor Plan, Building Elevations & Site Lighting (provided by Architect). Landscape Plan, and Civil Engineering (provided by Our Civil Engineer). Pare for Approval any necessary Presentations indicating Materials and Colors being utilized for said Buildings. ("The Client shall be required to pay the direct cost related to any required Perspective Rendering, Building Elevations, Colored Landscape Plan and any Photographs.) The Architect shall attend any meetings to discuss the Application and Site Plan Administration Process within the Project's Jurisdiction with the Development Review Committee, Planning and Zoning Board and the City Council Board. The Architect& Engineer shall attend any meetings of the required Planning and Zoning Board Meetings and City Commission Board Meetings. The Architect Shall Not Provide Services for the Project as Follows: Land and/or Master Planning, Land uses Studies, Density and General Lot Layouts, Greenbelt and Recreation Areas. Any advertisements that may be required by the Agencies in said Jurisdiction. Any fees imposed by the Jurisdictction in reference to the Project. 2 Phase 2: Scope of Work: (Start of Phase 2 Contract) Construction Documents *Architect/Engineer Shall Provide Services for the Project as Follows: The Architect shall not start Construction Documents until he has written Approval to begin from Client. Obtain a copy of the City's Land Development Code for specific regulations, Procedures and Standards. Based.on the Approved.Schematic Drawings,.the Architect shall prepare, Design Development Drawings, and other Documents to fix and describe the size and character of the entire Project as to Architectural and Structural Only, (Excluding) Mechanical, and Electrical Systems, Materials and other such Elements. Based on the Approved Design Layout and any further adjustments in the Scope of the Project, the Architect shall prepare, Construction Documents consisting of Drawings and Specifications setting forth in detail the requirements for the Construction of the Shell of the Project. The Architect shall prepare Architectural Drawings consisting of. Site and Floor Plans, Exterior Elevations, Building & Interior Sections, Details and Specifications for the Building, as required to obtain a Shell Building Permit. .The Engineer shall.prepare Engineering.Drawings.consisting of: Structural;.including Foundation, Floor and Roof Framing Plans, Building & Interior Sections, Details and Specifications for the Building, as required to obtain a Shell Building Permit. Electrical, Plumbing and Mechanical Plans; including Electrical and Energy Load Calculations, Schematic Flat & Riser Diagrams,are not included within our Scope of Work. The Architect & Engineer shall provide all required information and Calculations pertaining to the Project consisting of Proposed 46 use, Current Zoning, Size, Acreage, Parking, Pervious and Impervious areas, Location and Height of the Structure with sions and Setbacks. Building Department and Local Governing Agency Corrections for the Project. Providing that the-Code Changes were initiated prior to issuance of the Signed and Sealed set of Construction Documents. Shop Drawings, Truss Plans and other Drawings prepared by Sub-Contractor shall be Approved by General Contractor and shall be certified to,be in.conformance with the Concept and Design of the Construction Documents by Aronson &Associates. The Architect/Engineer Shall Not Provide Services for the Project as Follows: Legal Plat of the property, Certified Soil Bearing Analysis &Testing Reports, Grading & Landscaping Plans. Current Land / Legal Survey of the Property indicating Legal Description, Location Map Site Boundaries, Ties to Section corners, existing Natural Features such as.Topography, Vegetation, Water Bodies, and,any existing Structure,and Paved areas; including Centerlines, Dimensions, Radii and Spot elevations (On Grade and at existing Structures) All Easements, Right- of ways, with indication of Centerline and width, Existing Median Cuts and Intersections, street light poles and Utility Company Facilities, and any other utilities and/or easements on the Site. A Site Plan consisting of Civil Drawings and specifications setting forth in detail the requirements for the Development of the site. Such drawings shall include Landscaping, Parking & Paving Layouts, Drainage Requirements, Water& Sewer Plans, Lift Stations, Setting of F.P.L. Transformers, and Power Poles. Etc. Any involvement in The State of Florida Growth Management Act Requirements, consisting of the Site Plan and Development for Consistency/Concurrency Review Process, Application, or Thereof. P•.ation, filing or handling of any Applications, Letters of Request or Thereof; such as Site Plan, Master plan Applications, Tenant or Owner Affidavits, Attorney Affidavits, Disclosure of ownership, Water and Wastewater facilities, Approval of all Service Refuse Company, Etc. 3 HN.A.C. Plans & Manual "J" Calculations, Truss Shop Drawings, Interior Design Layouts, Rendered Floor Plans and Elevations. Kitchen Layout& Equipment Specifications, Grease Trap, Etc. Fire Sprinkler suppressions system drawings, such information shall be supplied and provided by the contractor or other qualified :contractors if needed for permit. Any advertisements that may be required by the Agencies in said Jurisdiction. Any fees imposed by the governing Agencies in reference to the Project. Article 2 -Additional Services: General Additional Services Such Additional Services shall include, Planning Surveys, Measured Drawings of Existing Conditions, Coordination of Separate Contractors, Independent Consultants, and Project Managers of Construction. Optional Floor Plans and/or Elevations shall be prepared upon Client's request as an Additional Service for which Aronson & Associates shall be compensated pursuant to this Article. Prepare any additional Presentations indicating Materials and Colors being utilized for said Buildings. (*The Client shall be required to pay the direct cost-related to any required perspective Rendering, Building Elevations, Colored Landscape Plan and any Photographs.) Additional Architectural Drawings, Details or Engineering due to unforeseen circumstances. Revisions in Drawings, Specifications or other Documents made by the Client after Design Development Approval, or are due to other causes not solely within the control of the Architect and/or Engineer. Ag Revisions in Drawings, Specifications or other Documents when such Revisions are inconsistent with written Approvals or Instructions previously given, are required by the Enactment or Revision of Codes, Laws or Regulations subsequent to the preparation of such Documents or are due to other causes not solely within the control of the Architect. Providing Services made necessary by the default of the Contractor, or by major defects or deficiencies in the work of the Contractor, or by failure of performance of either the Client or Contractor under the Contract of Construction. Preparing a set of Reproducible Record Drawings showing significant changes in the work made during Construction based on Marked-up Prints, Drawings and other Data furnished by the Contractor to the Architect. Providing any other Services not otherwise included in this Agreement or not customarily furnished in accordance with generally accepted Architectural Practice. Construction Administration Phase The Architect shall visit the Site at intervals appropriate to the Stage of Construction or as otherwise agreed by the Architect in writing to become generally familiar with the Progress or Quality of the work and to determine in general if the work is proceeding in accordance with the Contract Documents. However, the Architect shall not be required to make Exhaustive or Continuous On- Site Inspections to check the quality or quantity of the work, and shall endeavor to guard the owner against Defects and Deficiencies in the work of the Contractor. The Architect shall not have control or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the work, for schedules or failure to carry out work in accordance to the Construction Documents, or for the acts or omissions of the contractor, sub-contractors or any other persons performing any of the work. 4 Article 3 - Client's Responsibilities The Client shall provide Full Information regarding requirements for the Project including a Program, which shall set forth the Client's Design objectives, Constraints and Criteria, including space requirements and relationships, flexibility and expandability, sOc" al equipment and systems and site requirements. Tlient shall also provide to the Architect a current Land Survey and / or any other Drawings, Documents, Reports and tests that pertain to the Project. The Client shall furnish Structural, Mechanical, Chemical, Air, Water Pollution, Hazardous Materials, and other Laboratory and Environmental Tests, Inspections and Reports required by Law or the Contract Documents. The Client shall furnish the Services of other Consultants when such services are reasonably required by the Scope of the Project and are requested by the Architect. The Services, Information, Surveys and reports required by the Architect shall be furnished at the Client's expense, and the Architect shall be entitled to rely upon the accuracy and completeness thereof. The Client shall render,decisions in a timely manner pertaining to Documents submitted by the Architect in order to avoid unreasonable delay in the orderly and sequential Project of the Architect's Services. If the Client provided a budget for the Project it shall include contingencies for bidding, changes in the work during Construction, and other costs which are the responsibility of the Client. Article 4 - Ownership and Use of Documents Drawings.and Specifications as instruments of Service are and shall remain the Property of the Architect whether the Project for which they are made is executed or not. The Client shall be permitted to retain copies of the Drawings and Specifications for infoo ation and reference in connection with the Client's use and occupancy of the Project. Th�'6rawin s and Specifications g Specif ations shall not be used by the Client on other Projects, for Additions to the Project, or for completion of this Project by others provided.the Architect is not in default under this Agreement, except by Agreement in writing and with appropriate compensation to the Architect. Aronson & Associates hereby expressly reserves the Copyright and other Property Rights in these Plans and Designs. These Plans and.Designs are not to be Reproduced, Changed or Copied in any Form or Manner whatsoever, nor are they to be assigned to any Third Party, except applicable lending institution, without first obtaining the express Written Permission of Aronson & Associates. The Architect shall have the Right to include representations of the Design.of Project, including Photographs of the exterior and interior, among the Architect's Promotional and Professional materials. The Architect's materials shall not include the Client's confidential or proprietary information of the Client has previously advised the Architect in writing of the specific information considered by the Client to be confidential or proprietary. The Client shall provide Professional credit for the Architect on the Construction Sign and in the promotional materials for the Project. Article 5 - Termination, Suspension or Abandonment of Agreement This Agreement may be Terminated by either Party upon not less than seven (7) days' written notice should the other Party fail substantially to perform in accordance with its Terms through no fAult of the Party initiating the Termination. If the Project is suspended by the Client for more than thirty (30) consecutive days, the Architect shall be compensated for services performed prior to notice of such suspension. When the Project is resumed, the Architect's Compensations shall be equi bly adjusted to provide for expenses incurred in the interruption and resumption of the Architect's Services. 5 This Agreement may be Terminated by the Client upon not less than seven- (7) days' written notice to the Architect in the event that the Project is permanently abandoned. If the Project is abandoned by the Client for more than ninety (90) consecutive days, the Architect may terminate this Agreement by giving written notice. Fp'lure of the Client to make payments to the Architect in accordance with this Agreement shall be considered substantial erformance and cause for termination. If the Client fails to make payment when due the Architect for Services and Expenses, the Architect may, upon seven- (7) day written notice to the Client, suspend performance of services under this Agreement. Unless payment in full is received by the Architect within seven (7) days of the Date of the Notice, the suspensions shall take effect without further notice. In the event of a suspension of services, the Architect shall have no liability to the Client for delay or damage caused the Client because of such Suspension of Services. In the event of Termination not the fault of the Architect, the Architect shall be compensated for services performed prior to Termination, together with Reimbursable Expenses then due and all Termination Expenses. .Termination Expenses are in addition to.Compensation for Basic and Additional Services, and include Expenses, which are directly attributable to Termination. Termination Expenses shall be computed as a percentage of the total compensation for Basic Services earned to the time of Termination, as follows: 1. Twenty percent of the total Compensation for Basic and Add itiona[;Services earned to';date if Termination occurs before or during the Pre-design, Site Analysis, or Schematic Design Phases; or 2. Ten percent of the total Compensation for Basic and Additional Services earned to date if Termination occurs during the Design Development phase; or 3. Five percent of the total Compensation for Basic and Additional Services earned to date if Termination occurs during any subsequent phase. Article 6 - Extent of Agreement Successors and Assigns: T Client and Aronson &Associates, each bind themselves, their Partners, Successors, Assigns and Legal Representatives to the other Party to this Agreement and to the Partners, Successors, Assigns and Legal Representatives of such other Party with ,respect to all covenants of this Agreement., Neither the Client nor Aronson &,-Associates shall Assign, Sublet or'Transfer any interest in this Agreement without the written consent of the other. This Agreement represents the entire and integrated Agreement Between the Client and the Architect and supersedes all prior negotiation, Representations or Agreements, either written or oral. This Agreement may be amended only by Written Instrument Signed by both Client and Architect. Article 7 - Payments :to the Architect & Reimbursable Expenses An initial Payment shall be made as a Retainer. Work shall commence once the Contract is Signed and returned with the Retainer. Payments due to Aronson & Associates under this contract which are not paid within Thirty (30) Days of the statement date shall bear a Service Charge of 1.5% Per Month on the unpaid balance. Reimbursable Expenses are in addition to the compensation for Basic and Additional Services and include actual expenditures made by the Architect and the Architect's Employees and consultant in the interest of the Project for the expenses listed in the following Sub-Paragraphs: Expense of Reproductions, Postage and Handling of Drawings, Specifications and other Documents, Photographic Production Techniques, Transportation, and Long Distance Communication. Eese of Additional Insurance coverage or limits, including Professional Liability Insurance, requested by the Client in excess of that normally carried by the Architect and Architect's Consultants. 6 Article 8 - Compensation and Methods of Payment The Client Shall Compensate the Architect for the Scope of Services Provided, According To the Terms and Conditions of This reement, As Follows: Price & Payment Schedule is Based on (6,700 SF Under Roof& 2,000 SF Exterior Hardscape) Exterior Hardscape &Additional Exterior Amenities, are included in this Square Footage Exact Square Footage will be determined after the Design Development Phase Upon determination of the Exact Square Footage the price will be adjusted accordingly Phase 1: Site Planning Approval Process: (Completed) Retainer: 18% Of Phase 1: Fee $ 4,200.00 (Paid) Design Development Phase: 36% Of Phase 1: Fee $ 8,400.00 (Paid) Preliminary Site Planning Administration: 46% Of Phase 1: Fee $10,650.00 (Billed) Additional Services: (3) Color Rendering Boards—(2) (a $750 00/Each & (1) 0 $250 00 $ 1,750.00 (Billed) Total: $25,000.00 Phase 2: Architectural & Engineering Construction Documents: (Start of Phase 2 Contract) An initial payment of Five Thousand Dollars And Zero Cents ($5,000.00) shall be made upon execution of this agreement and credited to the owner's account as a Retainer and deducted from the last invoice for this Phase.
