HomeMy WebLinkAboutO-2006-044 Dania Beach Grill Third Amendment ORDINANCE NO. 2006-044 AN ORDINANCE OF THE CITY OF DANIA BEACH, FLORIDA, APPROVING EXECUTION OF A THIRD AMENDMENT TO A LEASE AGREEMENT EXISTING BETWEEN THE CITY AND DANIA BEACH GRILL, INC., COVERING THE PROPERTY KNOWN AS THE DANIA BEACH GRILL AND MORE PARTICULARLY DESCRIBED IN THE LEASE; AUTHORIZING THE EXECUTION OF THE AMENDMENT TO THE LEASE BY THE APPROPRIATE CITY OFFICIALS TO PROVIDE FOR DELETION OF THE ANNUAL RENT ADJUSTMENT UNTIL THE END OF THE CURRENT LEASE TERM (FEBRUARY 15, 2009); PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That a Third Amendment to a Lease Agreement existing between the City of Dania Beach, as Landlord, and Dania Beach Grill, Inc., a Florida Corporation, as Tenant, and covering the property known as the "Dania Beach Grill" and more particularly described in the original Lease Agreement, to provide for deletion of the annual rent adjustment until the end of the current lease term (February 15, 2009) is approved, a copy of the Third Amendment to the Lease Agreement, identified as Exhibit "A", is attached and made a part of this Ordinance. Section 2. That the proper City officials are authorized to execute the Third Amendment to Lease on behalf of the City of Dania Beach, Florida. Section 3. That if any section, clause, sentence or phrase of this Ordinance is for any reason held invalid or unconstitutional by a court of competent jurisdiction, the holding shall not affect the validity of the remaining portions of this ordinance. Section 4. That all ordinances or parts of ordinances in conflict with the provisions of this Ordinance are repealed. Section 5. This is a Third Amendment to a Lease Agreement, which Lease Agreement exists between the City of Dania Beach, Florida, as Landlord ("Landlord") and Dania Beach Grill, Inc., a Florida corporation as Tenant ("Tenant"). This Third Amendment is entered into and becomes effective on'i>Ct /41, 2006, and it is an amendment to the existing Lease Agreement, which Agreement is dated February 14, 1999 (the "Agreement"). The Landlord and Tenant wish to amend the Agreement. In consideration of the mutual covenants, terms and conditions contained in the Agreement and this Amendment, and other good and valuable consideration, the adequacy and receipt of which are acknowledged, the parties agree to the following: 1. Paragraph 4, entitled "RENT" is amended to add the following: For the time period extending from the effective date of this Third Amendment to the Lease until expiration of the Lease (February 15, 2009), the rental shall not be annually increased, as the Lease currently provides (pursuant to Paragraph 3 of the February 15, 2004 Amendment to the Lease Agreement, which created Paragraph 4a) pertaining to rent and a four percent (4%) annual adjustment. 2. In all other respects, except as amended by the First and Second Amendments to Lease and as further amended by this Third Amendment, the Lease is ratified and reaffirmed and remains in full force and effect. IN WITNESS OF THE FOREGOING, the parties have executed this Third Amendment on the day and year first above written, effective retroactively on the date specified above.
