DIETZ) AND THE CITY OF DANIA BEACH FOR FLEET MAINTENANCE AND REPAIR SERVICES ON RESCUE VEHICLES FOR THE DANIA BEACH FIRE DEPARTMENT; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1: That certain Agreement between EVT (Walter C. Dietz) and the City of Dania Beach, for fleet maintenance and repair services on rescue vehicles for the Dania Beach Fire Department, in substantial form as Exhibit "A", attached, is approved and the appropriate City officials are directed to execute same; provided, however, that the City Manager and City Attorney are authorized to make minor revisions to such Agreement as are deemed necessary and proper for the best interests of the City. Section 2: That all resolutions or parts of resolutions in conflict with this resolution are repealed to the extent of such conflict. Section 3: That this resolution shall be in force and take effect immediately upon its passage and adoption. ANSBVb CITY ATTORNEY RESOLUTION NO: 2001-082 EVT City of Dania Beach Preventive Maintenance Proposal Article I Term 1.1 This Agreement will commence on May 8 , 2001 and will continue for One (1) year. 1.2 This Agreement may be renewed for successive one (1) year terms on the same conditions stated herein. The renewal will be automatic unless either party has cancelled this agreement or states in writing to the other party that such party has decided not to renew the Agreement. 1.3 Either party may terminate the term of the Agreement without cause upon thirty (30) days prior written notice to the other party at any time, or for cause upon ten days prior written notice to the other party. Article 2 Scope of Services 2.1 EVT (Walter C. Dietz) shall provide Fleet Services relating to preventive maintenance and repair of The City of Dania Beach equipment, vehicles, rescues ® and apparatus, as more specifically set forth in Exhibit "A" attached hereto and incorporated herein by reference. 2.1.1 Maintenance and repair service includes: • Preventive maintenance • Minor and major component repair or replacement • In station service • Vehicle preparation, investigation and decommissioning • Roadside emergency service (No additional charge) • After hours service(No additional charge) 2.2 Repair Priority -The Dania Beach Fire Rescue department shall receive priority over any and all other work in progress or pending. 2.3 Quality of work — All work will be performed at the highest level of quality possible. An ASE Master Mechanic and Master EVT Technician will perform all work. 2.4 Pump Testing — EVT (Walter C. Dietz) will schedule annual pump tests. A Certified Mechanic will administer testing. The mechanic will be on site during pump testing to repair any minor discrepancies that come up during the test. ® EXHIBIT �o ®� Pagel of 3 w' EVT City of Dania Beach Preventive Maintenance Proposal 2.5 Waste — The City of Dania Beach shall be responsible for the transportation and proper disposal of any waste generated during the maintenance process. Disposal will be in accordance with any and all regulatory agencies. 2.6 Parts — All parts will be purchased by The City of Dania Beach. In the event of an emergency, EVT (Walter C. Dietz) will purchase the parts required to expedite the repair and charge The City of Dania Beach for the actual cost of the part or parts with no additional charge or mark up to the City. All parts will meet or exceed manufacturers specifications. 2.7 Warranty — All repairs, including parts and labor will be under warranty for ninety (90) days following the repair. Failure of any such repairs which occur within the ninety(90) day period will be repaired free of charge. 2.8 EVT (Walter C. Dietz) will assist The City of Dania Beach in securing warranty service for equipment and vehicles operating under an Operating Equipment Manufacturer warranty. The appropriate certified vendor will perform work unless otherwise directed by The City of Dania Beach. 2.9 Preventive Maintenance(PM)—Maintenance of automobiles, rescues, apparatus and aerial shall be classified as follows: 2.9.1 Regular service • • Replace engine oil and filter • Replace fuel filters • Replace compressor and water filters (if applicable) • Lubricate complete vehicle: Steering components, chassis, suspension, power train and brake linkage. • Top off all fluid levels • Complete inspection of vehicle (see attached check-off sheet) (includes pump, valves and controls) 2.9.2 Annual service • Will consist of regular service in addition to; • Replace transmission oil and filter • Replace air filter • Drain and refill transfer case (if applicable) • Drain and refill differential(if needed) • Drain and refill steering system (if needed) • Replace/clean crankcase, transfer case and axle breather (if applicable) 2.9.3 Aerial service • Regular aerial service includes inspection, lubrication and adjustments. • .Annual aerial service includes regular service items in addition • to; check and torque all mounting bolts, replace filters, drain and refill gear box. Page 2 of 3 EVT City of Dania Beach Preventive Maintenance Proposal • Article 3 Payment of Services 3.1 EVT (Walter C. Dietz) shall submit invoices to The City of Dania Beach on a weekly basis for preventive maintenance and repairs, inclusive of costs for parts and labor, provided to the City of Dania Beach. 3.2 Upon receipt of such invoices, The City of Dania Beach shall remit payment for the aforementioned services within twenty (20) days of the invoice date. Dietz) hereby agrees to indemnify and hold harmless the City of Dania Beach, its officers, agents and employees free and harmless from any and all claims, liability, cause of action, expense or charge, or whatever kind of nature, including, but not limited to, personal injury, loss of life, property damage including loss of use thereof, and against all loss of life, which may arise out of or be connected with the performance of (EVT) Walter C. Dietz's duty hereunder, and shall indemnify the City of Dania Beach against any suits, actions, claims, damages, or causes of action brought by or on behalf of any person arising out of performance of such duties, and pay all costs and expense in connection therewith. Cris has provided us with his hourly fees for emergency repairs as well as his charges for preventive maintenance. He is certified and licensed in all areas of mechanics including diesel, electric, pumps, brakes, etc. allowing him to make emergency repairs and perform preventive maintenance on site. He is always on call and has, on a number of occasions, performed emergency repairs on weekends, holidays and during the night when necessary. He does not bill at a higher rate for the foregoing, just his normal hourly charges. Cris is able to purchase parts at wholesale, a savings which he passes on to the city. His willingness to repair vehicles on site saves us a tremendous amount of money as well as allowing us a more rapid turnaround in putting our equipment back in service. To utilize an off-site repair service would necessitate the use of personnel in transporting a disabled vehicle back and forth from the repairing agency and would definitely increase the time in which we are able to get a vehicle back in service. We feel the arrangement we have with Cris has been cost effective over the past five years and is the most efficient method of maintaining our vehicles. In the event Cris is unavailable, we have agreements in place allowing us to utilize either the City of Hollywood or Broward County for emergency repairs. In light of the foregoing, I strongly recommend that we continue our association with Cris. He has taken it upon himself to learn the maintenance history of each of our units, makes sure all parts are properly warranteed. Because of his expertise, he has, in the past been able to save us thousands of dollars in the replacement and/or repair of out of warranty equipment because he was able to show the manufacturer that the equipment was faulty to begin with. In one instance alone Cris was able to save us approximately $10,000.00 on an out of warranty trgnsmission part which he proved to be defective. It is my opinion that utilizing another mechanic or repair facility would cause the city to is expend unnecessary funds and would result in inordinate "downtime" for our vehicles.
