SIVER AND ASSOCIATES DBA/SIVER INSURANCE CONSULTANTS; PROVIDING FOR CONFLICTS, PROVIDING FOR SEVERABILITY; FURTHER, PROVIDING AN EFFECTIVE DATE. BE IT, RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA; Section 1. That certain Risk Management Consulting Agreement between E.W. Siver and Associates dba/Siver Insurance Consultants and the City of Dania Beach for risk management and insurance consulting services, a copy of which is attached to this Resolution as Exhibit "A, is approved and the appropriate city officials are authorized to execute same. Section 2. That the Acting City Manager and City Attorney are authorized to make minor revisions to such Agreement as are deemed necessary and proper for the best interests of the City. Section 3. That all resolutions or parts of resolutions in conflict with this resolution are repealed to the extent of such confluct. Section 4.. That this resolution shall be in force and take effect immediately upon its passage and adoption. CITY ATTORNEY 2 RESOLUTION NO. 2001-090 RISK MANAGEMENT CONSULTING AGREEMENT ® This AGREEMENT made and entered into this 22nd dayof May, 2001, b and between the City of Y, Y Y Dania Beach, Florida, a municipal corporation of the State of Florida, hereinafter referred to as the "City", and E. W. Siver and Associates, Inc., dba/Siver Insurance Consultants, an insurance consulting firm, hereinafter referred to as the"Consultant", for risk and insurance management services. WHEREAS, the City desires to utilize the services of the Consultant in connection with its risk exposures, and WHEREAS, the Consultant agrees to render such services NOW, THEREFORE, the parties hereto do mutually agree that: 1. The Consultant shall: A. Assist with identification and measurement of all exposures to the risk of loss, including the review of all activities and/or programs under consideration. B. Assist with selection of risk management techniques and methods of treatment to address identified exposures. C. Review risk management procedures, including loss control and safety programs. This will include review of personnel procedures which may place the City of Dania Beach at risk. D. Assist with assessment of risk retention capabilities of the City of Dania Beach to determine whether this capacity and deductibles or self-insurance are properly balanced. ® E. Assist with preparation and processing of annual insurance renewals. F. If insurance program is marketed: - Preparation of bid specifications. - Assist with selection of providers to whom specifications will be released. - Preparation of recommendations regarding purchase action. G. Audit upon request, all insurance policies and bonds. H. Provide up to date information concerning insurance issues such as trends and proposed legislation. I. Provide a source for answers to risk management problems as they occur. 2. The City shall: A. Make available all insurance policies, bonds, contracts, leases, agreements, reports and any other data that may be required by the Consultant to properly fulfill the obligations of this Agreement. B. Compensation for the following hourly rates will be effective until May 22, 2003. Principal Consultant $ 135.00 per hour effective May 22, 2001 Consultant $ 135.00 per hour effective May 22, 2001 Clerical $40.00 per hour effective May 22, 2001 EXHIBIT 'BAO' C. Pay the Consultant on a monthly basis beginning with the first of each month following the effective date of this Agreement, upon billing which shall include details of time expended. 3. In no event will the Consultant initiate action resulting in expense to the City without prior approval of the City or its designated deputy. 4. The scope of the risk management services will include Property, Casualty, Surety, Workers Compensation and Employee Benefits, exclusive of pension or retirement plans. 5. The agreement may automatically be renewed on a yearly basis. Projected rate fees will be provided to the City as a current client, a minimum of nine (9) months in advance of the effective date. Renegotiations of agreement terms must occur ninety (90) days prior to the automatic renewal date, which will be the date of execution. 6. This Agreement may be terminated by either party upon thirty (30) days prior written notice. In the event of cancellation by the City, the Consultant shall be entitled to compensation for all work completed and in progress. Should the Consultant cancel the agreement, all phases of work in progress will be completed unless mutually agreed upon otherwise. Siver is proposing consulting services for the property and casualty insurance and employee benefits for the City of Dania Beach. SIVER QUALIFICATIONS The Consultant personnel who will be performing the services for the City are all properly licensed in the State of Florida. Siver has been offering independent insurance, risk management, and employee benefits advice and opinions since 1970. We do not sell insurance or have any affiliation with any insurance company, agency, brokerage, or other service provider. Due to Siver's extensive experience with Florida governmental entities in property/liability insurance and employee benefits, we are uniquely suited to assist the City with their various consulting needs. We have included three references on the proposal forms provided by the City of Dania Beach. Each of the references listed represent Florida governmental entities for whom Siver performs both property and casualty insurance and employee benefits consulting work. Siver performs consulting services for numerous Florida governmental organizations including the following: South Broward Hospital District, JIVER INSURANCE CONSULTANTS Ms. Charlene Johnson, CMC March 27, 2001 Page 2 Broward County Board of County Commissioners, School Board of Broward County, City of Miami Beach, and Miami-Dade School District. These entities were not used as references as we do not perform both property and casualty and employee benefits services. Due to the close geographic proximity to the City of Dania Beach, these entities are shown in Exhibit B of our proposal in addition to the references included on the proposal form. PROPOSAL ORGANIZATION Our proposal is organized with the following exhibits following the completed proposal forms. EXHIBIT A- SIVER PERSONNEL&RESUMES • Exhibit A provides the City with information regarding the credentials of the Siver consulting staff and individual resumes for the Siver staff. EXHIBIT B -FIRM EXPERIENCE & GOVERNMENTAL LISTINGS Exhibit B provides the City with a brief background of Siver Insurance Consultants and details regarding the extensive experience Siver staff has had with the insurance, risk management, and employee benefit programs for Florida governmental entities. In addition to the references provided in the proposal forms, this section also includes a listing of other Florida governmental clients of Siver. EXHIBIT C - FAMILIARITY WITH APPLICABLE LAW Exhibit C demonstrates in detail the special qualifications of the Siver consulting staff as respects familiarity with legal issues, and includes a description of the procedures and resources available to personnel to keep current on legal and insurance matters. The following is a very brief synopsis of some of the more relevant information provided in Exhibit C: Both Jim Marshall, the lead consultant, and George Erickson hold Juris Doctorates and, although not in the active practice of law, are members of the Florida Bar. EXIIIBIT D - SIVER CONSULTING SERVICES Exhibit D describes many of the insurance, risk management, and employee benefits services which Siver provides to their clients. SUMMARY AND CLOSING We sincerely believe that this proposal will demonstrate that Siver Insurance Consultants is the best qualified consulting firm to provide the services requested by City of Dania Beach. Jim Marshall is a graduate of Stetson University College of Law, where he graduated Magna Cum Laude and was Valedictorian of his law school graduating class. We have assisted a number of clients in establishing formal scopes of coverage and procedures both as ordinances and as manuals.23 23 SIVER INSURANCE CONSULTANTS ® Governmental Status-The Siver staff has worked extensively with our Florida governmental clients' legal counsel on many issues which arise because of their status as a Florida political entity. These issues include special problems which arise due to the sovereign immunity granted to Florida governmental entities under Florida Statute §768.28, various problems which arise out of statutory limitations on the types of contracts governmental entities can enter into, and problems which arise in the insurance marketing process due to laws and local ordinances dealing with procurement and disclosure processes. Manuscripted Insurance Provisions - In many instances, the standard policy provisions are not appropriate for our clients. We have developed for many of our clients a number of provisions and, in fact, entire policies to meet their specific needs. Development and Negotiation of Risk Management Contract Provisions - We have provided substantial assistance to counsel for many of our clients in the development and negotiation of risk management provisions including insurance,indemnification, risk of loss, bonding, and warranties. SUMMARY EXPLANATION & BACKGROUND: Stanford Insurance Consultants, Inc. has declined contract renewal. Therefore, an RFP was issued with proposals to be received by March 28, 2001. The City received 5 bids on the RFP issued for these services. Staff reviewed all bids and checked references. Presentations were made by two firms selected by staff to the Commission at a workshop meeting on Thursday, May 17, 2001. This is a request to award the bid for insurance consultant services to E.W. Siver • and Associates, dba/Siver Insurance Consultants. Siver Insurance Consultants was determined to be the firm best able to meet the City's insurance consulting needs. Siver Insurance Consultants has agreed to provide this service at the rate of$135.00 per hour for consultants'time and $40.00 per hour for technical support.
