A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF DANIA BEACH, FLORIDA, APPROVING THE
PROFESSIONAL SERVICES AGREEMENT WITH
GOVERNMENT SERVICES GROUP, INC. AND THE CITIES
OF DANIA BEACH, POMPANO BEACH, HALLANDALE
BEACH AND PEMBROKE PINES ("THE COALITION") FOR
THE PREPARATION OF A PHASED REVIEW OF
COALITION'S CURRENT AGREEMENT FOR SOLID
WASTE DISPOSAL SERVICES WITH WASTE
MANAGEMENT, INC.; PROVIDING FOR CONFICTS;
FURTHER, PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the cities of Dania Beach, Pompano Beach, Hallandale Beach and
Pembroke Pines ("The Coalition") have an agreement with Waste Management of
America for solid waste collection services within their cities;and
WHEREAS, the Coalition has proposed to study the fiscal analysis of the solid
waste disposal services agreement between the Coalition and Waste Management of
America;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1: That the Professional Services Agreement with Government
Services Group (GSG) outlining the Scope of Services for reviewing the solid waste
collection services and related costs (of which approximately $3,068.00 will be paid by the
City of Dania Beach), is hereby approved, and all appropriate City officials are authorized
and directed to sign all documents necessary to implement the review, in a form
acceptable to the City Attorney.

Section 2: That this resolution shall be effective immediately upon its
passage and adoption.

We are returning two (2) executed Revised Professional Services
Agreements relating to the phased review of the Coalition's current agreement
for Solid Waste Disposal Services with Waste Management, Inc. Please discard
the previously sent agreements that do not include Section 19.
Upon execution by Mr. Robert Sheets, please remember to include the
date on the first page of both agreements, retain one original agreement and
return the other original agreement to me for the City's records.

PROFESSIONAL SERVICES AGREEMENT
This Professional Services Agreement(the"Agreement") is entered into this day of
, 2001, by and between the City of Dania Beach (the"City"), on behalf of itself, the Cities
of Pompano Beach, Hallandale Beach and Pembroke Pines (collectively, "the Coalition"), and
Government Services Group, Inc. ("GSG"), a Florida corporation.
5 WITNESSETH
WHEREAS,the Cities of Dania Beach, Pompano Beach, Hallandale Beach and Pembroke Pines
Y have an agreement with Waste Management of America for solid waste collection services within their
cities;
WHEREAS, the Coalition has proposed to study the fiscal analysis of=the solid waste disposal
services agreement between the Coalition and Waste Management of America; and
WHEREAS, the Coalition has agreed that the City of Dania Beach shall serve as the Project

Administrator under this Agreement, on behalf of all the cities in the Coalition; and
WHEREAS, GSG is well qualified and experienced in assisting local government with the
analysis of the fiscal and economic impact of service delivery options; and
WHEREAS, GSG shall furnish specialized professional services directly to the staff of each city in
the Coalition.
NOW,THEREFORE, it is agreed as follows:

TERMS
1. Recitals. The recitals and all statements contained herein are hereby incorporated into and
made a part of this Agreement.
f 2. Services to be Performed by GSG. GSG shall, in conjunction with the general direction of the
office of the City Manager for the City of Dania Beach or his representative designees, provide the
«" professional services described in the Scope of Services attached hereto as Appendix A in order to assist
the Coalition in the analysis of the economic value of the services under the Waste Management of
America contract.
3. Term of the Agreement and Time Requirements. This Agreement shall become effective upon
the signature by the duly authorized representative of the City and GSG to project the economic value of
r the services currently provided by contract from Waste Management of America to the Coalition. GSG
shall promptly begin and diligently provide the professional services contemplated herein generally in
accordance with the Deliverables and Payment Schedule attached hereto as Appendix C. Accordingly,
time is of the essence of this Agreement.
In the event of termination prior to the completion of the Solid Waste Collection Services Analysis
Project provided for by this Agreement, such termination shall in no way prejudice the payments due to
GSG for services rendered, provided that the termination is not due to a default on the part of GSG. The
City, at its sole option, may decide not to move forward at any time,with only the professional fees and
expenses actually incurred through the date GSG is notified of termination then being due and payable.
In the event the City terminates this Agreement for any reason other than default by GSG and the City
continues to proceed with the Solid Waste Collection Services Analysis Project, the City shall provide a
written general release for GSG, which is unqualified and absolute, concerning all advice, work product,
responsibility and liability arising under this Agreement.
4. Schedule of Fees. For services to be provided hereunder, GSG shall work under a lump sum
professional fee arrangement described in the Hours and Fee Matrix in Appendix B on the payment basis
described in the Deliverables and Payment Schedule in Appendix C.
t The lump sum fee includes reimbursement for all actual costs incurred, including by way of
example and not limitation, photocopies, long distance telephone charges, overnight delivery services,
and travel expenses.
Any additional services will be provided at GSG's standard hourly rates, as follows:
Chief Executive Officer $150
Vice President $135
Consultants $125
Information Services $125
5. Documents. All documents, electronic media, and other data developed by GSG in connection
with the Solid Waste Collection Services Analysis Project shall be reproduced and made available to the
City by GSG at any time upon request of the City. When any work contemplated under this Agreement is
completed or for any reason is terminated prior to completion, all of the above data shall be timely
reproduced and delivered to the City upon written request.
6. Termination. The City reserves the right to terminate this Agreement at any time, by written
notice. In the event of such termination GSG shall be entitled to the professional fees on an hourly basis
from the last percentage of the project completed and expenses for actual costs incurred for work
performed hereunder through the date GSG is notified of termination.
7. Default Provision. In the event that GSG shall fail to comply with each and every term and
condition of this Agreement or fail to perform any of the terms and conditions contained herein, then the
City, in addition to all other remedies available by law, at its sole option and upon written notice to GSG,
may cancel and terminate this Agreement.
8. Conflict of Interest. GSG covenants that no person under its employ who presently exercises
any functions or responsibilities in connection with this Agreement has any personal financial interest,
direct or indirect, with the City. GSG further covenants that, in the performance of this Agreement, no
person having such conflicting interests shall be employed. Any such interests on the part of GSG or its
employees, must be disclosed in writing to the City. Also, GSG is aware of the conflict of interest laws of
the State of Florida, and agree that they shall fully comply in all respects with the terms of said laws.

9. Award of Agreement. GSG warrants that it has neither employed nor retained any company or
person to solicit or secure this Agreement, that it has not paid or agreed to pay any company or person
any fee, commission, percentage, brokerage fee, or gifts or any other consideration contingent upon or
resulting from the award or making of this Agreement.
GSG also warrants that to the best of its knowledge and belief no office holder or employee of the
City is interested directly or indirectly in the profits or emoluments of this Agreement.
10. Entire Agreement. This Agreement represents the entire and integrated agreement between the
City and GSG and supersedes all prior negotiations, representations or agreements, either written or oral.
This Agreement may be amended only by written instrument executed by the City and GSG. The parties
hereto agree that this Agreement shall be construed and enforced according to the laws, statutes and
case law of the State of Florida.
11. Successors and Assigns. This Agreement shall be binding upon the parties hereto and their
respective heirs, executors, legal representatives, successors and assigns.
12. Insurance.
GSG shall maintain during the terms of this Agreement professional liability
insurance in a minimum amount of $500,000 covering all liability arising out of the terms of this
Agreement.
13. Nondiscrimination in Employment. GSG shall not discriminate against any employee or
applicant for employment because of race, color, religion, sex, age, national origin, handicap or marital
status. GSG shall take affirmative action to ensure that applicants are employed, without regard to their
race, color, religion, sex, age, national origin, handicap or marital status. Such action shall include, but
not be limited to the following: employment, upgrading, demotion, or transfer, recruitment or recruitment

advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training,
including apprenticeship. GSG agrees to post in conspicuous places, available to employees and
applicants for employment, notices to be provided by its personnel officer setting forth the provisions of
this equal opportunity clause.
14. Independent Contractor. GSG and its employees and agents and any sub-consultants and
their employees and agents, shall be deemed to be independent contractors and not agents or
employees of the City; and shall not attain any rights or benefits generally afforded classified or
unclassified employees; further they shall not be deemed to be entitled to Florida Workers' Compensation
benefits as employees of the City.
15. Non-Delegability. It is understood and agreed that the obligations undertaken by GSG pursuant
to this Agreement shall not be delegated or assigned to any other person or firm without the City's prior
written consent, which may be withheld at the City's sole discretion.
16. Notices. All notices or other communications which shall or may be given pursuant to this
Agreement shall be in writing and shall be delivered by personal service, or by registered mail addressed
to the other party at the address indicated herein or as the same may be changed from time to time.
Such notice shall be deemed given on the day on which personally served; or, if by mail, on the fifth day
after being posted (return receipt requested)or the date of actual receipt, whichever is earlier.

17. Amendments. No amendments to this Agreement shall be binding on either party unless in
writing and signed by both parties.
18. Miscellaneous Provisions.
A. Title and paragraph headings are for convenient reference and are not a part of this
Agreement.
B. In the event of conflict between the terms of this Agreement and any terms or conditions
contained in any other documents, the terms in this Agreement shall rule.
C. No waiver or breach of any provision of this Agreement shall constitute a waiver of any
subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless
made in writing.
D. Should any provision, paragraph, sentence, word or phrase contained in this Agreement
be determined by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable under
the laws of the State of Florida or the City of Dania Beach, such provision, paragraph, sentence, word or
phrase shall be deemed modified to the extent necessary in order to conform with such laws, or if not
modifiable to conform with such laws, then same shall be deemed severable, and in either event, the
remaining terms and provisions of this Agreement shall remain unmodified and in full force and effect.
19. Billing Provisions. All parties to this agreement must submit a purchase order to the City of
Dania Beach to authorize their proportional share of the quoted professional fees for these services. The
City of Dania Beach will forward a copy of these purchase orders to GSG. GSG will send bills for services
directly to each of the Cities in the Coalition as provided in the Deliverables and Payment Schedule in
Appendix C.
IN WITNESS WHEREOF, the parties hereto have, through their proper and duly authorized
officials, executed this Agreement, the day and year first above set forth.

• Dear Mr. Nunemaker:
After discussions with your office and the City attorney Government Services Group,
Inc. ("GSG") is pleased to provide you with the revised Professional Services
Agreement (the "Agreement") to prepare a phased review of Coalition's current
agreement for solid waste disposal services with Waste Management, Inc.
The revision made is noted in Section 19 of the Agreement. This provision notes that
the City has obtained purchase orders from all other members of the Coalition for their
share of professional fees for this engagement. The City of Dania Beach will forward a
copy of these purchase orders to GSG. Each City will be billed directly by GSG for their
proportionate share of the professional fees as outlined in Appendix C, the Deliverables
and Payment Schedule that has been previously provided to you.
Please review the information provided and respond with any comments or questions.
This will help us to accommodate the City's requests and provide the City with
thoughtful and deliberate attention during the course of this project.

Dear Mr. Nunemaker:
Thank you for allowing Government Services Group, Inc. ("GSG") to submit the revised
proposal for services dated June 1, 2001 to the Cities of Dania Beach, Pompano Beach,
Hallandale Beach, and Pembroke Pines ("the Coalition"). The proposed services involve
preparation of a phased review of the Coalition's current agreement for solid waste
disposal services with Waste Management, Inc.
This addendum letter is being sent to you to notify you of revisions in the delivery
schedule and target deadline dates. Attached to this letter, as Appendix C is a Revised
Deliverables and Payment Schedule. These revisions have occurred since the
submission of the proposal on June 1, 2001. Upon receipt from the City of written notice
to proceed, we will develop, and periodically update, a detailed critical events schedule
and a schedule for project deliverables tailored to the specific circumstances unique to
this engagement. At this time, the estimated initiation of this project is October 1, 2001.
You will notice that the revised Appendix C also includes a suggested fee allocation for
all Cities participating in the Coalition. Because the Agreement currently assigns full
responsibility for the proposed fee for services to Dania Beach, GSG will not proceed
with this engagement until written notice is received from the City of Dania Beach that
confirms that contracts with the remaining Coalition members have been executed.
These contracts should provide assurance that the Coalition members are responsible

for a portion of the proposed fee, as disclosed in the revised Appendix C. if some other

Dear Mr. Nunemaker.
After discussions with your office and Mr. Hargett the City Manager of Pompano Beach,
Florida, Government Services Group, Inc. ("GSG") is pleased to provide the Cities of
Dania Beach, Pompano Beach, Hallandale Beach, and Pembroke Pines ("the
Coalition") with the revised proposal to prepare a phased review of Coalition's current
agreement for solid waste disposal services with Waste Management, Inc.
Attached to this letter is a Professional Services Agreement (the "Agreement"). The
Agreement outlines the terms under which the City of Dania Beach and GSG will initiate
{ the proposed contractual services.
Attached to the Agreement, as Appendix A, is a scope of services for the review of solid
waste collection services and related costs. The work plan articulates the specific tasks
required to complete the analysis requested by the City and is presented in the following
phases:
Phase 1: Preliminary Analysis of Project Data
This phase will include a limited review of documents and other data
regarding the Coalition's agreement with Waste Management, Inc. In
addition, initial interviews will be conducted with representatives of the
Coalition to gain an historical perspective of the solid waste agreement

and to help in formulating our findings and strategy for a Phase II work
effort, if justified. Deliverables for Phase I will consist of the following:

to other jurisdictions
A preliminary analysis of the potential economic benefit for the Coalition

Phase II Implementation of Special Procedures
If the findings and recommendations from Phase I of the work plan
indicate there is sufficient cause to proceed, the analysis procedures will
be expanded to provide an in-depth examination of the solid waste
collection services. A report summarizing the results of the procedures
performed will be presented to the Coalition members at the end of this
phase.
Attached to the Agreement, as Appendix B, is an hours and fees matrix. For services
provided by GSG, we will work under a lump sum method of compensation. This
method eliminates any uncertainty for the City regarding the total fee.
Attached to the Agreement, As Appendix C, is a list of project deliverables, a delivery
schedule, and a payment schedule for all identified work tasks. Upon receipt from the
City of written notice to proceed, we will immediately develop, and periodically update, a
detailed critical events schedule and a schedule for project deliverables tailored to the
specific circumstances unique to this engagement.

This work plan articulates the specific tasks required to complete the analysis requested
by the City and is presented in the following phases:
Phase I: Preliminary Analysis of Project Data
This phase will include a limited review of documents and other data
regarding the Coalition's agreement with Waste Management, Inc. In
addition, initial interviews will be conducted with representatives of the
Coalition to gain an historical perspective of the solid waste agreement
and to help in formulating our findings and strategy for a Phase II work

Conduct a review of currently accessible documents to establish background, relevant
facts and issues. These documents are already in the possession of the Coalition.
Task 2. Prepare a request for additional documents and list of questions
Prepare a discovery request for documents and questionnaire for the contractor and
any other knowledgeable parties.
Task 3. Analyze information received in response to discovery
Conduct a preliminary review of documents and responses to questionnaire received as
a result of Task 2 to establish additional background, relevant facts and issues.
Task 4. Interview contractors providing similar services

Prepare interview instruments and personally conduct limited interviews with other
entities providing similar services to establish benchmark cost components, margins of
profit, operating similarities and differences, etc.
Task 5. Conduct interviews with appropriate local, state, regional and/or
national organizations
Identify appropriate organizations, prepare interview instruments and conduct interviews
to establish any available standards, regional similarities and differences, operating
practices, etc.
Task 6. Analyze data
Perform_analysis of all data received in response to Tasks 1 through 5.
Task 7. Prepare draft report of findings
Prepare a draft report documenting the results of Tasks 5 and 6. The draft document
will provide all relevant information in a single source document that can be used by the
Coalition.
Task 8. Meet with Cities
Meet with the Cities to review draft report, receive comments, and identify additional
research needs resulting from Tasks 1 through 7.
Task 9. Conduct additional research as necessary
Conduct any additional research identified as a result of Task 8 and analyze information
obtained.
Task 10. Prepare final report
Prepare final report incorporating information obtained as a result of Tasks 8 and 9. A
summary of findings and recommendations will be prepared for Phase I. In addition, a
scope of work and fee schedule for Phase II will be provided, if necessary.
Phase II: Implementation of Special Procedures
If the findings and recommendations from Phase I of the work plan
indicate there is sufficient cause to proceed, the analysis procedures will
be expanded to provide an in-depth examination of the solid waste
collection services. A report summarizing the results of the procedures
performed will be presented to the Coalition members at the end of this
phase.

FEE SCHEDULE
For services provided by GSG the lump sum professional services fee for the proposed
scope of services will be $38,360. The lump sum would be due and payable pursuant to
the schedule attached as Appendix C on a percent-complete basis.
