Ja�'' �a v�3M, { r N a4% iW Fiat r _ it 'I t i � n > n � e �.'. � �°y{• ^,St�yy�', Yet' ti � +if� l�., P€..,'": e 4n ? - � t y 1 AGREEMENT THIS AGREEMENT is made and entered into this 9TH day of JULY, 1996, by and between the CITY OF DANIA, FLORIDA, a Florida municipality with its principal place of ?} u' business in Dania, Florida ("the City") and BERMEX, INC., a Michigan corporation having its y'+R principal place of business in Southfield, Michigan ("the Contractor"); WITNESSETH: ck� 'riR, WHEREAS, the City is a Florida municipal utility providing water service at retail to vsti #� consumers in its assigned service area, which water service is measured by the use of meters located at various points throughout the water department's system; and, WHEREAS Contractor is engaged in the business of providing meter reading services for ;a ' water utilities on a fee basis, and is willing to provide such services to the City; 'rs ry'Pr`G,' IT IS, THEREFORE, agreed by and between the parties, in consideration of the mutual rrtxYr <r• covenants herein expressed, as follows: 1. Contractor as an independent contractor, and the City racor agrees to provide to the City, P t { $rti` , agrees to purchase and pay for, meter reading services to be provided by Contractor. 2. The services to be provided by the Contractor shall include meter reading of the City's water meters. 3. Contractor shall provide the necessary employees, supervision, uniforms which will t ttc�x, r` identify the Contractor's employees and transportation to accomplish the services specified in the preceding paragraph. The City shall provide to the Contractor a "ppropriate system and customer information training, and such other materials and resources as may be necessary in Y order for the Contractor to provide said services. 4. Contractor shall read all of the City's meters once each month. The City's systemV includes 3,000 meters, including both residential and commercial meters.'+1*pfii�J '•tic s, 5. The Contractor shall bill the City monthly for the services it provides pursuant to this vnl Y Agreement, in accordance with the following schedule: NIN Read residential & commercial................................................$.49 per meter a h w; 6. In addition to the foregoing charges, the City shall pay the Contractor the amount of $16.00 per hour for services provided by the Contractor, including meter change outs, meter *` r M" box replacements, meter box lid replacements, hanging service termination notice, turn-on I' emeters, turn-off meters and other similar services. The Contractor agrees to indemnify and hold the City harmless from any and all loss d costs or damages incurred as a result of the services provided by the Contractor to the City. • sr , 8. The Contractor shall maintain liability and other insurance coverage in such forms k and amounts as may be required by the City. 9. The contractor agrees that its employees will be identified as employees of the Contractor and not as employees of the City, and that they will perform the services provided for herein in a safe and courteous manner, and to comply with any regulations which may be adopted by the City relative to such services. 10. This Agreement shall be in effect retroactive to April 1, 1996, and shall remain in effect for a term of 12 months thereafter, sooner terminated b ' unless Y either party y providing to the other thirty (30) days written notice of its desire to terminate this Agreement. #L 11.
