City Manager Smith explained that the Seafair site has not been profitable to the City or [ Aragon Group, Inc. for years and that the FAU BOARD OF REGENTS has presented a , ;# proposal to construct an oceanographic engineering complex on the Seafair site. He r•,, asked Karl Adler, Esq., attorney representing the City, to come forward and explain the Settlement Agreement with Aragon Group, Inc. and 1996 Lease and Licensing Agreement between the City and State Board of Regents. SETTLEMENT AGREEMENT: Karl Adler, Esq., explained that the Settlement Agreement is between the City of Dania ` 2 and the Aragon Group, Inc. and is to be accepted by the Board of Regents of the State University System of Florida. The Settlement Agreement includes as exhibits the 1996 �i Lease and Licensing Agreement between the City and the Board of Regents and the Cancellation of the 1981 Lease and Licensing Agreement between Aragon Group, Inc. and the City. tjy r5y POINTS OF INTEREST: The term of the licensing agreement with the Board of Regents is 50 years; Aragon Group, Inc. will receive $ 4,200,000 (Four Million Two Hundred Thousand s. The cancellation will clear the title to the property. FAU will be subject to the License Agreement and will retain all of the bulkhead area around the marina. 1996 LEASE & LICENSING AGREEMENT This document is between the City of Dania and the Board of Regents University System of Florida and agreed upon by the Aragon Group, Inc. The legal description, s : prepared by Hatfield & Stoner, attached as Exhibits X and Y shows Parcel A retained by the BOARD OF REGENTS covering the intercoastal waterway bridge, existing building, and parkinglot leased from the FDOT Florida Department of Transpiration.) i Aragon Group, Inc. allowed to operate a marina on Parcels B and C. Mr. Adler advised that the Board of Regents realizes that the City is not guaranteeing good and r } marketable title as the deed is subject to several restrictions. The Board of Regents ; r may renovate or build new buildings and the plans will be subject to approval by Dania. � The Oceanographic or Ocean Engineering use is mandatory. The Board Of Regents ` tf t will pay $27,000 a year rent adjusted every five years plus FAU will provide $30,000 per year in consulting services for a period of 10 years. Aragon Group, Inc. retains their J I license and exclusive right to use and occupy the marina slips, parking area and the „r + i office facility until December 31, 2012 with the BOARD OF REGENTS as their landlord. u ?s � Mr. Adler advised that this will be a private ownership and not subject to mechanics IJ liens. 5, � � ' ii .r•r Karla Coleman, FAU, stressed the university's interest in working with the students and ` I citizens of the City of Dania and specifically future projects with the Graves Museum. y" 'x l Ms. Coleman confirmed the University's commitment in providing a quality project inry°`f Dania while acknowledging that FAU has never before agreed to pay service fees. xzn t` F I tl Preseny, FAU is advertising for an architect to prepare plans for the site and there are N 4 no plans to level the existing buildings. In response to Commissioner Jones' question on whether the University will have a n problem with the marina selling alcoholic beverages in close proximity to their proposed r 'r ` Seatech facility, Ms. Coleman advised that, although FAU has no intention of selling alcoholic beverages on their premises, the lease allows Aragon Group, Inc. to operate I.Vg ,r f the marina for 16.5 years with the ability to provide services normally associated with t R r marinas in South Florida. Don Hall, FAU, advised that the University does not have a problem with beer sales to support the marina. Karl Adler, Esq. stated that there is nothing in the lease to prohibit the sale of alcoholic beverages and clarified that the City is not canceling Aragon's license on their existing properties. City Manager Smith reminded the Commission that the lease provides for the sale of snack food and beverages normally sold at a marina and that there have been no problems ' '`l encountered with the two private facilities who sell beer on the beach. fi Mayor Hyde opened the floor for Public Comment: q�Ja 1 �r v r t ci REGULAR MEETING 4 FEBRUARY 27, 1996 �� �t ` f M1fT : it T'1ip"F { d_. F y.._ Several citizens spoke in favor of the FAU project and urged the Commission to approve it. Comments were made about less than desirable facilities in the subject location before Seafair was built and the fact that the City has not received any other offers to improve the site. 4 . There was citizen dissatisfaction with the fact that the Aragon Group, Inc. did not comply with the terms of the lease. Mayor Hyde explained to the audience that the Beach Grill is no longer operated by the Aragon Group, Inc. 1 There was discussion of the scholarship program. It was generally agreed that the 4, u nominees for the scholarship should be selected from "deserving" students. "? Commissioner Jones recommended that the nominees be selected by a committee rather than the City Commission. Ms. Coleman advised that the majority of financial aid t , is based on need. Students nominated for scholarships will be required to pass an i entrance exam. l t. I 4 Commissioner Mikes stated that Aragon Group, Inc. has the legislative clout, as a lAj gambling interest, to get the better end of the deal. He mentioned that this issue was t " f suppose to be heard as a public hearing according to a Resolution adopted in 1993 on a tl the Seafair site. Commissioner Grace realized that there have been problems in the past with the - Seafair site but that Dania must now move forward with the FAU project that will bring future opportunities to Dania. Mayor Hyde agreed that the City is now on a positive PP Y Y 9 Y � t : path with projects like the Bass Pro Shops, IGFA (International Game Fish Association) r t Museum, Graves Museum and now FAU's Ocean Engineering School. yr A motion was made by Vice Mayor Bertino, seconded by Commissioner Grace to amend the language in the Settlement Agreement on the scholarship to y "deserving" students from Dania. The motion died for lack of a second. Mayor Hyde read the Proclamation in its entirety and declared March 1996 as "Women's History Month." , w Commissioner Grace advised that Bethel Baptist Church is honoring Women's History ` Month on March 10 where women of Dania and surrounding areas will be honored. 3 '.; 3. Mr. Bruckner expressed his opinion that citizens should be allowed to speak on any s subject pertaining to city business at a specified time on the agenda. ADMMSTRATM REPORTS 10.1 City Manager { yA 1 City Manager Smith advised that there were in excess of 30 applications received for �� I Personnel Director/Community Development. He has interviewed 8 of the best . qualified candidates and narrowed the finalists to three. The Commission agreed to r 2 schedule the interviews before the workshop meeting on March 19 at 7:00 p.m. 10.2 City Attorney �� x t i City Attorney Adler advised that a hearing is scheduled on April 9th on the City's Motionl to transfer the Wackenhut case to Dade County. 4 11. COMMISSION COMMENTS 11.1 Commissioner Grace r >' Commissioner Grace was glad to see Alex Buchsbaum and Judy Usifer attending the meeting and fully recovered from their recent illnesses. k, Commissioner Grace commended her husband and mentioned that they are a celebrating their 34th Anniversary. She thanked those individuals who attended the r " ' ��} a festival this weekend and asked City Manager Smith to have Public Works clean the }a streets starting from 1 st & Bryan across the tracks. { 4 vA 1 11.2 Commissioner Jones 4r y Commissioner Jones commented on the tendency of certain Commissioners to treat people wrong by stalling on zoning matters and the negative impact placed on the us� A community. tisr, kt�$yt�\"fit . He also attended the Dania Methodist Homecoming that included a sermon by Reverend Bruce Williams and wished his mother, Mildred Jones, a Happy Birthday. r f - City Manager Smith was asked to place the newspaper ordinance back on the next workshop meeting. 11.3 Commissioner Mikes 4 .t Commissioner Mikes mentioned that there are areas in the community that are very C t' successful that maintain the code, however, additional enhancements requested one construction projects are intended to improve the community. , sx }i 'x Commissioner Mikes agreed that there is a need to look at citizen participation on f i. specific items on the agenda and that time limits could be applied to cut down the ', h meeting times. City Manager Smith explained that the purpose for the current µ r procedure is to give City Administration an opportunity to resolve problems for citizens i first. City Manager Smith advised that people can be added to Citizens' Comment as r long as they make their request before 4:00 p.m. Monday before the regular Tuesday r meeting. Commissioner Mikes asked the City Manager to check with other cities on as F their public participation. �4 P Commissioner Mikes mentioned his efforts to put pressure on the Seafair issue over the F years and his dissatisfaction with having to deal with Aragon Group, Inc. in the future. 3 r He stated his opinion that the City should have kept the marina for itself and not given it a< ` away in the Seafair Settlement. 11.4 Vice-Mayor Bertino Vice Mayor Bertino mentioned that the businesses in the downtown area feel that there ` is a need to retain some sort of Sandwich sign to increase business during the tourist season. He suggested to come up with something that would be uniform to solve the rr ` problem and workshop the issue as soon as possible to provide p p p p e relief to some of the , businesses before the tourist season ends. Frank Adler advised that FDOT required a '. the sandwich signs to be taken down. Vice Mayor Bertino asked that the issue be addressed to provide direction to the community. Vice Mayor Bertino advised of his recent reappointed to the "National Municipal Policies Committee." He welcomed input from the Commission on their ideas to be presented ' 4q 3 this s committee. Notwithstanding the provisions of this section, any party ; pay w� objecting to a Partial Year Solid Waste Service Assessment imposed }} rl pursuant to this Ordinance must file an objection with a court ofr ' competent jurisdiction within the time periods prescribed herein. SECTION 2 .10. CORRECTION OF ERRORS AND OMISSIONS .
