A RESOLUTION OF THE CITY OF DANIA, FLORIDA,
AUTHORIZING THE CITY TO CONTRACT WITH BERMEX
CONTRACT SERVICES FOR WATER METER READING ..
SERVICES; PROVIDING THAT ALL RESOLUTIONS OR
PARTS OF RESOLUTIONS IN CONFLICT HEREWITH BE
REPEALED TO THE EXTENT OF SUCH CONFLICT; AND
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the Charter of the City of Dania, Part III, Article 3, Section 4,
Subsection (J), authorizes the city manager to purchase supplies, services, equipment r
and materials for the city government in an amount in excess of $15,000.00 without
competitive bidding and without advertisement for bids if such purchases are made
pursuant to a competitive bid obtained within the last twelve (12) months by other
governmental agencies such as the Federal Government, State of Florida or a Florida
county or municipality; and
WHEREAS, the city manager has determined that the city will realize a savings
by contracting for water meter reading services; and
WHEREAS, the city manager has determined that such services can be obtained
at the least cost to the city by using the bid price given to Broward County by Bermex
Contract Services Bid No. C-02-94-20-12 without competitive bidding and without
advertisement for bids, the terms of which services are confirmed by the agreement and
letter dated April 8, 1997, from Broward County and letter dated August 7, 1997, from
Bermex Contract Services, copies of which are attached hereto and made a part hereof
as Exhibit "A".
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA, FLORIDA:

r Section 1. That the city manager be authorized to contract for water meter
reading services with Bermex Contract Servcies, 29500 Southfield Road, Suite 1000,
Southfield, Michigan, 48076, pursuant to the terms set forth in above described letter
from Broward County, without further competitive bidding and without advertisement for
bids.
Section 2. That this resolution be in force and take effect immediately upon its
passage and adoption.

AGREEMENT
THIS AGREEMENT is made and entered into this 26 day of August 1997, by and between the
CITY OF DANIA, FLORIDA, a Florida municipality with its principal place of business in Dania,
Florida ("the City') and BERMEX CONTRACT SERVICES, a Michigan corporation having the
principal place of business in Southfield, Michigan ("the Contractor').
WITNESSETH:
WHEREAS, THE City is a Florida municipal utility providing water service at retail to
consumers in its assigned service area, which water service is measured by the use of meters
located at various points throughout the water department's system; and,
WHEREAS, the Contractor is engaged in the business of providing water meter reading
services for water utilities on a fee basis, and is willing to provide such services to the City.
IT IS, THEREFORE, agreed by and between the parties, in consideration of the mutual
covenants herein expressed, as follows:
1. Contractor agrees to provide to the City, as an independent contractor, and the City agrees
to purchase and pay for, meter reading services to be provided by the Contractor.
2. The services to be provided by the Contractor shall include meter reading of the City's water
meters.
3. Contractor shall provide the necessary employees, supervision, uniforms which will identify
the Contractor's employees and transportation to accomplish the services specified in the
preceding paragraph. The City shall provide to the Contractor appropriate system and
customer information, training, and such other materials and resources as may be
necessary in order for the Contractor to provide said services.
4. Contractor shall read all the City's meters once each month. The City's system includes
3,000 meters, including both residential and commercial meters.
5. The Contractor shall bill the City monthly for the services it provides pursuant to this
Agreement, in accordance with the following schedule:
Read residential and commercial . . . . . . . . . . . . . . . . . . .$.49 per meter
6. In addition to the foregoing charges, the City shall pay the Contractor the amount of$16.00
per hour for services provided by the Contractor, including meter change outs, meter box
replacements, meter box lid replacements, hanging service termination notice, turn-on
meters, turn-off meters, and other similar services. All hardware and supplies will be
provided by the City.

7. The Contractor agrees to indemnify and hold the City harmless from any and all loss, costs,
or damages incurred as a result of the services provided by the Contractor to the City.
8. The Contractor shall maintain liability and other insurance coverage in such forms and
amounts as may be required by the City.
9. The Contractor agrees that its employees will be identified as employees of the Contractor
and not as employees of the City, and that they will perform the services provided for herein
in a safe and courteous manner, and to comply with any regulations which may be adopted
by the City relative to such services.
10.This Agreement shall be in effective retroactive to June 23, 1997, and shall remain in effect
for a term of twelve (12) months thereafter, unless sooner terminated by either party
providing to the other thirty (30) days written notice of its desire to terminate this Agreement.
11. This Agreement may be extended beyond June 22, 1998, by mutual agreement of both
parties for such terms as may be agreed upon.
12.This Agreement shall be binding upon the parties hereto and upon their respective
successors and assigns provided, however, that this Agreement may not be assigned by
either party without prior written consent of the other.
This Agreement is hereby approved and made retroactive from June 23, 1997.
