RESOLUTION NO. 148-99
A RESOLUTION OF THE CITY OF DANIA BEACH, FLORIDA
AUTHORIZING THE CITY MANAGER TO EXECUTE AN
ENGAGEMENT LETTER WITH RUSS KLENET &
ASSOCIATES FOR THE PROVISION OF CONSULTING
SERVICES IN CONNECTION WITH ANNEXATION
PROPOSALS TO BE SUBMITTED FOR THE 2000 FLORIDA
LEGISLATIVE SESSION, WITHOUT COMPETITIVE BIDDING
AND WITHOUT ADVERTISEMENT FOR BIDS; PROVIDING
FOR CONFLICTS; FURTHER, PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the Charter of the City of Dania Beach, Part III, Article 3, Section 4,
subsection 0), authorizes the city manager to purchase supplies, services, equipment
and materials for the city government in amounts in excess of $15,000.00 without
competitive bidding and without advertisement for bids if he is authorized to do so in
advance by a resolution adopted by the city commission and if such purchases are, as

emergencies; and
WHEREAS, the city manager has determined that consulting services needed by
the City can be obtained at the least cost by executing an engagement letter with Russ
Klenet & Associates, 515 S.E. Seventh Street, Fort Lauderdale, Florida 33301, for
consulting services to be provided in connection with annexation proposals to be
submitted by the City for the 2000 Florida Legislative Session;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1 That the city commission finds that due to the presence of unusual
conditions, it is necessary to authorize the city manager to purchase consulting services
from the general fund budget pursuant to an engagement letter with Russ Klenet &
Associates, a copy of which is attached to and made a part of this Resolution;
therefore, such engagement letter is approved and the City Manager is authorized to
execute same. The City Manager and City Attorney are authorized to make minor
revisions to such engagement letter as are deemed necessary and proper for the best
interests of the City.
Section 2 That all resolutions or parts of resolutions in conflict with this
resolution are repealed to the extent of such conflict.

Section 3. That this resolution shall be in force and take effect immediately upon
its passage and adoption.

Re: Engagement of Services; City of Dania Beach; Proposed Annexations
Dear Mr. Klenet:
This will constitute a letter of engagement by the City of Dania Beach, Florida
(the "City") for your services, as the services are described below.
Russ Klenet & Associates ("RKA"), with you as the individual performing the
services, agrees to work at the direction of the City, directly through the City Manager,
on issues including, but not limited to, annexation, appropriations and other
governmental concerns that the City may have with respect to the 2000 Florida
Legislative Session.
RKA will review all legislation filed for that Session and forward those deemed of
significance to the City for comment and review. RKA will also use its best efforts to
identify and help to secure funding and grant opportunities for the City. RKA will
present those opportunities, after approval by the City Manager, to both the Broward
County Commission and the Broward County Legislative Delegation (the "Delegation")
for consideration and support. Further, and principally, RKA will represent the City
before the Delegation on all issues relating to the annexation of unincorporated areas
that the City wishes to annex.
In connection with the foregoing representation, RKA agrees to assist the City in
preparing for, and will attend (with City representatives), public hearings before the
Broward County Commission and the Delegation and to meet with Delegation
members, government officials, affected citizens and business owners to help the City
to submit annexation proposals which will ultimately be acceptable to the Delegation,
before the Delegation convenes in the State Capitol for the Spring, 2000 Florida
Legislative Session. As of this writing, the City's annexation proposals are intended to
include the area known as the "Pond Apple Slough", but to exclude the "Wheelabrator"
Waste-to-Energy Broward County site and the Florida Power and Light substation.

In return, the City agrees to pay RKA a monthly professional fee of One
Thousand Three Hundred Dollars ($1,300.00) beginning August 1, 1999, and
terminating on September 30, 2000.
RKA may also bill the City from time to time for expenses associated with its
representation of the City upon advance written approval from the City Manager. Any
such expenses shall not exceed Two Thousand Five Hundred Dollars ($2,500.00)
during the term of this agreement. "Expenses" shall mean only those costs expressly
approved by the City Manager, in advance, when deemed by him to be in the best
interests of the City, and shall exclude all costs associated with travel, vehicle expenses
and lodging of any kind.
RKA and the City agree that this contract may be canceled with or without cause
at any time upon the giving of thirty (30) days written notice to the other party.
RKA agrees to abide by all policies, ordinances and rules established by the City,
as well as all local, state and federal laws governing representations of municipalities by
lobbyists. RKA asserts that there are no inherent conflicts associated with the foregoing
representation.
Please indicate your acceptance of the foregoing terms for engagement of your
services by executing where indicated below and eturn to me one duplicate original of
this letter(two duplicate originals are enclosed for our convenience, both of which have
been executed by me).

As mentioned by the City Commission at the Budget Workshop meeting last week and as
we discussed, attached is the new engagement letter which outlines the terms of Mr.
Klenet's agreement with the City in connection with matters related to annexation
proposals to be submitted at the 2000 Florida Legislative Session. This is now ready for
consideration by the City Commission. A companion resolution authorizing execution is
also attached. Upon adoption of the resolution, please have your assistant print duplicate
originals for signature by both you and Mr. Klenet.
Please also recall that Larry Smith's services are to be defined after you (or we) have an
opportunity to discuss his role with him.
