1. Discussion of interviews of the six (6) candidates at the Special Meeting held on
September 14, 1995.

Dick Black, IMCA, mentioned the need to select three final candidates from the six
applicants for City Manager. Vice Mayor Bertino questioned whether his tally sheet
should be signed. Mr. Black mentioned that some people do not want their signatures
d, on the sheet and the Commission generally agreed that a signature wasn't necessary.
Mr. Black collected the tally sheets from each Commissioner and read the following
results:

Mr. Black recommended to have Mayor Hyde contact Mr. Brady as soon as possible
and then contact Mr. Jackson if Mr. Brady turns down the opportunity because of no
contract.
A motion was made by Vice Mayor Bertino, seconded by Commissioner Mikes to hire
Mr. Brady for Dania City Manager and enter into salary negotiations, references and
follow up. If acceptable to the Commission, Mr. Brady will become the City Manager of
the City of Dania.

City Attorney Adler stated that the election records should be preserved with the City
Clerk.
a For the record, Commissioner Grace stated that Michael Smith was a very good
candidate for City Manager which is why she voted for him and that Mr. Brady was not
her first choice.
Commissioner Jones agreed that Michael Smith was a good candidate for the position
and that Mr. Brady was not his first choice.
fr Commissioner Mikes accepted the agreement as to the method of polling to which the
Commission agreed too and mentioned that Mr. Brady was not his first choice.
The motion passed on the following roll call vote:

Over the past 11-1/2 years I have performed in a wide variety of disciplines which have involved every aspect
of Dania government. Some of my accomplishments in each area follows:
Personnel:
* Development of a well qualified, flexible workforce capable of performing a variety of duties. Initiated
,i customer service training and focus for city workers. Hiring accomplished through professional
' recruitment and selection methods.
* Served as President of South Florida Chapter, International Personnel Management Association (Palm

Beach, Broward, Dade & Monroe counties).
* Maintained excellent labor climate based on fairness and trust with few labor actions and minimal
litigation. Labor Relations experience gained working with PBA, IAFF and AFSCME.
* Worked with City Manager to negotiate contract with BSO for police services with savings of$500,000
in the first year. -
* Participate in development of City's annual budget.
* Review vacancies on a continuous basis for opportunity to reclassify, combine or seek other viable
alternatives such as part-time and/or contract services.

ITEM 4 WAS HEARD AT THE BEGINNING OF THIS MEETING. x
Discussion on contracting with Hollywood YMCA to conduct afterschool
q; programs at Collins Elementary.
na. City Manager Smith explained that the City has been operating an
afternoon school program at Collins Elementary and that the program can
be operated cheaper with more professional expertise at the Hollywood
YMCA. Mr. Smith advised that the children in the Griffin/Ravenswood
Fux area that attend Bethune Elementary are also provided the afterschool
program with the YMCA.
Vice Mayor Bertino was concerned that there are children in the
Griffin/Ravenswood area who attend schools other than Bethune
Elementary who are not being provided afterschool care. His
recommendation was to provide afterschool care at Meli and Frost Park
for other Dania children.
Commissioner Jones agreed that additional programs would be good in
the other areas but that the City currently should take advantage of the
grant opportunity through the YMCA for the afterschool program at Collins
Elementary.

In response to the inquiry on providing child care services at Meli Park,
City Manager Smith advised that the park would have to be licensed,
which may include building and structural modifications, the City would
have to budget $6,000 per staff person (1 staff person per 25 children)
and the staff person must be a Certified Teacher. Mr. Smith explained the
problem in finding teachers to run an afterschool program after teaching
school all day. He clarified that most schools serving Dania children do
provide transportation to the main YMCA facility in Hollywood.
t The Commission generally agreed that the City is limited in providing
additional childcare facilities due to budget constraints and that the issue
will go on the next agenda for Commission action.
2. Discussion on proceeding with Pier Restaurant RFP.
c
City Manager Smith reminded the Commission that the following options
1; have been discussed regarding the Pier Restaurant RFP:
• Proceeding with the original RFP for the design build of the Pier '
Restaurant;
• Contract with an Architect to design and build a shell for the restaurant
along with a permanent bait and tackle shop. The City could then
lease out the building to a prospective restaurant operator.
City Manager Smith urged the Commission to take some form of action on
the RFP due to the time involved with bidding the project, getting started
on construction, and opening a restaurant in an effort to project revenues
for next years budget.
Mayor Hyde felt that the City should proceed with the current consultant,
Horwath Hospitality Consulting, Inc., before borrowing additional money to
build another building since the FAU Seatech Project with Aragon Group
is still pending.
Commissioner Jones agreed that the consultant company is the most cost
effective method right now and considered the possibility of soliciting
outside investors for the pier project.
Vice Mayor Bertino explained that the City proposed to use revenue
stream from the pier to payoff the bonds issued to build the pier in an
effort to free taxpayers of the burden. The City may have to consider
building the restaurant because it may be too difficult to find business
owners interested in going to the cost to build their own building.

Commissioner Mikes recommended to hire an architect to design a
permanent bait and tackle shop building along with new bathrooms to
provide a better appearance at the pier to interest restaurant owners. He
stressed his concern for the deterioration of the Seafair Building and the
impact that this also places on the pier project. Commissioner Mikes
suggested to meet with the current bait and tackle tenant, Pier
Management, Inc., in an effort to determine the stability of their intentions
once their lease expires in March because the current revenues are not
covering the debt service. City Manager Smith stated that the tenants
t have expressed interest in expanding their operation based on ideas from
the Newport Pier in North Miami with sun shelters and a tiki but theme.
3. Discussion concerning use of collection agency for delinquent accounts.
City Clerk Jabalee stressed the need to begin using a collection agency
service to collect on delinquent sanitation, mowing and code enforcement
liens. The City may need to change the billing method for sanitation
charges by including the charges on tax bills since the City seems to have
no leverage in collecting these charges.
City Clerk Jabalee presented three proposals from collection agencies for
the Commission to review. She recommended to use a less aggressive
method with Transworld Systems that would keep contact between the
I customer and the City. The methods of charging for the service is either a
flat fee for each file or 25% commission on the unpaid balance.
In response to Commissioner Mikes' inquiry, City Clerk Jabalee advised
that there are hundreds of dollars outstanding in sanitation charges. The
Commission generally agreed that a more aggressive tactic may be
needed on large accounts and directed City Clerk Jabalee to present a
contract with Transworld Systems on the next agenda.

4. Discussion on Airport Interlocal Agreement passed by the Broward County
Commission on September 12, 1995.
Ed Curtis, Esq., presented a current amended Interlocal Agreement
adopted by Broward County on September 12, 1995, that did not include
recent changes sent to the County from Dania and eliminated the Trails
End Trailer Park parcel. The DRI Review process has begun and the
Pre-DRI Application Meeting, mandated by Florida Statutes, is tentatively
scheduled for October 23, 1995.

Mr. Curtis advised that a District Court Judge found it acceptable to allow
' the City of Brook Park to submit their ordinances in direct response to an
Airport Master Plan to expand a runway at the Cleveland Airport. The
action set forth guidelines on Brook Park's opinion of local land use
regulation and noise. Mr. Curtis was encouraged by this action to allow
municipalities more latitude in dealing with their zoning ordinances and
was hopeful that this would be helpful to Dania in the DRI Review
process. The Federal Aviation Administration came out with a policy
statement clarifying that it is not their policy to limit funding to 65 LDN and
above because funding can be obtained below 65 LDN with the proper
showing by the airport sponsor. The report from Young Environmental a -
Sciences that is investigating the possibility of a land use policy on 60
LDN is expected soon. Mr. Curtis encouraged the Commission to hold
off for a month or so before making a decision on the Interlocal
Agreement with Broward County based on recent developments.
Commissioner Mikes stated that the City's concern is maintaining tax base
revenue through annexation and deannexation of property and protecting
residents in maintaining quality of life. He felt that the City should also be
concerned with the stabilization of residential neighborhoods since
neighborhoods surrounding the airport are declining in value. He was
concerned that the County removed the portions in the agreement that
were included to protect the homeowners and that the Trails End Trailer
Park parcel should remain in Dania.

5. Discussion of dredge and fill project east of NE 10 Street, proposed by Port
Properties Association, L.P.
Mayor Hyde advised that there is a pending application for a dredge and
fill permit by the Florida Department of Environmental Protection for NE
;nN`s 10 Street and the City has 14 days to file objections.
Commissioner Mikes stated his actions to research this issue with the City
Clerk's Department a few years ago that showed no record of a Gerald
Ward being hired or retained by the City of Dania to file permit
applications. It was also determined that the fees paid by Gerald Ward
showed that the check numbers did not match up with City checks that
j were issued. Commissioner Mikes felt that the permit applications are a
key to the road being constructed and that this may be leverage for the
City in the DRI process regarding the airport expansion.

restaurant and bait shop project In accordance with those discussions, we are pleased
to present this proposal for consulting services to assist you in this project This letter
sets forth the background and objectives of our assignment,the scope of ourwork, timing

Background and Objectives:
The City of Dania is currently constructing a new city fishing pier at Dania Beach. As part
of this project, the City is seeking a restaurant developer/operator to construct and
operate a full-service restaurant and a related bait, tackle and sundry shop. Toward this
end the City advertised a Request For Proposal earlier this year seeking an operator for
f the proposed facility. A single proposal was received. Your negotiations with this bidder
have not progressed at an acceptable speed and you desire to issue a new Request for
Proposal to attract additional bidders. You have requested our assistance in preparation
of this new Request for Proposal. _
Scope of Work:
To accomplish the outlined objective,we have structured the scope of our assignment as
outlined below. We will:
• Conduct an overview analysis of the proposed pier project and identify comparable
operations;
• Conduct an overview market analysis to be used in the preparation of the Request

permits and licenses. Furthermore, no effort will be made to determine the possible effect

K Further, we are not responsible for future marketing efforts and other management
actions upon which actual results will depend, and we will so state in our report.
The terms of this engagement will be such that we will have no obligation to revise our
report or estimated results(if any)to reflect events or conditions which occur subsequent

be available to discuss the necessity for revision in view of changes in the economic or
market factors affecting the restaurant and bait house.
Our report will be based on estimates and assumptions which are inherently subject to

Attached are three proposals from various collection agencies as outlined
below:
Transworld Systems, Inc.
6`n� This firm charges an up-front flat fee of$7.75 for each account referred to
t them. They work each account for 90 days making 5 demands for payment
by mail. Under their system of collection all verbal contact remains between
the City and the account holder. TSI does not use telephone calls for
collection purposes. If they are successful in their efforts to collect a
delinquent account, payment will be made directly to the City. There is no
credit bureau involvement Accounts uncollected after 90 days could be sent
to another division of TSI which uses the direct phone system of collecting for
a percentage fee. This system is working quite successfully in Oakland Park.
Collection Information Bureau
This firm will attempt to collect any account referred for a 25% commission. If
the City should negotiate a reduction in the amount owing on any account
referred, and collection is effected, CIB will require payment of 25%
commission on the original amount referred to them. Thus, in some cases, the
commission paid would be more than 25% of the actual amount collected.
Their normal procedure is to turn all accounts over $50 to the Equifax Credit
I Bureau, however, that procedure would be waived if requested in writing.

This is an agreement between Broward County, a political
subdivision of the State of Florida ("COUNTY") and the City of
Dania, a municipal corporation, organized and existing under the
i; laws of the State of Florida ("CITY") .
Ali WITNESSETH:
WHEREAS, COUNTY owns and operates the Fort Lauderdale-
Hollywood International Airport (the "Airport") , which is presently
located within the jurisdiction of the COUNTY, the CITY and the
City of Fort Lauderdale; and
' WHEREAS, to ensure efficient operation and management of the
Airport, in 1971 the Legislature enacted certain local bills to
exclude the Airport, as it was then configured, from municipal
jurisdiction, but subsequent land acquisition for Airport expansion
in the early 1980's resulted in portions of the Airport again
r.
falling within the jurisdiction of the CITY; and
{ WHEREAS, COUNTY and CITY have authority to enter into
Interlocal Agreements pursuant to §193.01, Florida Statutes; and
WHEREAS, COUNTY and CITY desire by this Interlocal Agreement
to provide for unified governmental services and regulatory control
of the Fort Lauderdale-Hollywood International Airport, and to _._ _
address the CITY's concerns regarding future expansion of the
Airport; and
WHEREAS, COUNTY has approved the study entitled "Technical
Report: Fort Lauderdale-Hollywood International Airport, Master
Plan Update" dated March 1994, hereinafter referred to as the
"Master Plan, " which study recommends the widening of runway 9R/27L
at the Airport to 150 feet and its lengthening to 9,000 feet to

accommodate the projected capacity needs of the Airport (the
"runway expansion") ; and
WHEREAS, previous Master Plans for the Airport in 1978 and
IP 1987 depicted the extension of runway 9R/27L to 6,000 feet; and
WHEREAS, the lands needed to complete the runway expansion are
located within the CITY; and
WHEREAS, COUNTY provides all necessary governmental services
and oversight to the Airport, and, therefore, desires exclusive
jurisdiction within the Airport; and
WHEREAS, COUNTY and CITY recognize the benefit of the Airport
ii to the economy of Broward County and the City of Dania; and
WHEREAS, COUNTY and CITY recognize the need for stability and
commitment in planning; and
WHEREAS, CITY desires the stabilization of its tax base in
light of such planned acquisition of land for Airport purposes; and
WHEREAS, COUNTY and CITY recognize and agree that any interim
negative impact on the tax base of the CITY due to COUNTY's
acquisition of land within the CITY for the runway expansion will
be addressed by the CITY's annexation of certain land, as more
fully described herein; and
WHEREAS, COUNTY and CITY recognize and agree that any
? potential impact of the runway expansion on the residents in the
vicinity of the Airport will be addressed by the runway use and
noise mitigation programs addressed herein; and

NOW, THEREFORE, in consideration of the mutual terms and
conditions, promises, and covenants set forth herein, COUNTY and
CITY hereby agree as follows:

I. AIRPORT EXPANSION AND RUNWAY RESTRICTIONS
1. COUNTY and CITY agree that the Airport expansion proposed r
in the Master Plan, and the mitigation of the impact of the runway
c , expansion, as further addressed by this Interlocal Agreement, is in
the best interest of the residents of Broward County.
2 . CITY agrees to cooperate with COUNTY in the preparation
and approval of an amendment to the Airport DRI development order,
land use plan amendments related to the Airport DRI, including the
amendment to "transportation" of the land needed for the runway

expansion, and an Environmental Impact Statement based upon the
Master Plan for the Airport .
3 . COUNTY agrees to:
A. Amend the Broward County Land Use Plan and Compre-
hensive Plan to become consistent with the Airport Master Plan, to
the extent the Comprehensive and Broward County Land Use Plans
address the matters addressed by the Airport Master Plan Update;
B. Restrict the use of proposed runway 9R/27L as
follows:
(1) At all times during phases 1, 2 and 3 of opera-
tion, proposed runway 9R/27L shall be used only during the hours of
7:00 a.m to 10:00 p.m. and only by Stage III aircraft. However,
3 proposed runway 9R/27L may be used at any time in the event of an
emergency or the closure of runway 9L/27R as hereinafter provided.
•. ,. i (2) At the start-up of operation of the proposed
runway 9R/27L, aircraft exceeding 58, 000 lbs. will land only to the
west and depart only to the east. However, proposed runway 9R/27L
may be used unrestrained at any time in the event of an emergency
or the closure of runway 9L/27R as hereinafter provided. This
level of use shall be referred to herein as "Phase 1. "
(3) When the number of aircraft operations at the
i Airport require it, to avoid delay, aircraft exceeding 58,000 lbs.

9R/27L only during IFR conditions during peak hours. However,
proposed runway 9R/27L may be used unrestrained at any time in the
event of an emergency or the closure of runway 9L/27R as hereinaf-
ter provided. This level of use shall be referred to herein as
"Phase 2 . " COUNTY may proceed to Phase 2 use of the proposed
runway 9R/27L only if COUNTY has complied with the requirements of
paragraph 4, below, "Noise Mitigation. "
(4) When the number of aircraft operations at the
Airport require it, to avoid delay, aircraft exceeding 58, 000 lbs.
may land to the east or depart to the west using proposed runway

in writing and preparing a projected 5 year 65 Ldn noise exposure
map for the Airport and immediately commencing to comply with
paragraph 4, below, "Noise Mitigation. "
(6) Unrestrained use of runway 9R/27L because of
the closure of runway 9L/27R or due to the existence of an
emergency condition at the Airport as declared by a pilot, Air
Traffic Control personnel or the Airport operator shall be
permitted at all times.
(7) COUNTY agrees to supply CITY monthly reports of
P the Airport noise monitoring system. Such reports shall be
provided in the form requested by the CITY, to the extent the form
requested by the CITY is within the standard existing capabilities
of the noise monitoring equipment and software. CITY has the right
to independently verify the accuracy of the Airport noise monitor-
ing system.
C. Not proceed with the construction of the proposed
runway expansion unless the restrictions described above are
submitted to the Federal Aviation Administration ("FAA") , and the
FAA has responded indicating that it did not object to the
restrictions.
4. Noise Mitigation:
A. Starting in the calendar year during which construc-
tion of the proposed runway 9R/27L commences, COUNTY shall prep are
annually a projected 5-year 65 Ldn noise exposure map' for the
Airport and provide such map to the CITY immediately upon
acceptance by the Broward County Aviation Department. The base
year information shall be drawn from the best available data on
actual aircraft operations at the Airport. Data from the COUNTY's
noise monitoring system shall be utilized to verify the accuracy of
the computed base year contour. The projected 5-year noise
exposure map shall utilize the best available data to project the 4
number and type of aircraft operations. The forecasts and all
+ •i� supporting data shall be provided to the CITY at CITY's request.
e; At such time as a projected 5-year 65 Ldn noise
exposure map shows that a portion of any residential area within
the CITY will be exposed to 65 Ldn because of the operation of
runway 9R/27L within such 5 years, COUNTY shall commence a noise

noise mitigation of residential areas.

mitication program, as described below, in such area and shall
substantially complete such mitigation, as described in paragraph
4 .C. below, prior to allowing the next phase of use of runway
9R/27L. CITY has the right to independently verify the accuracy of
COUNTY's projected noise contours. However, COUNTY may commence
use of runway 9R/27L or move to a higher phase without having
substantially completed the noise mitigation program if, because of
natural disaster or other force majeure, there is a drastic
reduction in commercial airport capacity in the South Florida area,
such as the long-term closure of a commercial aircraft runway,
which causes an increased commercial demand at the Airport beyond
reasonable projections. In the event this occurs and is expected
to last longer than six (6) months, COUNTY shall immediately
f. li prepare a revised noise contour reflecting the increased use of
runway 9R/27L and immediately commence noise mitigation as defined
below.
� I B. The COUNTY shall prepare and implement, as required
by paragraph 4.A. above, a noise mitigation program based upon
then-current and applicable . Federal Aviation Administration
guidelines, which at the present time may include one or more of
the following: purchase assurance or sales assistance programs=;
_ acquisition of fee title to all property (and relocation of
property owners) within a defined area; voluntary acquisition and
relocation; or, acquisition of avigation easements. Depending upon k.
the desires of the affected residents and the CITY, a variety of
li mitigation measures may be offered within the same area. The
� I primary concern in the preparation of a noise mitigation program
will be the desires of the affected residents. The exact terms of
any avigation easements purchased will be subject to negotiation
between the COUNTY and the property owner. Mitigation programs
shall be developed in coordination with the CITY, and shall be
based upon a consideration of the consistency of such measures with
then-current and applicable Federal Aviation Administration

guidelines. However, the mitigation programs selected shall not be
dependent on the availability of federal or state funding. At this
time, the parties recognize that a purchase assurance or sales
assistance program will best achieve the goals of the parties where
the affected residents desire to maintain the character of their
neichborhood.
C. Proposed noise mitigation programs prepared pursuant _-,_j
to this agreement shall be submitted to the Dania City Commission
for review and comment. CITY shall review such programs and may
submit to COUNTY a counter-proposal within forty-five (45) days.
' Any mitigation program will base the determination of
value on comparable properties selected from outside any airport
affected area.

Any counter-proposals made by C=TY shall be based upon a
consideration of the desires of the residents of the area and7 shall
be consistent with then-current and applicable guidelines,
including, at a minimum, federal regulations regarding grant
eligibility and the expenditure of aviation funds. However,
mitigation programs proposed by the CITY need not be dependent on
the availability of federal or state funding. The CITY's counter-
proposals shall not address the subsequent use or disposition of
any property acquired for noise mitigation purposes.
COUNTY shall consider any such counter-proposals and
respond in writing regarding each element of the counter-proposal.
Should the COUNTY elect to pursue a mitigation program differing
b from that proposed by the CITY, the parties shall attempt to
resolve their differences and, if necessary, utilize the services
ti
of a local; public-oriented organization to function as a mediator,
4= such as the •FAU & FIU Joint Center for Environmental and Urban
Problems. • If the COUNTY rejects the CITY's proposal because
COUNTY contends that such proposal is not consistent with FAA
guidelines, or if the CITY contends that the mitigation is not
consistent with the provisions of this agreement, the parties may
elect to utilize the services of an arbitrator to generate a
finding on those issues. The arbitrator's finding and all
supporting documentation shall be submitted for the FAA for a
ruling. The purpose of this approach is to ensure that the F
submittal to the FAA is unbiased, complete and fully-documented.
The arbitrator will be selected as follows:
The COUNTY may request from the American Arbitration
Association (•AAA°) a list of six (6) proposed arbitrators who have
demonstrated knowledge and expertise in the interpretation and
application of then-current FAA laws and regulations pertaining to
grant eligibility and the expenditure of aviation funds by airport
sponsors who have received federal aviation grant funds. Within
fifteen (15) days of receipt of the proposed list of arbitrators,
CITY and COUNTY shall attempt to agree on an arbitrator. If the
parties are unable to agree on an arbitrator, they may request the
Regional Director of the AAA to designate the arbitrator, and the
parties agree to accept such designation. No individual who is, or
has at any time been, an officer, employee or consultant of either
party will be an arbitrator hereunder without the express written
consent of both parties. The arbitrator may, with the unanimous
consent of the parties, agree to such modifications to or
exceptions from the Arbitration Rules as he or she deems
appropriate. The arbitrator shall interpret then-current
applicable FAA, laws and regulations regarding grant eligibility in
a reasonable manner. All arbitration proceedings will be held in
Broward County, Florida. Each of the parties will produce all
records requested by the arbitrator. The agreement to arbitrate
the dispute as provided in this agreement is specifically

enforceable in anv court having jurisdiction. The determination of
the arbitrator must be in writing and will include written findings
of fact to the extent the arbitration required the resolution of
factual disputes. The determination of the arbitrator must also
® include conclusions of law addressing the basis of the arbitrator's
interpretation of the applicable FAA laws and rules. The costs of
arbitration shall be equally born by both parties. In the event of
a dispute between the parties as to whether the arbitrator has
jurisdiction over the subject matter of any dispute, the decision
of the arbitrator as tp that jurisdiction will be followed by the
parties in the first instance, but will be subject to judicial
review after the decision of the arbitrator on the merits of the
dispute. The decision of the arbitrator as to jurisdiction will be
reversible only if clearly erroneous. Each party submits to the
jurisdiction of the arbitrator appointed in accordance herewith.
COUNTY will not proceed to the next phase of runway
use unless there is a fully-funded noise mitigation program in
place and COUNTY has substantially completed such noise mitigation,
as more particularly described in 4 .B. above. Notwithstanding the
foregoing, the COUNTY may proceed with the next phase of runway use
after a period of six (6) months has elapsed from the date the
COUNTY funds and offers to initiate its program of noise
mitigation.
S. COUNTY agrees that any fee simple condemnation undertaken
as a noise mitigation measure will be conducted pursuant to the
Federal Relocation Assistance Act.
d.a II. ANNEXATION/DEANNEXATION

6. COUNTY shall prepare all necessary documents for
iY annexation into the CITY of the parcels of land more fully
�= described on Exhibit 1, attached hereto and incorporated herein by
reference, and sometimes referred to herein as the "Annexation
" Parcels. "

7. CITY and COUNTY agree to support by all reasonable and
legal means the annexation by CITY of the Annexation Parcels, which
shall include supporting before the Broward County Legislative
Delegation and the Legislature a local bill in substantially the
form attached hereto as Exhibit 3 . The modification or elimination i
of "Dania Annexation Area 3" as described in Exhibit 1 and in the
attachments to Exhibit 3 shall not be considered a substantial
modification of the local bill.
8. COUNTY shall prepare all necessary documents for the
deannexation from the CITY of the parcels of land more fully
described on Exhibit 2, attached hereto and incorporated herein by

reference, and sometimes referred to herein as the "Deannexation
Parcels. "
9. CITY and COUNTY agree to support by all reasonable and
legal means the deannexation of the Deannexation Parcels, which
shall include supporting before the Broward County Legislative
Delegation and the Legislature a local bill in substantially the
form attached hereto as Exhibit 3. If the COUNTY ever determines
that the area commonly known as "Trails End, " or any portion
thereof, is no longer needed or desired for airport purposes,
COUNTY agrees that such land will be offered for sale or exchange
in accordance with the requirements of Florida Statutes and the
�F FAA, and that such lands may thereafter, at the discretion of the
CITY, be annexed in accordance with law into the CITY.
10. The COUNTY and the CITY agree that the annexation and
deannexation of lands described herein, when considered together
with the other provisions of this agreement, provide comparable
benefits and obligations to each party. Therefore, if for any
reason the Legislature does not enact a local bill in substantially
the form attached hereto as Exhibit 3, this Interlocal Agreement
shall be null and void and of no further force and effect.
' Similarly, if for any reason any clause or paragraph of this
j Interlocal Agreement is not agreed to and approved by each
commission, then both the COUNTY and the CITY shall withdraw
support for a local bill.

III. PLATTING; AIRPORT-COMPATIBLE USES
11.A. CITY agrees to support by all reasonable and legal
means the platting, rezoning, and other such actions necessary to
prepare certain lands in the vicinity of the Airport for
development or redevelopment for airport-related uses or airport
compatible uses. The lands to which this paragraph applies are
included in the following plats or proposed plats: "Runway Lakes
FLL Airport Plat 3; " "Trails End FLL Airport Plat 5; 11 "S.W. 27th
Avenue FLL Airport Plat 7; " "Ravenswood 32nd Street FLL Airport
Plat 8; " and, "N.E. 7th Avenue FLL Airport Plat 9. "
Regarding "Trails End FLL Airport Plat 5, " COUNTY �
agrees as soon as practicable after plat recordation to install
within the area designated on the plat as "Open Space" an
appropriate landscape buffer, similar to that proposed by Value-
Rent-A-Car during CITY's review of the plat.
C. COUNTY agrees, following approval and recordation of
Plats 3, 7 and 8, to offer Plats 3, 7 and 8 for sale or exchange in
accordance with the requirements of Florida Statutes and the FAA,
so that such lands may be returned to the tax roles of the CITY.

It is the parties' intent that such lands be offered for sale as
soon as practicable after plat recordation, considering the
prevailing market conditions.
When used in this agreement, "airport-related uses" or
"airport-compatible uses" shall mean uses and facilities that are
related to the Airport or aviation, or that provide support
services to the Airport, its tenants, users, concessionaires and
employees, and which may, by the application of reasonable site-
plan, zoning or similar regulations, be conducted on a proposed
site in a manner that is compatible with existing, non-airport uses
in the vicinity of the site. Without in any way limiting the
i generality of the foregoing, "airport-related uses" and "airport-
compatible uses" include: rental car facilities and storage lots,
4� s long-term passenger parking facilities, employee parking facili-
ties, airline in-flight services, air cargo services, specialized
aircraft and ground transportation equipment repair and maintenance
1 excluding aircraft engine testing, and aviation-oriented training
facilities.
lIV. SETTLEMENT OF LITIGATION i
12. It is the intent and desire of the parties to resolve by
this agreement all of their disputes regarding the proposed runway
expansion as described in the Airport Master Plan. Therefore,
based upon the mutual benefits and obligations set forth herein and
the framework for cooperation provided by this agreement, the
parties desire to resolve all pending litigation, as follows:
A. CITY agrees to enter into a Stipulated Final
Judgment in the case styled City of Dania v. Broward County, Case
No. 93-18222 (05) , pending in the 17th Judicial Circuit, Broward
' ;'. County, Florida, which Stipulated Final Judgment shall incorporate
the terms of this agreement, and CITY agrees to dismiss the non-
final appeal styled City of Dania v. Broward County, 4th DCA Case
' No. 95-01238.
B. CITY agrees that, by entering into and executing
this agreement, Resolution No. 26-95 of the City Commission of the
h, ? ` City of Dania is hereby rescinded. COUNTY agrees, therefore, to
dismiss the case styled Broward County v. City of Dania, Case No.
. y ` 95-04167 (05) , as soon as practicable after execution of this
agreement.
C. As soon as practicable after execution of this
agreement, CITY agrees that it will withdraw any and all pending
motions to intervene in eminent domain actions filed by COUNTY to
acquire land for Airport purposes, and voluntarily dismiss any and
all appeals and proceedings currently pending regarding the CITY's
intervention or participation in such eminent domain actions,

including but not limited to the following cases : City of Dania v.
Broward County and Powell, et al . , 4th DCA Case No. 95-01223 [L.T.
Case No. 95-001848 (07) ] ; City of Dania v. Broward County and
Powell, et al. , 4th DCA Case No. 95-01428 [L.T. Case No. 95-01847
(14) ] ; City of Dania v. Broward County and Lancaster Steel Co.
Inc. , et al. , 4th DCA Case No. 95-01213 [L.T. Case No. 95-
01565 (07) 1 ; City of Dania v. Broward County and Kurz Associates,
L.P., et al. , 4th DCA Case No. 95-01748 [L.T. Case No. 95-
01562 (13) ] ; City of Dania v. Broward County and Peerless
Investment Co. , et al., 4th DCA Case No. 95-01747 [L.T. Case NO.
95-01842 (05) ] . Thereafter, both parties agree to withdraw or
dismiss any ancillary motions or proceedings, including any motions
for attorney's fees.

V. OTHER PROVISIONS
13 . COUNTY agrees to acquire from CITY certain infrastructure
improvements on the land being acquired for the runway expansion,
for an amount equal to the costs expended by the CITY, excluding
grants received or other amounts advanced or reimbursed by any
{ I other entity, for the installation of such infrastructure
improvements, not to exceed One Million, Six-Hundred Thousand
Dollars ($1, 600,000.00) , which costs the CITY shall demonstrate and
� document to the COUNTY'S satisfaction. The CITY shall provide the
COUNTY with an itemized description of the locations, types and w
T� characteristics of the infrastructure for which costs are to be
paid by the COUNTY. Simultaneous with the payment by the COUNTY to
the CITY of the costs of such infrastructure improvements, the CITY
shall provide the COUNTY with: (1) a Bill of Sale, in recordable
-. 4 form, transferring all rights, title and interest in said -
r improvements to the COUNTY; and (2) a quit claim deed to all
T, property rights in the Deannexation Parcels. The Bill of Sale
transferring all rights, title and interest in said improvements to
the COUNTY shall be in recordable form. COUNTY shall bear any
expense of recording the Bill of Sale, and CITY shall be
responsible for sales taxes, if any, that are payable in connection
with this transaction.
14. COUNTY agrees to protect the existing infrastructure, or
provide appropriate replacement infrastructure, needed to ensure - _J
continued safe and adequate access and continuation of existing
utility services to areas currently served by the infrastructure
defined in paragraph 13 above.
15. COUNTY agrees to initiate amendments to the Broward
County Comprehensive Plan and Land Use Plan to reflect this
Interlocal Agreement, and diligently pursue such amendments.

16 . The parties agree, to the extent permitted by law, that,
as between CITY and the COUNTY, COUNTY shall be the local
government with exclusive jurisdiction over the Airport.
"Exclusive jurisdiction" shall be construed to include, but shall
not be limited to, power to issue any development order pursuant to
Section 380 .06, Florida Statutes, or any local program established
to replace the DRI program, for lands within the planned Airport
boundary.
17. Any notice required hereunder shall be provided in
writing by certified U.S. Mail, return receipt requested, addressed
as follows:

18. Except as otherwise specifically provided in paragraph 7
regarding "Dania Annexation Area 3: " this agreement shall be
construed in its entirety and no portion thereof is severable; each
clause is dependent on the remaining clauses and common to the
entire contract; and, the parties agree that the entire agreement

is void should any clause or provision herein fail or be stricken.
19. COUNTY agrees to approve, or support the granting by the
appropriate agency of, an easement to allow the continuation and
maintenance of CITY's entry sign on the traffic island at U.S. 1
and Griffin Road (S.R. 818) , provided CITY agrees to maintain said
entry sign. The COUNTY further agrees to install, or provide for
the installation of, at no cost to the CITY, a landscaped gateway
to the CITY on U.S. 1, south of Griffin Road.
20. COUNTY agrees that at such time as COUNTY no longer
provides fire and/or rescue services from Fire Station #32 (located
on S.W. 31st Avenue) , CITY shall be given first consideration to 1
purchase such fire station for the purpose of providing its fire
rescue services.
21. The parties hereto agree that all legal requirements or
prerequisites pertaining to the execution of this Agreement have
been performed.
22. This Interlocal Agreement shall be governed by and
construed in accordance with Florida Law, supersedes all prior

written or oral agreements between the parties, and may not be
modified or amended unless in writing following approval by both
the Board of County Commissioners of Broward County and the Dania
City Commission.
23 . COUNTY agrees, if necessary to facilitate the relocation
of Value-Rent-A-Car from its present location at 1030 Taylor Road
within the area needed for the runway expansion to another site
within the CITY, to enter into one or more leases or other
agreements in COUNTY's standard form to allow the use of a portion
of the runway protection zone for runway 13 for rental car storage,
subject to the approval of the FAA and subject to any prior
P existing contract rights of other rental car companies.
IN WITNESS WHEREOF, the parties have made and executed this
Interlocal Agreement on the respective dates under each signature:

8 hereto and made a part hereof, to facilitate the safe and
9 efficient operation of the Airport by consolidation of govern-
10 mental functions for the Airport in Broward County.

12 Section 4. Jurisdiction of the Airport. --
It is hereby established, that, as between the City of e

lq Dania and Broward County, Broward County shall be the local
15 government with exclusive jurisdiction over the Airport.
16 "Exclusive jurisdiction" shall be construed to include, but
17 shall not be limited to, power to issue a development order
4e 18 pursuant to Section 380.06, Florida Statutes, or any local
19 program established to replace the Developments of Regional

J"+ The proposed project is for the completion of construction of NE loth Street within the
City of Dania, Florida. The proposed roadway will include completion of the
construction of an 620 foot by 120 foot section by placing approximately 8,800 cubic
yards of sand and limerock fill into approximately 1.8 acres of wetlands. Although this
work was previously authorized, the work was not completed and the purpose of the
subject request is to complete the originally authorized construction efforts. The
proposed roadway completion will provide improved access between the private property
and Port Everglades on the east with the western portions of the city and county as well
as improved direct access to the interstate highways on the west.
is The wetlands are located adjacent to the existing FPL powerlines and are interlaced with
previously filled areas. The previously filled areas were created pursuant roadway will
provide needed access to the Port Everglades property and the Hollywood Harbor
Development of Regional Impact site to the east.
r; The work will be conducted pursuant to the drawings and specifications contained within
the original permits. The proposed work is further identified within the permit sketches
which are included for review.

3 ' The completion of the construction of NE loth Street will include the most advanced
i environmental protection features so that the impacts will be limited to within the already
established right-of-way. These environmental protection features will be put in place
t prior to beginning any on-site work to complete the installation of the proposed roadway.
Further, all necessary features will remain in effect throughout the entire construction
effort so that the nearfield environmental system is not affected by the project.
Specifically, the proposed project will include measures that will reduce or eliminate
project related erosion, sedimentation or turbidity outside of the proposed right-of-way.
These efforts and materials will be utilized to prevent project related water pollution as
F well as other detrimental effects to the natural system outside of the proposed
s (' construction site. The measures will consist of the construction and maintenance of
temporary and permanent erosion control features such as but not limited to, hay bales,
' filter fabric fences, grassing or sodding, mulching, sandbagging, sediment basins or

checks, and floating silt barriers.
The proposed environmental protection features will be maintained throughout the entire
construction effort. Permanent erosion control features such as grassing or sodding will
be installed prior to removing the temporary protection features to further guarantee the
protection of the off-site areas.
