A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO
EXECUTE AN AGREEMENT WITH CALVIN, GIORDANO AND
ASSOCIATES, INC., FOR ENGINEERING DESIGN SERVICES FOR THE
REPLACEMENT OF WATER MAINS IN CERTAIN AREAS OF US-
1/MELALEUCA GARDENS WITHIN THE WATER FUND CAPITAL
PROJECT, SUCH SERVICES NOT TO EXCEED ONE HUNDRED THIRTY
FOUR THOUSAND SEVEN HUNDRED THIRTY TWO DOLLARS
($134,732.00); PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR
AN EFFECTIVE DATE.
WHEREAS, the City of Dania Beach approved funding for replacing the water main
along US-I/Melaleuca in 2007; and
WHEREAS, funding for the actual construction of this Water Fund capital project was
planned to be provided substantially through the City's use of $2.7 million in loans to be
provided through the State Revolving Fund loan; and
WHEREAS, the City requires the use of consulting engineers for the engineering design
services of this capital project which does not qualify for SRF loan financing, however
subsequent construction costs would qualify; and
WHEREAS, the Public Services Director has identified an immediate need for water
supply improvements to certain areas in order to provide adequate water supply pressure for fire
safety response; and
WHEREAS, the Pubic Services Director recommends these water supply engineering
design services be provided by Calvin Giordano and Associates, Inc.;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1. That that certain agreement with Calvin Giordano and Associates, Inc.,
attached as Exhibit "A" to this Resolution and made a part of it by this reference, in an amount
not to exceed One Hundred Thirty Four Thousand Seven Hundred Thirty Two Dollars
($134,732.00) for engineering design services for the Melaleuca Gardens Water Main
Replacement Design, is approved, and the appropriate City officials are authorized to execute it.
Section 2. That the City Manager and City Attorney are authorized to make minor
revisions to the agreement for such services which are deemed necessary and in the best interest
of the City of Dania Beach.
Section 3. Funds for the project engineering design consulting services shall be
provided by a transfer of $134,732.00 from the Water Fund — Administration Contingency
Account#4001-3301-533-9910 into the Water Fund - Distribution Capital Improvement Account
#401-3302-533.63-10 project code WMUS1. Transfer of Contingency funds is needed because
engineering costs may not be financed through State Revolving Fund (SRF) loans as originally
planned.
Section 4. The engineering service costs which total $134,732.00 shall cause a budget
reduction in planned SRF loan funding of an identical amount- $134,732.00 and it will lower the
planned borrowing for the entire Water Main Project to $2,565,268.00.
Section 5. That all resolutions in conflict with this Resolution are repealed to the
extent of such conflict.
Section 6. That this Resolution shall be in force and take effect immediately upon its
passage and adoption.

We are pleased to submit this proposal for Professional Services on the above referenced
Engineering project located in Broward County,.
Construction Engineering
& Inspection The scope of this project includes surveying, engineering, and construction services for the
Municipal Engineering replacement of approximately 6,215 LF of existing water main on NW 12th Avenue, NW
Transportation Planning 10th Street from NW 12th Avenue west to the Canal,and NW 14th Avenue. Also included
&Traffic Engineering
Surveying&Mapping in the 6215 LF is the replacemerit of the existing 2"line up to the first Ere hydrant on NW 9th
Planning St./Nautlitus Isle and NW 8th St/Argonaut Isle. Tlve basis of compensation is hurnp sum in the

the east and west ofNW 14th Avenue.
• The design is to include replacement oftlre existing water service
limes up to the existing meters,tie in points, and abandonment ofthe
old water main.
• Preparation of single set of construction plans for the project area.
If the project is split into multiple plan or bid sets, an additional
services agreement shall be required.
• Geotechnical Exploration by Nutting Engineers for a lump sum price
of$1,515.00 to include:
Six Standard Penetration Test(SPT)borings in accordance
with ASTM D-1586 specifications to a depth of 6 feet.
- An engineering report including a description of the findings
and general site preparatiorL This report will be included in the
bid documents to allow the contractor to know the type of soil
in the project area Ibr better bidding results.
• Structural Engineering Subconsultant- Martin Engineering for a lump
sum price of$3,013.00.
- Routine bridge inspection of the first two bridges south ofNW
10th Street on NW 14th Avenue.
- Provide the City with an Inspection Report for both bridges
signed and sealed by a licensed professional engineer.
3. Permitting for a single set ofplans through Broward County Health
Department

H. Professional Surveying Services
A. Prepare a route survey for civil design along the fbilowing streets:

westerly of N.W. 12th Avenue.
2. N.W. 12thAvenue from N.W. 10th Street southerlyapproximately1,145

3. N.W. 14th Avenue fromN.W. 10th Street southerly approximately 1,140
feet.
4. N.W. 8th Street from approxurately 432 feet west ofN.W. 14th Avenue
easterly approxin3ately 700 feet.

easterly approxiniately 1300 feet.
B. The Survey will include all above ground inprovements,trees, and utility inverts.
Cross sections w171 be taken at 100 foot intervals on N.W. 1 Oth St,N.W. 12th
Ave.,and N.W. 14th Ave. Cross sections will be taken at 50 foot intervals on
N.W. 8th St, and N.W. 9th St. A baseline of survey will be established and
benchmarks(vertical control)will be provided. T ais scope DOES NOT include
As-bulks.
C. Perfarmutility locations with vacuun excavation(non-intrsive method)for(9)
utilities marked out through the Sunshine One Call System The locations chosen
by the Engineer shell be within the project boundaries as described above along
NW 10 Street,NW 14th Ave, and NW 12th Ave. Pavement and concrete

restoration of the necessary square cuts for excavation are included in this
proposal.
III. Professional Construction Services
A. The following scope is based on 60 Calendar Days of Construction Time and on
j total of 160 hours of inspection for the abandonment of existing water maul and
installation of a new water main on NW 12th Avenue, NW 1 Oth Street from
NW 12th Avenue west to the Canal, and NW 14th Avenue. Also included is the
replacement of the existing 2"line up to the fist fire hydrant on NW 9th
St/Nautilus Isles and NW 8th St/Argonaut Isles;as specified on attached
breakdown Any additional time beyond this,wul need an approved agreement

requested and necessary for consultation or conferences in regard to
construction of the project
2. Issue interpretations and clarifications ofthe Contract Documents, and
evaluate requested deviations from the approved design or specifications.
In connection therewith,review,prepare and process any work change
directives or change orders requested by the Contractor,or City.
3. Review and process shop drawings, samples and other data which the
Contractor is required to submit.
4. Make daily inspections for compliance with plans and specifications.
Make interim inspections for substantial completion;review, approve and
process pay requests and perform a final inspection to determine, in
general, ff the work has been completed in conformance with the intent of
the Contract Documents.
5. Review as-built provided by the Contractor.
6. Review and process closeout packages,
7. Bidding Services.
BASIS OF PROPOSAL
Any opinion of the construction cost prepared by Calvin, Giordano &Associates, Inc.
represents its judgment as a design prolssional and is supplied for the general
guidance of the CLIENT since Cahv1, Giordano &Associates, Inc. has no control
over the cost of labor and material, or over competitive bidding or market conditions.
Calvin, Giordano&Associates,Inc. does not guarantee the accuracy of such opinions
as compared to contractor bids or actual cost to the CLIENT.
• Any outside engineering services, studies, or laboratory testing not specifically
mentioned in the Scope of Services will be the responsibility of the CLIENT. All
municipal,permit, and agency fees as well as Title Certificates will be paid by the
CLIENT.
Basic services outlined within this proposal shall be considered complete when the
project plans are submitted to the regulatory agencies for Certification

j this Agreement strictly as a professional consultant to CLIENT. Nothing contained in
this Agreement shall create any contractual relationship between Calvin, Giordano&

Associates,Inc. and any contractor or subcontractor performing construction activities
on the project,or any of CLIENT's other professional consultants.
• Calvia, Giordano &Associates,Inc. is performing the surveying services set forth in
this Agreement strictly as a professional consultant to CLIENT. Nothing contained in
this Agreement shall create any contractual relationship between Calvin, Giordano&
Associates and any contractor or subcontractor performing construction activities on
the project,or any of CLIENT's other professional consultants.
• Calvin, Giordano&Associates,Inc. shall not be responsible for the contractor's
schedules or failure to carry out the construction in accordance with the construction
documents. Calvin, Giordano&Associates,Inc. shall not have control over or charge
of acts or omissions of the contractor, subcontractors,or their agents or employees, or
of any other persons performing portions of the construction.
• Calvin,Giordano &Associates,Inc. will require that all consultants carry proper
insurance, inckxling professional liability insurance, if appropriate.
• Permit construction certification will include one partial and one final inspection
ADDITIONAL FEES
The following services are NOT included in this proposal and will be considered Additional
Services,which will be addressed in a separate contractual agreement. The services include
but are not Inked to:
. Architectural, structural(ie.,retaining walls,bridges, docks),mecbanical(le., fire
pumps), fire protection,geotechnical and testing, environmental assessment, power,
gas,telephone, cable television,site lighting services.
Calculations for needed fire flow for site demands,based on building type use and size,
if required.
Calculations of off-site flood stages.
• Construction quality control inspections.
• Off-site engineering and negotiations for off-site easements, if required(other than as
specified in the Scope of Services).
• Permit application or negotiation with pemnitting authorities other than those specifically
listed herein.
Preparation of construction contract documents, other than drawings and technical
specifications(e.g.,bid schedule,project manual);
Professional land surveying not included in the scope of services (ie.,buried utility
investigation,easement research, condominium documents,project stake-out and

as-built drawings).
• Professional services required due to conditions different from those itemized under the
Scope of Services or due to events beyond the control of Calvin, Giordano &
Associates,Inc.
• Professional services required, due to changes in the site plan initiated by the CLIENT,
their representatives or other consultants(e.g., architects,landscape architects,etc.)
after either design or preparation of the construction drawings has commenced.
• Re-review ofrejected shop drawings.
• Review of Data supplied by the CLIENT(le. GIS data sets, databases, aerial images,
etc.)required for integration into this project
• Review of shop drawings for contractor or Client selected alternatives,materials,
products, eta
• Special shop drawing annotation and modification to expedite shop drawing approval
process.
• Updated boundary survey,site evaluation or closing assistance work,unless specified
above.
REIMBURSABLE EXPENSES
Calvin,Giordano&Associates,hie. and its consultants will be reimbursed for the printing of
drawings and specifications, deliveries,Federal Express services,required travel time and
travel expenses, long distance telephone calls,fax trtuvsmottals,postage, fees paid for securing
approval of authorities having jurisdiction over the project,renderings, models and rock-ups
required by CLIENT, as required. Reimbursable expenses and sub-consultant invoices will
be bled directly to the CLIENT at a multiplier of 1.25. Reimbursables for entire project not
to exceed$1,500.

MEETING ATTENDANCE
Due to the difficulties ofpredie ft the number or duration of meetings,no meetings other
than those listed above, are included in the Schedule of Fees shown below. Preparationfor
and meeting attendance,as necessary, will be provided on a time and materials basis and will
be bled at the standard hourly rates in accordance with the attached Hourly Rate Schedule.

TERMS OF TBE AGREEMENT
• Calvin,, Giordano&Associates, Inc. agrees to inderrindy,hold harmless CLIENTS, its
officers,agents,servants, and employees against any and all claim,losses, liabilities,
and expenditures of any kind,uicluding attorney fees,any appellate attorney costs,
count costs,and expenses, caused by, arising from or related to negligent, omissions or
negligence of Calvin, Giordano &Associates, Inc.
Calvin, Giordano&Associates,Inc. and the CLIENT agree by their signatures on this
document that each party will not hue or attempt to hire any staff from the other party
while under contract together.
• Calvin, Giordano &Associates,Inc, is preparing and providing drawings,plans,
specifications and other documents as outlined in the scope of services for this
Agreement for use in the construction of this project,based upon design and
construction criteria prepared and provided by others, including but not limited to the
CLIENT and CLIENTs consultants. Calvin, Giordano&Associates,Inc. is not
responsible for any errors and omissions in the aforesaid design and construction
criteria provided by others.
CLIENT agrees to indemnify,hold harmless and, at Calvin, Giordano &Associates,
Ine.'s option,defend or pay for an attorney selected by Cah'4 Giordano &
Associates, Inc.,to defend Calvin, Giordano &Associates,Inc., its officers, agents,
servants,and employees against any and all claims, losses, liabilities, and expenditures
of any kind,including attorney fees, any appellate attorney costs,court costs, and
expenses,caused by, arising from, or related to any acts,omissions or negligence of
CLIENT or its consultants.
• CLIENT agrees to limit Calvin, Giordano, &Associates,Inc.'s liability for any and all
chains that CLIENT may assert on its own behalf or on behalf of another, urcluding but
not kAed to chirps for breach of contract or breach of warranty,to the amount of fees
paid to Calvin,Giordano&Associates, Inc.,pursuant to this Agreement.
Drawings, specifications,and other docwncnts and electronic data firnished by Calvin,
Giordano&Associates, Inc. in connection with this project are instrurrlenls of service.
All original instruments of service shall be retained by Calvin, Giordano &Associates,
Inc. and will remain their property,with all common law, statutory and other reserved
rights, including copyright, in those instruments, This information provided in the
instruments of service is proprk:tary and will not be shared with others without prior
written consent. The CLIENT may request reproducible copies, and all original
documents upon payment of all outstanding invoices, and expenses.
In the event of termination in accordance with this Agreement or termination not the
fault of Calvin, Giordano&Associates, Inc., Calvin, Giordano &Associates,Inc. shall
be compensated for services properly performed prior to receipt of notice of

termination,together with Reimbursable Expenses then due.
• Invoices for work accomplished to date will be submitted monthly and are payable
within thirty(30)days. The CLIENT will pay invoices upon receipt and understands
interest charges of 1.5%per month will be applied to any unpaid balance past thirty
(30)days. Calvin, Giordano&Associates,Inc. may elect to stop work until payment
is received. If work is stopped for thirty(30) days or more, Calvin, Giordano&
Associates,Inc. may request compensation for start-up costs when work resumes.
• The CLIENT or their representative shall be available to meet with Calvin, Giordano &
Associates, Inc. and provide decisions in a timely manner throughout the course of the
project The CLIENT will provide all plans and other pertinent information,which are
necessary for Calvin, Giordano &Associates, Inc. to provide complete professional
services as outlined in this corract
• The terms of Agreement shall be valid for the Client's acceptance for a period of thirty
(30)days from the date of execution by Calvin, Giordano &Associates,Inc. after
which time this contract offer becomes null and void if not accepted forrnlly
(evidenced by receipt of an executed copy of this document). All rates and fees
quoted in this document shall be effective for a period of six(6)months,after which
time they may be renegotiated with the CLIENT.
• This Agreement may be terminated by either party upon not less than seven(7)days
written notice should the other party fail substantially to perform in accordance with the
term of this Agreement through no fault of the party initiating the termination. Failure
of CLIENT to make payments to Calvin, Giordano&Associates,Inc.,in accordance
with this Agreement, shall be considered substantial nonperformance and cause for
temvnation.
MISCELLANEOUS PROVISIONS
CLIENT and Calvin,Giordano&Associates,Inc., respectively,bind themselves,their
partners, successors,assigns,and legal representatives to the other party to this
Agreement and to the partners, successors, assigns, and legal representatives of such
other party with respect to all covenants of this Agreement. Neither CLIENT nor
Calvin,Giordano &Associates,Inc. shall assign this Agreement without written
consent of the other.
This Agreement represents the entire and integrated agreement between the CLIENT
and Calvin, Giordano &Associates,Inc, and supersedes all prior negotiations,
representations or agreements,either written or oral This Agreement may be
amended only by written instnmient signed by both Calvin, Giordano & Associates,
Inc. and the CLIENT.
Unless otherwise provided,this Agreement shall be governed by the law of the place

TERMINATION OF THE AGREEMENT
This Agreement may be terminated by either party upon not less than seven(7)days
written notice should the other party fail substantially to perform in accordance with the
terns of this Agreement through no fault of the party initiating the termination. Failure
of CLIENT to make payments to Cal*Giordano&Associates,Inc., in accordance
with this Agreement, shall be considered substantial nonperformance and cause for
termination.
• In the event of termination in accordance with this Agreement or termination not the
fault of Calvin, Giordano &Associates,Inc., Calvin, Giordano &Associates,Inc. shall
be compensated for services properly performed prior to receipt of notice of
