Call to Order/Roll Call Chairman Flury called the meeting to order at 6:00 p.m. Present: Chairman: Patricia A. Flury Board Members: Anne Castro Walter Duke Bobbie H. Grace CRA Executive Director: Jeremy Earle City Attorney: Thomas Ansbro CRA Secretary: Louise Stilson Absent: Vice-Chairman: C. K. "Mac"McElyea Board Member Castro motioned to excuse the absence of Vice-Chairman McElyea; seconded by Board Member Grace. The motion carried unanimously. 2. CRA Updates Director Earle noted we received approval from Broward County for the three neighborhood projects and work should begin soon. 3. Presentations There were no presentations on this agenda. 4. Consent A eg nda 4.1 Minutes: Approve minutes of February 29, 2012 Special CRA Board meeting 4.2 Travel Requests: None 4.3 Award Contract for US-1 Landscape Phase II Construction Administration to IBI Group in an amount not to exceed $42,100.00 Board Member Grace motioned to approve the Consent Agenda; seconded by Board Member Duke. The motion carried on the following 4-0 Roll Call vote: Board Member Castro Yes Vice-Chairman McElyea Absent Board Member Duke Yes Chairman Flury Yes Board Member Grace Yes 5. Proposals and Bids Director Earle spoke about the Request for Qualifications (RFQ) seeking a real estate developer for the Dania Beach City Center. He noted that we received responses from two extremely qualified development companies and they are both here tonight to make a presentation to the CRA Board for a final decision. Director Earle explained that he was not part of the selection committee and based on their findings, Recreational Design & Construction, Inc. (RDC) ranked first, and Cynergie Group ranked second. Kim Briesemeister, Metro Strategies, Inc., noted the selection committee was comprised of two tiers: 1) members who would vote on a ranking and make a recommendation to the CRA Board; and 2) members who had extensive experience in banking, but would not vote on the final selection. She further provided an overview of the bid review process. Ms. Briesemeister advised that once a qualified firm has been selected, they need to provide the CRA Board with their detailed proposal. Board Member Grace noted the submittals did not include litigation history. Ms. Briesemeister explained that when the RFQ's were received they were reviewed by a City representative and they were both deemed responsive. Board Member Castro questioned the negatives that the committee found. Ms. Briesemeister responded that she could not respond for the committee. She noted that one firm is no better than the other; they each have a different approach. Board Member Duke noted that RDC has more government experience; Cynergie has the most experience building residential. 5.1 Cynergie Group, LLC— Real Estate Developer—Dania Beach City Center Mike Bedzow, founder of the Cynergie Group, noted that since this is a Request for Qualifications it is essential to explain their experience and qualifications. He provided an overview of their projects for the last 5-7 years. Mr. Bedzow advised that among these projects two of them were public/private partnerships with the City of Miami Beach. He pointed out that lenders require that developers have experience in completing projects. Mr. Bedzow remarked that it was very important for them to maintain the character of Dania Beach, and their buildings Minutes of Regular Meeting 2 Dania Beach Community Redevelopment Agency Wednesday,April 4,2012—6:00 p.m. are designed with the same character as the Library. Their proposal includes a non-profit person that would be responsible for setting up entertainment venues. He said it is also important to transform the entire US-1 corridor. Mr. Bedzow noted that working in cooperation with the City, they would like to contact the property owners in the area to see if they would be interested in disposing of their properties at fair market value and at no cost to the City. He indicated that they already have ideas on how to incorporate the multi-residential aspect, because it is imperative to bring people into the City Center. Mr. Bedzow also suggested bringing a Charter School into the City that would use the Library and all other City services. Lastly, he stated they believe they have the qualifications and experience that will bring a vibrant City Center to Dania Beach. Board Member Duke questioned how they define the character of Dania Beach and their major challenge as a developer. Mr. Bedzow responded he has been coming to the City of Dania Beach for the past 30 years. He noted they have a unique opportunity in Dania Beach; it has the small town feel, it is family- oriented, and has an excellent location with the Port and the Airport. Mr. Bedzow stated that this is a community that is not hyped, it is a community that is not west; it is an east of I-95 community that has an exceptional opportunity. He is troubled with the fact that Dania Beach has not had the growth of other surrounding cities. Mr. Bedzow remarked that you cannot succeed by putting up a building, you need critical mass. He noted that their major challenge is the partnership with the City of Dania Beach and added that they are market driven and he thinks this will be very successful. 5.2 Recreational Design & Construction, Inc. — Real Estate Developer — Dania Beach City Center Joe Cerrone, President, Recreation Design and Construction, Inc., provided a PowerPoint overview of their presentation, which is attached to and incorporated into these minutes. He introduced the members of his team and said they are a 32 person firm and they have the capability to do the project. Mr. Cerrone noted they are a design/build firm specializing in the development of public facilities for over 18 years. They believe we need to redevelop the entire core City Center with an east-west connection. He advised they are proposing to expand the developable area in order to create an identifiable downtown, the centerpiece of which will be the Dania Beach City Center with its pedestrian-friendly main street. Bernard Zyscovich, Zyscovich Architects, noted they have been involved in many revitalization projects throughout this region. He stated that one of the most important elements of a successful revitalization is having an existing character. They proposed that we have to build on what we already have and take advantage of the available assets. Mr. Zyscovich pointed out that one of the main characteristics of being able to revitalize is to make sure that the whole town is rising at the same time. He said their approach would be to deal with the funding and finding new partners. Mr. Zyscovich noted they want to build on what is unique and authentic. Minutes of Regular Meeting 3 Dania Beach Community Redevelopment Agency Wednesday,April 4,2012—6:00 p.m. Mr. Cerrone indicated that there is a possibility to relocate the Florida East Coast (FEC) rail site to the City Center property. He noted that this is a long term project but they believe they can provide what the City needs to make it a success. Board Member Castro would like to work with both firms because their styles are completely different and they could complement each other. Michael Bedzow, Cynergie Group, thanked the CRA Board for this opportunity. Director Earle explained that we have two extremely qualified development teams. For the citizens of Dania Beach he clarified that this is beyond what we hoped for. He thanked both firms for their participation. 6. Discussion and Possible Action 6.1 Discussion of the Creative Arts Council Advisory Board Chairman Flury referred to the draft resolution creating the Arts Council Advisory Board included in the agenda backup. She noted she did not think the appointment of members was what the Commission previously discussed. Board Member Castro clarified this is a citywide board. She noted that we should take the politics out of it and added that this is a very important function of economic development. Board Member Castro wanted staff to pick the members on the committee, however, interested parties would have to apply and we should review their qualifications. She does not want Commissioners appointing the board members because it will be political. Board Member Castro stated that this does not capture what she wanted; she will work with the City Attorney to re-word the resolution. Minutes of Regular Meeting 4 Dania Beach Community Redevelopment Agency Wednesday, April 4,2012—6:00 p.m. Board Member Duke suggested Board Member Castro re-work the resolution and bring it back. He wanted to talk about the Arts Council and let the Board know that people are excited about it, because everyone agrees that Dania Beach has always had that unique creativity. Board Member Duke thought Elizabeth Wentworth was the right person to help us develop the Arts Council. He is willing to discuss the appointment process, regarding Board Member Castro's wish not to have the Commission/CRA Board involved. Board Member Duke concurred to look outside our boundaries for possible members. Board Member Grace does not care who makes the appointments, but she wants quality people; she does not want to see the same old people on the board. Board Member Castro explained that the reason for including 6 ad hoc members and having an application process is to get their qualifications. She remarked that they should be influential people who have the resources and relationships. Elizabeth Wentworth, Wentworth Creative Management, Inc., clarified that not everyone needs to be from the arts. She has been collecting resumes from people who are interested and want to be on the council. Ms. Wentworth noted that we need artists, business people and successful leaders. She will provide the Commission/CRA Board with a list of people who have potential to be on the board. Chairman Flury's concern is if members will attend meetings if they live out of the County. She suggested Board Member Castro work with Ms. Wentworth and the CRA on the application and resolution. Chairman Flury further requested that staff bring it back to the CRA Board for consideration and automatic approval by the Commission. Colin Donnelly, Assistant City Manager, noted the issue is that the resolution is not clear as to the duties and responsibilities of the members on the council. Board Member Castro noted she will clarify the wording. She noted the CRA may need to increase the funding for Ms. Wentworth's contract in order to keep her for a longer term. Board Member Castro spoke about the $700,000.00 from the Broward County Capital Redevelopment Fund. She wanted to confirm that the Board has decided we are not doing the entranceway or using the County funds to do it. She is not sure what information we are waiting for. Board Member Duke noted he has not seen the appraisal or an opinion from the attorney. He questioned how much it will cost our taxpayers if a jury decides it is worth a lot more than what we think. Board Member Duke thought it was not worth the risk of eminent domain. Board Member Grace noted she does not want to use eminent domain. Board Member Castro noted that Broward County wants to know how long they need to hold the money. If we are not using it, we need to release the funds. Minutes of Regular Meeting 5 Dania Beach Community Redevelopment Agency Wednesday, April 4,2012—6:00 p.m. Chairman Flury noted we have two choices: 1) we could purchase the property; or 2) we could use eminent domain. Board Member Duke asked if the appraisal has been done; which is the document upon which we are basing part of our decision. City Attorney Ansbro noted the appraisal is done. He added he wants to speak one on one, not in public, and individual meetings with the Commissioners could start tomorrow. Mike Moskowitz, Special CRA Counsel, mentioned that we have a May 1 deadline under the last Amendment to the Interlocal Agreement by which the road was to be complete. He pointed out that it is imperative that we advise Broward County prior to May 1 as to what we are doing. Based on the Board's decision, he would need to beg the County for an extension, or release the funds. Chairman Flury noted a decision will be made at the April 1 Oth Commission meeting. City Attorney Ansbro noted that Board Member Grace will not be able to attend the proposed May 7 Special Meeting on the Airport Settlement Agreement. He stressed the importance of having all 5 Commissioners in the room to vote on the voidability option period. Board Member Grace will provide dates to the City Clerk between May 3-7. 7.
