information concerning this loan refinancing:
Name of Issue: City of Dania Beach Sales Tax Revenue Bonds, Series 1994
Original Loan Amount: $3,255,000
Current Balance owed (after scheduled October 1, 2012 payment): $1,970,000
Current Interest Rate: 5%
Final Maturity— 10/1/25 (13 years remaining)
Current average annual debt service payment: $209,750
Plan of Refinance:
Refund this issue with a bank loan (BQ) over a 10 year period obtained through a
competitive RFP process.
Based on other recent competitive bank loans our estimates are as follows:
Issue date: on or about 10/1/12
New loan balance: $2,030,000 (higher than current to cover refinancing costs)

RE: Meadowbrook Lakes View Condominium Association, Inc. - Amended
Easement
Introduction and Background
Meadowbrook Lakes View Condominium Association, Inc. granted to the City of
Dania Beach an easement, which easement was recorded in Official Records Book
9890, Page 400, of the Public Records of Broward County. The Initial Easement
provided certain rights to the Grantee, including easement rights for purposes of
drainage, watermain, stormwater and other similar functions for the benefit of the
real property legally described in Exhibit "A" (the "Condominium Property"). the
Initial Easement intended to provide easement rights to the Grantee for an existing
pump house and additional area required to replace the existing pump house with a
new punmp house. However, it inadvertently omitted certain portions of the real
property whereupon the new pump house would be situated. The Grantee and
Grantor desire to amend the Initial Easement to add the correct legal description
whereupon the pump house is situated and new larger pump house will be situated.
Staff recommends approval of the resolution to approve and accept the Amended
Easement from the Grantor for purposes of drainage, watermain, stormwater and
other similar functions,for the benefit of the "Condominium Property".

Recommendation
It is recommended that the City Commission approve the resolution for the amended
easement from Meadowbrook Lakes View Condominium Association, Inc., under the
terms and conditions therein and authorize the City Manager to execute same.

WHEREAS, the Grantee and Grantor desire to amend the Initial Easement to add the
correct legal description whereupon the pump house is situated.
NOW,THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1. That the City Commission approves and accepts the Amended Easement
from the Grantor for purposes of drainage, watermain, stormwater and other similar functions,
for the benefit of the "Condominium Property; a copy of the Amended Easement is attached as
Exhibit`B", which is made a part of and is incorporated into this Resolution by this reference.
Section 2. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 3. That this Resolution shall take full force and effect immediately at the
time of its passage and adoption.

AMENDED AND RESTATED EASEMENT
On this day of , 2012, Meadowbrook Lakes View Condominium
Association, Inc., a Florida corporation having an address of 135 S.E. 3rd Avenue, Dania, Florida
33004, and Meadowbrook Lakes View Condominium Association "A", Inc., a Florida
corporation, having an address of 315 S.E. 3ra Street Dania Beach, Florida 33004, (each
individually and collectively, the "Grantor"), expressly grant this Amended and Restated
Easement (the "Amended Easement") to the City of Dania Beach, a municipal corporation of the
State of Florida, having an address at 100 W. Dania Beach Blvd., Dania Beach, Florida 33004
(the "Grantee"), subject to the following provisions and in consideration of the sum of Ten
Dollars ($10.00) and other good and valuable consideration paid by Grantee to Grantor, receipt
and sufficiency of which is hereby acknowledged by both parties, the Grantee and Grantor agree
as follows:
WHEREAS, Grantor granted Grantee an easement, which easement was recorded in
Official Records Book 9890, Page 400, of the Public Records of Broward County, Florida (the
"Initial Easement'); and
WHEREAS, the Initial Easement, provided certain rights to the Grantee including
easement right for purposes of drainage, watermain, stormwater, and other similar functions for
the benefit of real property legally described in Exhibit "A" attached hereto (the "Condominium
Property"); and
WHEREAS, within certain portions of the Condominium Property, as legally described
in the Initial Easement, the Grantor granted the rights as set forth in the Initial Easement to the
Grantor; and
WHEREAS, the Initial Easement intended to provide easement rights to the Grantee for
a pump house and inadvertently omitted certain portions of the real property whereupon the
pump house is situated;
WHEREAS, Grantee and Grantor desire amend the Initial Easement to add the correct
the legal description whereupon the pump house is situated.

Now, Therefore, in consideration of the sum of Ten Dollars ($10.00) and other good and
valuable consideration paid by Grantee to Grantor, receipt and sufficiency of which is hereby
acknowledged by both parties, the Grantee and Grantor to agree as follows:
1. The above recitals are true and correct.
2. The Initial Easement is hereby amended and restated as follows:
The following shall be added to Section VI of the Initial Easement:
(i) "Grantor hereby grants,bargains and sells to Grantee, its successors and assigns, a
perpetual easement in, under, over, through, across and upon a portion of the
Condominium Property, which is more particularly described in Exhibit `B"
attached hereto and incorporated by reference herein (hereinafter the "Pump
House Easement Area")."
(ii) "Grantor grants to Grantee an easement in, under, over, through, across and upon
the Condominium Property for purposes of free ingress and egress to the Pump
House Easement Area for purposes of construction and maintenance thereof.
Grantee and/or its duly authorized representatives will restore any portion of the
Condominium Property affected by the construction to a safe and sanitary
condition after the construction has been completed. Grantor may, for its own
purposes, utilize the Pump House Easement Area and shall retain a right of free
ingress and egress under, over and upon the Pump House Easement Area;
provided that, in no event, shall any of the rights herein reserved to Grantor
impede the easement herein granted or the exercise of Grantee's rights of use
thereunder."
3. The provisions of this Amended Easement shall be binding on the parties hereto
and their respective successors and assigns as a covenant running with and binding upon the
Condominium Property.
4. All other terms, covenants, and conditions of the Initial Easement which have not
been amended or modified by these presents, are hereby confirmed and ratified.
5. This instrument contains the entire agreement between the parties relating to the
rights granted and the obligations assumed pursuant to this instrument. Any oral representations
or modifications concerning this instrument, shall be of no force and effect, excepting a
subsequent modification reduced to writing, signed by the party to be charged therewith. To the
extent that there exist modifications to the Initial Easement any prior to this Amended Easement,
whether such modifications were in writing, oral, or otherwise agreed, such modifications shall
have no force or effect. Grantee shall record this document in the Public Records of Broward
County, Florida.
6. Grantor and/or Grantee shall each have the right to enforce the terms of this
Amended Easement and the rights and obligations created herein by all remedies provided under
5 RESOLUTION#2012-102
the laws of the State of Florida, including, without limitation, the right to sue for damages for
breach or for injunction or specific performance.

RE: Agreement With Green Construction Technologies, Inc., To Include
Both Landscaping And Utility Right-Of-Way Realignment For The US1
Landscape Improvements-Phase II Project
Introduction and Background
The City approved and appropriated $1,300,000 for US1-Phase II Landscape
improvements under Resolution 2012-043.
The City provided a limited notice-to-proceed directive to Green Construction
Technologies, Inc. in the amount of $ 80,135.00 to conduct "soft digs". The data
obtained from the "soft digs" would confirm the actual extent of work that will be
anticipated during construction to address conflicts with existing utilities.
Based on the results of the "soft digs" the City's Consultants, IBI Group Inc.,
developed revised cost estimates (please see attached Exhibit).

Analysis
Two options were provided by the Consultant, Option A is if the Contractor does the
necessary relocations and Option B is if the City does the necessary utility
relocations.
Neither option included the following:
Item 6, assumed a zero cost to the City based on experience from dealing with
TECO gas during the construction of Phase 1, wherein the gas company
shouldered the entire cost of relocation. Estimated cost for this item is $50,000
00.
Item 8, assumed a zero cost to the City based on the assumption that FDOT
will shoulder the cost of relocating their existing utilities; this is rather quite
optimistic. The Consultants total estimate for this relocation activity is
$119,170.00. Under the worst case scenario, the City may be asked by FDOT to
shoulder this cost since it's within their right of way.
Since the above items were not included in the amount, if during construction it's
determined that this work will be at the City's expense, additional funds would need
to be appropriated in the amount of $120,936.60 at that time to cover the cost for the
necessary change order issued to the contractor. Staff recommends approval.
Recommendation
Staff recommends that the City Commission approve the resolution to Green
Construction Technologies, Inc. under Option A, under the terms and conditions
therein and authorize the City Manager to execute same.
RESOLUTION NO. 2012-127
A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO

WHEREAS, the City approved a bid award for the Project to, and executed an
Agreement with, Green Construction Technologies, Inc. for the Project, subject to review by the
City Commission of the results of"soft dig" examinations of the planned construction area to
determine the scope and cost estimates of underground utility impacts; and
WHEREAS, a City purchase order in the amount of $80,135.00 was issued for an
examination of"soft dig" sites in the planned construction area, leaving a remaining available
Project appropriation balance of$1,219,865.00; and
WHEREAS, the "soft dig" examination has been completed and cost estimates have
been provided for underground utility impacts of the Project and the work is ready to proceed;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH,FLORIDA:
Section 1. That the proper City officials are authorized to issue a Notice to Proceed
to Green Construction Technologies, Inc., to include both the landscape improvements and
utility realignment for the US-1/SR-5/A1A Rights-of-Way Landscape Improvements-Phase II
Project, in an amount not to exceed$1,171,631.60.
Section 2. That the City Manager and City Attorney are authorized to make minor
revisions to such Notice as are deemed necessary and proper for the best interests of the City.
Section 3. That remaining Project funds in an amount of$1,219,865.00 are available
for this Agreement within the City Capital Project Fund — US-1/SR-5/AIA Rights-of-Way
Landscape Improvements-Phase II Project.
Section 4. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section S. That this Resolution shall be in full force and take affect immediately
upon its passage and adoption.
