HomeMy WebLinkAboutR-2015-117 DEC Amendment to Second Amended and Restated Development Agreement RESOLUTION NO. 2015-117 A RESOLUTION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE AN AMENDMENT TO THE SECOND AMENDED AND RESTATED DEVELOPMENT AGREEMENT BY AND BETWEEN THE CITY OF DANIA BEACH, FLORIDA AND DANIA ENTERTAINMENT CENTER, LLC; AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO THE SECOND AMENDED AND RESTATED DEVELOPMENT AGREEMENT; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Dania Entertainment Center, LLC ("DEC") is the owner of certain real property located in the City of Dania Beach, Florida ("City") on which is constructed a pari- mutual facility known as the Dania Jai Alai; and WHEREAS, the City and DEC entered into that certain Second Amended and Restated Development Agreement dated November 6, 2014 which was approved by the City Commission by Resolution No. 2014-072 on October 14, 2014 (the"Agreement"); and WHEREAS, the Agreement contemplates the renovation, expansion and redevelopment of the property by DEC as described in the Agreement and consistent with DEC Capital Improvement Plan attached as Exhibit"D"thereto; and WHEREAS, it has become necessary to revise the DEC Capital Improvement Plan attached as Exhibit "D" to the Agreement in order to revise and otherwise clarify certain improvements described in the DEC Capital Improvement Plan, in particular improvements included as part of the Phase 1 development; and WHEREAS, Section 550.155(2)(a) and (b), Florida Statutes ("Chapter 550"), provides in pertinent part that a capital improvement proposed by a permit holder licensed under Chapter 550, to a pari-mutuel facility which existed on June 23, 1981, and which (i) does not qualify as a development of regional impact as defined in Section 380.06, Florida Statutes, and (ii) is contiguous to or within the existing pari-mutuel facility site, which capital improvement requires, pursuant to any municipal ordinance, resolution or regulation,the approval of the municipality in which the permit holder conducts its business operations, shall receive approval unless the municipality is able to demonstrate that the proposed capital improvement presents a justifiable and immediate hazard to the health and safety of municipal residents if the proposed capital improvement is constructed; and WHEREAS,the Pari-Mutuel Facility was in existence on June 23, 1981; and WHEREAS, in connection with the approval of the Agreement, the City Commission of the City of Dania Beach, Florida (the "City Commission") made express findings that the improvements described in the Agreement did not constitute a DRI, and further that pari-mutuel wagering activity is authorized on any portion of the property; and WHEREAS, the revised DEC Capital Improvement Plan does not seek to change the level of development approved by the Agreement; and WHEREAS, consistent with Section 550.155(2), Florida Statutes, the City Commission finds that the revised DEC Capital Improvement Plan does not present a justifiable and immediate hazard to the health and safety of municipal residents if the proposed capital improvement is constructed; and WHEREAS, the City and DEC desire to enter into an Amendment to the Agreement which seeks to update and replace the DEC Capital Improvement Plan attached as Exhibit"D"to the Agreement; and WHEREAS,this Amendment was approved by the City Commission after the holding of two (2)public hearings, one held on October 13, 2015, and the second held on October 27, 2015, with public notice of each such hearing having been given approximately seven (7) days prior to each such hearing; NOW,THEREFORE,BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the above recitals are true and correct and are made a part of and incorporated into this Resolution by this reference. Section 2. That the proper City officials are authorized to execute the Amendment to the Agreement by and between the City of Dania Beach, Florida and Dania Entertainment Center, LLC, a copy of which is attached as Exhibit "1", together with such non-material changes as may be acceptable to the City Manager and approved as to form and legality by the City Attorney. Section 3. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. 2 RESOLUTION#2015-117 Section 4. LLC THIS AMENDMENT TO THE SECOND AMENDED AND RESTATED AGREEMENT is made and entered into as of the day of , 2015, by and between DANIA ENTERTAINMENT CENTER, LLC, a Delaware limited liability company("DEC") and the CITY OF DANIA BEACH, a Florida municipal corporation("City"). WITNESSETH: WHEREAS, Dania Entertainment Center, LLC ("DEC") is the owner of certain real property located in the City of Dania Beach, Florida ("City") and more particularly described in Exhibit "1"attached hereto on which is constructed a pari-mutual facility known as the Dania Jai Alai; and WHEREAS, the City and DEC entered into that certain Second Amended and Restated Development Agreement dated November 6, 2014 which was approved by the City Commission by Resolution No. 2014-072 on October 14, 2014 (the "Agreement"); and WHEREAS, the Agreement contemplates the renovation, expansion and redevelopment of the property by DEC as described in the Agreement and consistent with DEC Capital Improvement Plan attached as Exhibit"D"thereto; and WHEREAS, it has become necessary to revise the DEC Capital Improvement Plan attached as Exhibit "D" to the Agreement in order to revise and otherwise clarify certain improvements described in the DEC Capital Improvement Plan, in particular improvements included in the Phase 1 development; and WHEREAS, the revised DEC Capital Improvement Plan does not seek to change the level of development approved by the Agreement; and WHEREAS, the City and DEC desire to enter into this Amendment to the Agreement in order to update and otherwise replace the DEC Capital Improvement Plan attached as Exhibit "D"to the Agreement; and WHEREAS, in addition, and to the extent not preempted by, or inconsistent with Section 550.155(2), Florida Statutes, which provides that capital improvements proposed by permit holders under Chapter 550, Florida Statutes, shall receive approval unless the local governmental entity is able to show that the proposed improvement presents a justifiable and immediate hazard to the health and safety of its residents, the parties have voluntarily agreed to substantially comply with all applicable procedural, notice and substantive provisions of Section 163.3220, et seq., Florida Statutes, the "Florida Local Government Development Agreement Act" (the "Act"); and WHEREAS, the parties have mutually agreed to provide courtesy notices (the "Notices") in substantial compliance with the Act; accordingly, any deficiencies in the form or substance of the Notices shall not cause this Amendment to be void or voidable; and WHEREAS, although City has determined to voluntarily comply with the Act, as limited and described above, such compliance is deemed to be supplemental to the power and authority it possesses pursuant to the Constitution and laws of the State of Florida; and WHEREAS, this Amendment was approved by the City Commission after the holding of two (2)public hearings, one held on October 13, 2015, and the second held on October 27, 2015, with public notice of each such hearing having been given approximately seven (7) days prior to each such hearing. 2 NOW, THEREFORE, in consideration of the mutual promises and agreements herein contained and other good and valuable consideration, the adequacy of which is agreed upon, DEC and City agree as follows: 1. Incorporation of Whereas Clauses. The Whereas clauses of this Amendment are true and correct and are incorporated into and made a part of this Amendment as specifically as if set forth herein. 2. Findings of Fact. The approval and execution of this Amendment by City shall constitute a finding by City that: a. Notice of intent to consider an amendment to the development agreement was advertised in South Florida Sun Sentinel on October 3, 2015, which date is at least seven (7) days before October 13, 2015, which is the date of the first public hearing held by the City Commission and, again, on October 17, 2015, which date is at least seven (7) days before October 27, 2015, which is the date of the second public hearing held by the City Commission. In addition, notice of intent to consider an amendment to the development agreement was mailed to all affected property owners before October 13, 2015, the date of the first public hearing. All of the notices described in this subparagraph included the information prescribed in Section 163.3225(2)(b), Florida Statutes. The City Commission specifically finds that the notices described herein were correct and in substantial compliance with the terms of Section 163.3225(2)(a) and(b), Florida Statutes. b. The determination of the parties to voluntarily comply with the Act is not, and shall not be interpreted to be, a waiver of the legal position of the parties that such compliance is not necessary or legally required. c. The revised DEC Capital Improvement Plan attached hereto as Exhibit "2" is consistent with the City's Comprehensive Plan, as amended, the City's land development 3 regulations, and other provisions of the City's Code to the extent not preempted by, or inconsistent with,the provisions of Section 550.155(2), Florida Statutes. d. Consistent with Section 550.155(2), Florida Statutes, the City Commission finds that the revised DEC Capital Improvement Plan attached hereto as Exhibit"2"does not present a justifiable and immediate hazard to the health and safety of municipal residents if the proposed capital improvement is constructed. 3. DEC Capital Improvement Plan. The DEC Capital Improvement Plan attached as Exhibit "D" to the Agreement approved by the City Commission by Resolution No. 2014-072 shall be replaced in its entirety by the revised DEC Capital Improvement Plan attached hereto as Exhibit"2".
