RESOLUTION NO. 2016-003 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE A TREE REMOVAL AND MITIGATION AGREEMENT AND ANY ADDITIONAL DOCUMENTS PERTAINING TO THE AGREEMENT, AND TO TAKE ALL ACTIONS NECESSARY TO IMPLEMENT THE TERMS AND CONDITIONS OF THE AGREEMENT, WITH DANIA LIVE 1748, LLC (DANIA LIVE); PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Dania Live has expressed a desire to develop property located within the City of Dania Beach, Florida (the "City") as a mixed-use development, and in connection with their proposal is in the process of submitting a Planned Mixed Use Master Development Plan ("MDP"), Development Design Guidelines ("DDG") and phased Site Plans to implement the MDP, a rezoning application to permit mixed-use development, as well as a plat of the property for approval (collectively,the "Proposed Development"); and WHEREAS, pursuant to the City of Dania Beach Code Of Ordinances (the "City Code") Section 635.30(I), development permits for site preparation of property for the Proposed Development including, but not limited to, grading, excavating, dredging, filling and other activities incidental to construction may be approved prior to Site Plan approval subject to specific criteria, standards and conditions; and WHEREAS, City Code Section 825.70(B) further provides that a tree removal license may be approved prior to Site Plan approval subject to specific criteria, standards and conditions, including approval of a tree removal and mitigation agreement by the City of Dania Beach City Commission(the"City Commission") at a public hearing; and WHEREAS, Dania Live wishes to begin conducting site work on the property, including land clearing and tree removal and relocation,prior to obtaining Site Plan approvals; and WHEREAS, pursuant to City Code Article 825 "Tree Preservation", Dania Live is required to replace or provide a payment in lieu of replacement of all trees which will be removed or destroyed as a consequence of the site work pursuant to requirements established in the City Code; and WHEREAS, pursuant to City Code Article 825 "Tree Preservation", Dania Live is required to provide a performance bond to ensure the successful relocation, preservation or replacement of trees on the property resulting from the Proposed Development and related site work; and WHEREAS, Dania Live has agreed to provide a payment in lieu of replacement trees and post a performance bond in conformance with the City Code; NOW,THEREFORE,BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH,FLORIDA: Section 1. That the foregoing "Whereas" clauses are ratified and confirmed to be true and correct, and they are made a part of and are incorporated into this Resolution by reference. Section 2. That the City Commission approves the execution of the Tree Removal and Mitigation Agreement (the "Agreement"), a copy of which is attached as Exhibit "A", and made a part of and incorporated into this Resolution by this reference. Section 3. That the appropriate City officials including the Mayor, City Manager and City Attorney are authorized to execute the Agreement and any additional documents pertaining to the Agreement and to take all action necessary to implement the terms and conditions of the Agreement. Section 4. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 5. City Attorney City of Dania Beach 100 West Dania Beach Boulevard Dania Beach, Florida 33004 Telephone: (954) 924-6800 x 3635 Email:tansbro@ci.dania-beach.fl.us TREE REMOVAL AND MITIGATION AGREEMENT This Tree Removal and Mitigation Agreement ("Agreement") is entered into on this day of 2016 ("Effective Date") and binding between Dania Live 1748, LLC, a Delaware limited liability company, its successors and assigns ("Owner") and the City of Dania Beach, Florida,a municipal corporation of the State of Florida("City") as follows: WHEREAS,Owner owns the real property described on Exhibit A("Property");and WHEREAS, Owner has expressed a desire to develop the Property as a mixed-use development, and in connection therewith shall submit a Planned Mixed Use Master Development Plan ("MDP"), Development Design Guidelines ("DDG") and phased site plans to implement the MDP (each such phased site plan is referred to hereafter as a "Site Plan"), has submitted an application to change the zoning of the Property to permit such use and is in the process of submitting a plat of the Property for approval (collectively,the"Proposed Development");and WHEREAS, pursuant to the City of Dania Beach Code Of Ordinances (the "City Code") Section 635.30(I), development permits for site preparation of Property for the Proposed Development including,but not limited to, grading, excavating, dredging, filling and other activities incidental to construction may be approved prior to Site Plan approval subject to specific criteria, standards and conditions;and WHEREAS,City Code Section 825.70(B) further provides that a tree removal license may be approved prior to Site Plan approval subject to specific criteria,standards and conditions,including approval of a tree removal and mitigation agreement by the City of Dania Beach City Commission (the"City Commission") at a public hearing; and 3 RESOLUTION#2016-003 WHEREAS, it is the intention of the Owner to apply for and obtain approval of the Site Plan in at least two (2) phases (each such phase of Site Plan approval is defined hereafter as a"Phase"); and WHEREAS, Owner wishes to begin conducting site work on the Property, including land clearing and tree removal and relocation, prior to obtaining Site Plan approvals (collectively, the "Site Work"); and WHEREAS, City and Owner acknowledge that the land clearing process will result in the removal of certain trees,including invasive exotic species,from the Property; and WHEREAS,pursuant to City Code Article 825 "Tree Preservation",the Owner is required to replace or provide a payment in lieu of replacement of all trees which will be removed or destroyed as a consequence of the Site Work pursuant to requirements established in the City Code; and WHEREAS,pursuant to City Code Article 825 "Tree Preservation",the owner is required to provide a performance bond to ensure the successful relocation, preservation or replacement of trees on the Property resulting from the Proposed Development and related Site Work;and WHEREAS, pursuant to the City Code, as part of any development of the Property, the Owner shall provide landscaping, including replacement trees, or otherwise contribute or relocate trees,which may entitle the Owner to credits against the performance bond if applicable; and WHEREAS, Owner has agreed to pay the applicable performance bond (as may be reduced by appropriate credits established pursuant to the City Code) allocated to the appropriate Phase as a condition of issuance of the tree removal license for each Phase; and WHEREAS, in consideration of Owner's agreement to provide a payment in lieu of replacement trees and post a performance bond in conformance with the City Code, City agrees to issue a tree removal license for Site Work prior to Site Plan approval, subject to Owner's compliance with City Code,along with the issuance of all permits from the City and other applicable agencies. NOW THEREFORE,in consideration of the mutual promises contained herein,the City and the Owner agree as follows: Section 1. The foregoing recitals are true and correct and are incorporated into and form part of this Agreement. Section 2. Bond. Within ten (10) calendar days of execution of this Agreement or prior to the issuance of a tree removal license, whichever event occurs first, Owner shall provide a Performance Bond in the amount of$1,050,972.00 with the City as the beneficiary, from a surety company, or other form of security reasonably acceptable to the City Attorney (the "Bond"). The Bond shall be reviewed by the City Attorney for legal sufficiency and may not be accepted until approved. The calculation of the Bond amount along with the partial release of Bonds shall be issued in accordance with City Code Section 825-150. The Bond period shall be for the "tree replacement performance period", which period shall be provided in the license, as extended or released,plus an additional sixty(60) days. 4 RESOLUTION#2016-003 Section 3. Owner hereby agrees to indemnify and hold harmless City from and against any loss,damage or claim resulting from the Site Work performed and any permit,tree removal license, or both, for the Site Work being applied for or issued prior to Site Plan approval pursuant to City Code and this Agreement. Section 4. All tree removal and relocation shall be performed in compliance with the current City Code in force as of the date hereof, and the terms of the applicable tree removal license, it being understood and acknowledged that Owner shall not be required to comply with future changes to the Code catalog that are stricter than the current Code, would result in greater expense to Owner,or would delay the issuance of the tree removal license for Site Work. Section S. In addition to the ability to withhold a tree removal license, the City shall be permitted to avail itself of all legal remedies permitted by law or equity to enforce this Agreement; including,but not limited to, code enforcement action or action for injunctive relief;with respect to injunctive relief, Owner acknowledges that the City will be irreparably harmed by Owner's violation of this Agreement. Owner's sole and exclusive remedy for City violation of this Agreement shall be limited to action for injunctive relief. Section 6. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall, together, constitute one and the same instrument. 4. This Agreement shall be construed in accordance with the laws of the State of Florida, and any proceeding arising between the parties in any manner pertaining to this Agreement shall, to the extent permitted by law, be held in Broward County, Florida. This Agreement shall be binding upon, and shall inure to, the benefit of the parties hereto, including the successors or assigns or both in interest to Owner with respect to the Property and this Agreement shall be recorded in the Public Records of Broward County, Florida. The obligations of Owner contained in this Agreement shall be covenants running with the Property and Owner, its successors or assigns or both,shall be bound jointly and severally hereby. 6. If required by the City, this Agreement shall be recorded at Owner's cost in the Public Records of Broward County,Florida. Section 8. This Agreement shall be liberally construed to achieve its intent.
