A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO
EXECUTE AN AGREEMENT FOR ENGINEERING SERVICES WITH CHEN
MOORE AND ASSOCIATES, INC., RELATED TO THE SW 40' AVENUE
SIDEWALK PROJECT IN AN AMOUNT NOT TO EXCEED TWENTY TWO
THOUSAND EIGHT HUNDRED SIXTY DOLLARS ($22,860.00), WHICH
WILL EXCEED THE ANNUAL $25,000.00 CITY THRESHOLD FOR A
SINGLE VENDOR WITHIN A SINGLE FISCAL YEAR; PROVIDING FOR
CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the Charter of the City of Dania Beach, Part III, Article 3, Section 4,
Subsection 0), authorizes the City Manager to purchase supplies, services, equipment and
materials for the City government in amounts in excess of the established monetary threshold
without competitive bidding and without advertisement for bids if he is authorized to do so in
advance by a resolution adopted by the City Commission, and if such purchases are made
pursuant to a competitive bid obtained within the last eighteen (18) months by other government
agencies such as the federal government, state of Florida or a Florida municipality or county; and
WHEREAS, the Dania Beach Code of Ordinances, Chapter 2, Article 1, Section 2-10,
"Monetary thresholds for certain purchases and payment disbursement authorizations",
Subsection(a), sets the monetary threshold or limitation at$25,000.00; and
WHEREAS,the City Commission approved the SW 40`"Avenue Sidewalk Project in the
fiscal year 2015-2016 budget in the amount of One Hundred Sixty Five Thousand Dollars
($165,000.00); and
WHEREAS,the Public Services Department Director has determined that it is necessary
to contract for general professional engineering services related to this project; and
WHEREAS,the Public Services Director has determined that services can be obtained at
the least cost to the City from Chen Moore & Associates, Inc. based upon a review of three
quotations obtained by the City which are listed in an attachment which is made a part of this
Resolution as referenced; and
WHEREAS, the Public Services Director is seeking approval to engage Chen, Moore
and Associates, Inc. which will now exceed an annual combined vendor total in excess of
$25,000.00 as permitted under the City's purchasing guidelines;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH,FLORIDA:
Section 1. That the foregoing "WHEREAS" clauses are ratified and confirmed as
being true and correct, and they are made a specific part of and incorporated into this Resolution
by this reference.
Section 2. That the proper City officials are authorized to execute a contract for the
SW 40t'Avenue Sidewalk Project for engineering services with Chen Moore&Associates, Inc.
Section 3. That funding for these engineering services are planned and funded as
part of the Capital Projects SW 40t' Avenue Infrastructure Improvement Account 301-39-24-
541-63-10.
Section 4. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 5. That this Resolution shall be in full force and take effect immediately upon
its passage and adoption.

Dear Mr. Baldwin,
Calvin, Giordano &Associates, Inc. is please su proposal for professional
services necessary to assist the City is B in the design, and development of
Design Documents for the City o ed S 40th kenue sidewalk improvements.
Sidewalk improvements are de d alo sl ide of the existing roadway and will
span approximately 2,000 linear in tir Road to SW 54th Court. It is our
understanding that the Q409ftni ch desires the preparation of plans,
specifications, and en er opin o for this project. Plans will be prepared
without the use of S ing serve and conceptual layout will be prepared using
existing aerials. Becau the la of surveyed topography information,the plans will
be prepared in a way to al ontractor to construct the sidewalk meeting standard
ADA specifications and detai rovided with the Basis of Design Plans. In addition to
preparation of these documents, CGA will support the City of Dania Beach by
attending one (1) Community Workshop to review the project with surrounding
homeowners and businesses. Please note that the design of detailed grading plans,
utilities, drainage and roadway improvements are not included in this contract. Should
any additional services be required by the client, additional budget and scope will be
required. The specific services offered herein are outlined below.

1. Design Analysis& Conceptual Layout Plans (60%Design
Documents): Analyze existing right-of-way conditions by performing
site walk through to determine sidewalk alignment and scope. Prepare
sidewalk conceptual layout plan for anticipated design-build project.
This will include two (2) half size sets(11"xl7") set of plans and a
digital copy in .cad format.
• Perform site walk through to identify areas of potential sidewalk
conflict. Walk thru will determine anticipated sidewalk
alignment for preparation of schematic plans and standards
technical specifications.

2. Final Layout Plans and Specifications: Basis of Design Plans, Details
and Technical Specifications shall be prepared and provided to the
Client for review. This will include one (1) full size set (24"06") set
of plans and technical specifications and a digital copy in .pdf format.
Design Layout Documents will not be signed and sealed by Florida
Registered Professional Engineer.

revisions as needed. Provide necessary construction assistance
and oversight for the construction of sidewalk along SW 40th
Avenue, limited to confirmation of ADA compliant sidewalk
slopes and minimum criteria established in the design package.

• Construction Observation and Inspections: The proposed hours
are based on pre-construction activities and 42 calendar days of
construction time (6 weeks). Construction
observation/inspection time will be limited to an average of 2
hours per day, including scheduled inspections, by a field project
representative for compliance with the plans and specifications.
Observation reports and copies of inspection results will be
provided to the engineer and City on a weekly basis. It is our
understanding that the City will supplement CGA's efforts during
the construction of the sidewalk. Review of two (2) contractor
pay application and attendance at one pre-construction meeting
with the contractor is also included. Due,&**the limited scope of
construction, additional contractor pro meetings are not
anticipated.
6. Other Services

Contractor.

A. Provide coordination with the Civil Engineering department to address
existing tree issues on the project. We will graphically identify the general
location where existing specimen trees are in conflict or in close proximity
to the proposed walk. Root barriers may be specified to avoid future
uplifting problems with those tree roots. Some tree trimming may be
required as this right of way has many large trees.
B. One color rendering of the plan view of the sidewalk plan shall be provided
on an aerial as well as a typical section to be utilized for the community
meeting.
C. All coordination issues for the removal or relocation ose trees or palms
with the adjacent home owners shall be the respon ' ity of the City. Tree
permitting or preparation of a tree disposition p is included.
D. Planting plans are not included in this sco a are antici g that the
contractor will address any tree mitigat' for t moval o any
trees/palms directly with City staff.
BASIS OF PROPOSAL
• Any opinion of the construction cost pr a in, Giordano &Associates,
Inc. represents its judgment a n p sional and is supplied for the
general guidance of the C T si e Cal , Giordano &Associates, Inc. has
no control over the cost bor , or over competitive bidding or
market conditions. Calvin, no sociates, Inc. does not guarantee the
accuracy of such o c ared to contractor bids or actual cost to the
CLIENT.
• Any outside eng ring se s, studies, or laboratory testing not specifically
mentioned in the S of ices will be the responsibility of the CLIENT. All
municipal,permit, an y fees as well as Title Certificates will be paid by the
CLIENT.
• Basic services outlined within this proposal shall be considered complete when the
project plans are submitted to the regulatory agencies for Certification.
• Calvin, Giordano &Associates, Inc. is performing the consultant services set
forth in this Agreement strictly as a professional consultant to CLIENT. Nothing
contained in this Agreement shall create any contractual relationship between
Calvin, Giordano &Associates, Inc. and any contractor or subcontractor
performing construction activities on the project, or any of CLIENT's other
professional consultants.

• Calvin, Giordano &Associates, Inc. shall not be responsible for the contractor's
schedules or failure to carry out the construction in accordance with the
construction documents. Calvin, Giordano &Associates, Inc. shall not have
control over or charge of acts or omissions of the contractor, subcontractors, or
their agents or employees, or of any other persons performing portions of the
construction.
• Calvin, Giordano &Associates, Inc. will require that all consultants carry proper
insurance, including professional liability insurance, if appropriate.
• Permit construction certification will include one partial and one final inspection.

TERMS OF THE AG
• Calvin, Giordano &As tes, Inc. and the CLIENT agree by their signatures on
this document that each party will not hire or attempt to hire any staff from the
other party while under contract together.
• Calvin, Giordano &Associates, Inc. is preparing and providing drawings,plans,
specifications and other documents as outlined in the scope of services for this
Agreement for use in the construction of this project, based upon design and
construction criteria prepared and provided by others, including but not limited to
the CLIENT and CLIENT's consultants. Calvin, Giordano &Associates, Inc. is
not responsible for any errors and omissions in the aforesaid design and
construction criteria provided by others.

• CLIENT agrees to indemnify, hold harmless and, at Calvin, Giordano &
Associates, Inc.'s option, defend or pay for an attorney selected by Calvin,
Giordano &Associates, Inc., to defend Calvin, Giordano &Associates, Inc., its
officers, agents, servants, and employees against any and all claims, losses,
liabilities, and expenditures of any kind, including attorney fees, any appellate
attorney costs, court costs, and expenses, caused by, arising from, or related to
any acts, omissions or negligence of CLIENT or its consultants.
• CLIENT agrees to limit Calvin, Giordano, &Associates, Inc.'s liability for any
and all claims that CLIENT may assert on its own behalf or on behalf of another,
including but not limited to claims for breach of contract or breach of warranty, to
the amount of fees paid to Calvin, Giordano &Associates, I .,pursuant to this
Agreement.
• Drawings, specifications, and other documents and ele data furnished by
Calvin, Giordano &Associates, Inc. in connection this ct are
instruments of service. All original instruments rvice shall tained by

common law, statutory and other reserved rig ing copyright, in those
instruments. This information provided in the ins ents of service is

• In the event of termination ' cco nce this Agreement or termination not
the fault of Calvin, Giord4W & A es, ., Calvin, Giordano &Associates,
Inc. shall be compensated ces rly performed prior to receipt of
notice of terminati he h Reimbursable Expenses then due.

within thirty(3 ys. The IENT will pay invoices upon receipt and

the course of the project. The CLIENT will provide all plans and other pertinent
information, which are necessary for Calvin, Giordano &Associates, Inc. to
provide complete professional services as outlined in this contract.

• The terms of Agreement shall be valid for the Client's acceptance for a period of
thirty(30) days from the date of execution by Calvin, Giordano &Associates,
Inc. after which time this contract offer becomes null and void if not accepted
formally(evidenced by receipt of an executed copy of this document). All rates
and fees quoted in this document shall be effective for a period of six(6)months,
after which time they may be renegotiated with the CLIENT.
• This Agreement may be terminated by either party upon not less than seven(7)
days written notice should the other party fail substantially to perform in
accordance with the terms of this Agreement through no fault of the party
initiating the termination. Failure of CLIENT to make payments to Calvin,
Giordano &Associates, Inc., in accordance with this Agree nt, shall be
considered substantial nonperformance and cause for to ion.
MISCELLANEOUS PROVISIONS
• CLIENT and Calvin, Giordano &Associates, In espectively, d themselves,
their partners, successors, assigns, and legal r sent es to the her party to
this Agreement and to the partners, successor , i , and legal representatives
of such other party with respect to all covenants is Agreement. Neither
CLIENT nor Calvin, Giordano &Ass nc. s ssign this Agreement
without written consent of the other.

Scope of Services for Professional Design and Construction Administration
Services
Dear Mr. Navarro:
Chen Moore and Associates (CMA) is pleased to submit the attached Agreement for Professional
Services and Scope of Services to provide professional services on the SW 40th Avenue Sidewalk
Improvements. CMA will provide professional services design of new concrete sidewalks along the
west side of 40t'Avenue between SW 54"' Court and Stirling Road.
PROJECT INTRODUCTION
The purpose of this project is to provide a continuous pedestrian sidewalk along SW 40"'Avenue where
none exist now. The proposed improvements are expected to be designed in the right of way along the
west side of the roadway from SW 54"' Court to Stirling Road. Sidewalk is to be a 5' concrete walkway
meeting ADA requirements.
This scope of services will include the planning and design services necessary to prepare all required
construction documents for the proposed infrastructure improvements within the SW 4W1 Avenue
Sidewalk Improvement Project. The professional planning and design services required for the SW 40th
Avenue Sidewalk Improvement Project is defined in more detail within the scope of services below.
TASK 1 Sidewalk Design
Task 1.1: 60% Design Submittal Task
CMA will prepare and submit 60% design project documents for the SW 40"' Avenue Sidewalk
Improvement Project to the Client for review and approval. All work under this task will be billed on a
lump sum basis. The project documents for this task shall include the following items:
• Design Plans — CMA will prepare 60% design drawings, which will consist of the existing condition
plans, paving and grading plans, landscape plans and any relevant detail drawings.
• Cost Estimate—CMA will prepare a preliminary cost estimate of the probable construction costs which
will reflect the proposed work included within the 60% Design Submittal.
Task 1.2: 100% Design Submittal Task
CMA will prepare and submit 100% design documents for the SW 40th Avenue Sidewalk Improvement
Project to the Client for review and approval.
All work under this task will be billed on a lump sum basis. The project documents for

condition plans, paving and grading plans, landscape plans and any relevant detail drawings.
• Technical Specifications — CMA will prepare the final technical specifications, which will include each
discipline of the proposed work defined within the 100% Design Submittal.
• Cost Estimate — CMA will prepare a final cost estimate of the probable construction costs, which will
reflect the proposed work defined within the 100% Design Submittal.
• Bid Schedule—CMA will prepare a final bid schedule, which will include all line items for the proposed
work defined within the 100% Design Submittal.
TASK 2 City Meeting/Workshop
Task 2.1 Public Coordination Meeting
CMA will conduct 1 public workshop together with Client staff to gather input from neighborhood
residents, business owners, and other project stakeholders on the proposed improvements for the SW
40th Avenue Sidewalk Improvement Project. The Client will be responsible for any coordination
necessary to schedule the public workshop at a Client facility.
CMA shall be responsible for preparing all meeting documentation required for the attendees, for
recording any meeting minutes, and for conducting any presentations as necessary. All work under this
task will be billed on a lump sum basis.
TASK 3 Construction Oversight
Task 3.1 Respond to Requests for Information
CMA will review and respond to Requests For Information (RFI)from the contractor during construction
operations. CMA shall review and respond to each RFI within 3 work business days of the submittal by
the contractor. As necessary, CMA shall prepare any documentation required to clarify issues included
within a RFI from the contractor. CMA will review all pay applications from the contractor to verify the
accuracy of their progress. CMA shall complete this task according to the schedule established for the
contractor. All work under this task will be billed on an hourly not to exceed basis.
Task 3.2 Construction Oversight
CMA shall assist the Client with the inspection of the project implementation during construction
operations.
CMA will be available to conduct daily site inspections of the work during construction operations
throughout the construction duration, which is estimated to be 3 weeks. Construction inspection
services defined within this task were estimated based on a construction inspector on-site
approximately 4 hours per work day during the project duration of 3 weeks. The fees for this task will be
paid on an hourly not to exceed basis.

Task 4.1 Document Reproduction
CMA shall provide all document reproduction required for each project deliverable to the Client and
regulatory agencies as defined within the scope. All printing costs for deliverable will be reimbursed by
the Client at cost.
DELIVERABLES
CMA will provide the following deliverables at each submittal:
Design Plans:
• 2 half size sets (11"x17") at each submittal
• 1 digital copy(CAD format) at each submittal
• 1 digital copy (PDF format) at each submittal
Technical Specifications:
• 1 hard copy at 100% submittal
• 1 digital copy(PDF format) at 100% submittal
SCOPE ASSUMPTIONS
• The existing topographic survey on file will be used for design of the improvements in the
project area. No new survey will be prepared.
• The Client will be responsible for all coordination necessary to schedule the public workshops
with residents.
• This scope does not include any services required for easement or right-of-way acquisitions.
• No permitting will be provided as a part of this scope.
• The selected contractor will be responsible for obtaining any Client Building Permit required for
this project along with all related coordination and preparation of any backup documentation
required for the Client Building Permit. CMA will only be responsible for any revisions to the
design plans required by the Client Building Department.
• The Client will provide timely responses to information included within each submittal.
• The Client will provide the standard front end contract documents.
The Client shall be responsible for bid advertisement, distribution of bid documents to interested
