A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA
BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO
PURCHASE SERVICES FROM ALL PRO PAINTING & WATERPROOFING,
INC. IN THE AMOUNT OF TWENTY SEVEN THOUSAND FOUR
HUNDRED FIFTY DOLLARS ($27,450.00) FOR PAINTING AND REPAIR
OF CITY HALL WITHOUT COMPETITIVE BIDDING AND WITHOUT
ADVERTISEMENT FOR BIDS, FOR A PROJECT THAT WILL EXCEED
THE ANNUAL VENDOR THRESHOLD OF TWENTY FIVE THOUSAND
DOLLARS ($25,000.00) FOR A SINGLE VENDOR IN A FISCAL YEAR;
PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the Charter of the City of Dania Beach, Part III, Article 3, Section 4,
Subsection 0), authorizes the City Manager to purchase supplies, services, equipment and
materials for the City government in amounts in excess of the established monetary threshold
without competitive bidding and without advertisement for bids if he is authorized to do so in
advance by a resolution adopted by the City Commission; and
WHEREAS, the Dania Beach Code of Ordinances, Chapter 2, Article 1, Section 2-10,
"Monetary thresholds for certain purchases and payment disbursement authorizations", subsection
(a), sets the monetary threshold at Twenty Five Thousand Dollars ($25,000.00) for a vendor for
each fiscal year; and
WHEREAS, the City is requesting authorization to paint and repair the City Hall building
and
WHEREAS, the Public Services Department has obtained three (3) written quotes and
determined that the painting services and building repairs can be obtained at the least cost to the
City, without competitive bidding and without advertisements for bids from All Pro Painting &
Waterproofing, Inc., a proposal for which is attached as Exhibit "A" in the amount of Twenty
Seven Thousand Four Hundred Fifty Dollars ($27,450.00); and
WHEREAS, the Public Services Department is seeking approval to exceed the Twenty
Five Thousand Dollars ($25,000.00) annual vendor threshold for a single vendor; and
WHEREAS, the Public Services Department Director is seeking additional contingency
funds of Five Thousand Dollars ($5,000.00) above the contract cost for permits and any
unforeseen costs which may arise during the work process, bringing the total not to exceed for the
project to Thirty Two Thousand Four Hundred Fifty Dollars ($32,450.00) provided that any
remaining funds after project completion will be returned to the Commission Contingency;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF DANIA BEACH, FLORIDA:
Section 1. That the above "WHEREAS" clauses are ratified and confirmed, and they
are made a part of and incorporated into this Resolution by this reference.
Section 2. That the City Commission authorizes the City Manager to purchase
services from All Pro Painting & Waterproofing, Inc. for painting and building repairs for City
Hall; a copy of the proposal is attached as Exhibit "A", and made a part of and is incorporated
into this Resolution by this reference.
Section 3. That funding for these services shall be appropriated from the Commission
Contingency Account No. 001-18-00-519-99-10 which has a current available balance of Sixty
Six Thousand Seven Hundred Fifty Eight Dollars ($66,758.00) to the Public Services
Department Construction Maintenance Account No. 001-39-02-539-46-40 in an amount not to
exceed Thirty Two Thousand Four Hundred Fifty Dollars ($32,450.00), leaving a remaining
balance of Thirty Four Thousand Three Hundred Eight Dollars ($34,308.00) in the Commission
Contingency Account.
Section 4. That the City Manager and City Attorney are authorized to make minor
revisions to the necessary documents as are deemed necessary and proper and in the best interest
of the City.
Section 5. That all resolutions or parts of resolutions in conflict with this Resolution
are repealed to the extent of such conflict.
Section 6. That this Resolution shall be in force and take effect immediately upon its
passage and adoption.

"EXTERIOR PAINTING& REPAIRS CONTRACT 11-12-18
I. SCOPE OF WORK: repaint the exterior of the building withl-coat of Sherwin Williams
Resilience Exterior Latex Paint to include removing and replacing caulking as necessary around
windows and doors per the Sherwin Williams Specification of 8-31-18. Included is corrosion
control and repainting two steel stairways.Repair items are priced separately.Color to be same or
similar. Other colors may require more paint at additional cost.
1. Bleach wash&clean all mildew areas
2. Completely pressure wash all areas to be painted w/bleach&water solution
3. Seal all stucco surfaces
4. Patch all cracks as specified&caulk all windows and doors,stucco to metal.Replace
missing, loose sealant and caulk to achieve a uniform appearance with LoxonSl urethane
sealant.
5. Remove&replace decorative stucco if needed with up to 50 s.f.included in the base
price of the job.
6. Paint all exterior surfaces on the building to include previously painted attached cables,
conduits,boxes&attachments to include metal drip caps,etc.&paint exterior side of

PREPERATION AND MATERIAL APPLICATION OF SURFACES TO BE PAINTED
A. Pressure Cleaning
1. All exterior surfaces are to be pressure cleaned using a minimum of 30001bs./psi
To remove loose surface contamination,salt deposits,and mildew.
2. On areas where mildew is present,remove mildew using a solution of Clorox
Chlorine and Soilax or equivalent per five gallons of water. Mix thoroughly,apply to
surface with stiff brush or broom,allow reaction time,and rinse with pressure cleaner or
water hose.
Note:When peeling is evident these areas should be pressure cleaned using a"0"oscillating
tip. This will provide the right pressure,preferably 3000 to 4000psi,to remove loose paint.
B. Material Application
1. Stucco and Masonry Surfaces
A. All Chalky stucco/masonry surfaces to be painted are to be sealed using SW Loxon `Hot
Stucco' Conditioner Sealer A24 Series according to their label instructions.
B. 10-YEAR LABOR&MATERIAL FINISH COAT SYSTEM: Topcoat
stucco/masonry surfaces with one coat of Sherwin Williams Resilience Exterior
Latex Satin Series as per the manufacturers product data pages and label
instructions.Apply with brush,roller,or spray. Coverage is the responsibility of
the Contractor. Site visits will be conducted by the Manufacturer's representative
to test wet mil thickness during application.
2. Galvanized & Aluminum Metal Surfaces
A. Remove loose and scaling paint by scraping or wire brushing.

B. Lightly sand to feather all jagged or peeled surfaces.
C. Spot prime prep corrosion with SW ProCryl Universal Acrylic Metal Pruner B66 Series
D. Finish coat: Resilience Exterior Latex Satin
3.Ferrous Metal Surfaces
A. Remove Loose and scaling paint by scraping or wire brushing.
B. Lightly sand to feather all jagged or peeling surfaces
C. Spot prime bare or rusted areas with SW KemKromik Metal Primer B50 Series
D. Finish shall be one(1)coat of SW Pro Industrial Urethane Alkyd B53 Seris

4. Wood Surfaces
A. Scrape to remove loose paint.
B. Lightly Sand and feather all jagged and peeling surfaces.
C. Spot prime bare areas with SW Exterior Latex Wood Primer B42 Series
D. Finish on wood doors shall be(1)coat of Resilience Exterior Latex Satin
STUCCO CRACK REPAIR
1. All hairline cracks(less than 1/16")are to be detailed with Sherwin Williams Elastomeric
Patching Compound textured brush grade. Bridge crack approximately 2"on both sides
and crown center directly over crack approximately 1/16"to allow for thermal
movement. Match existing stucco texture as close as possible.
2. All cracks greater than 1/16"are to be routed open to form"U"or"V"shape,dusted
clean,and packed with Sherwin Williams Elastomeric Patch. Apply a detailed coat of
smooth or textured brush grade patch over the repair. Bridge crack approximately 1/16"
to allow for thermal movement.Tool to approximate existing surrounding stucco.
Note: Remove any loose or spalling stucco adjacent to crack.Fifty(50)square feet of non-
structural stucco repair is included in the job.
CAULKING PERIMETERS OF DOORS AND WINDOWS
1. Remove all loose or failed open sealant
2. Solvent wipe all metal.
3. Apply complete and continuous bead of Loxon Urethane Sealant on the stucco to metal
perimeter of all doors and windows.

REQUIREMENTS OF THE JOB
ACCESS
4
All work on this contract will be conducted from the exterior of the building. The Contractor
shall clean up and restore all evidence of his operations,both inside and outside the building.
PARKING
The Contractor shall supply a mobile trailer to store paint,equipment and other materials. Owner
will assign parking spaces.
SECURITY
It will be necessary for the Contractor to register his personnel if it is necessary for them to enter
or leave the building.
CLEANLINESS
All areas of the ground,building,windows,parking areas,and patios shall be left clean of any
paint drippings and splatter. Plants,shrubbery,and trees shall be protected.
MANUFACTURER'S REPRESENTATIVE
All work shall be inspected and approved by the paint manufacturer's factory representative.The
Contractor shall provide a periodic written report from the factory representative for each of his
operations.
WINDOWS
If during the execution of the work,one of the employees breaks a window while performing his
duties,the Contractor shall replace the window glass promptly. Extreme care shall be taken while

removing any spattered paint from surface to avoid scratching.
ELECTRICITY AND WATER
Owner agrees to supply the Contractor with necessary electricity and water required to operate his
equipment and carry out the work.
SPECIFICATIONS
The intent of the Technical Specifications is to describe all required work,conditions of
performance,and materials for the building complex.

CONTRACTOR'S RESPONSIBILTIES
1. The CONTRACTOR agrees to maintain,at Contractor's sole and exclusive
expense,a liability insurance policy,both written by a carrier acceptable to Owner,
by separate certificate,in an amount not less than$1,000,000.00 for injuries,
including willful death,to any one person and subject to those same limits for each
person,in an amount not less than$1,000,000.00 for damages as a result of each
occurrence and property damage insurance in an amount not less than
$1,000,000.00 for damages on any one occurrence. Such policy shall specifically
protect the OWNER,its agents and employees,by making them an additional
insured,and shall not be modified or canceled without thirty(30)days written
notice to OWNER. CONTRACTOR shall furnish the requisite certificates showing
the OWNER as loss payee and certificate holder. A copy of the foregoing policy
and certificate shall be provided to OWNER prior to the commencement date and
any renewals for the same shall be provided to OWNER not less than thirty(30)
days prior to termination of the policy renewed thereby. All property located
within the property under the care,custody,control or operation of OWNER and
belonging to CONTRACTOR shall be at the sole and exclusive risk of
CONTRACTOR and OWNER shall not be liable in any way for any damage
thereto or theft or misappropriation thereof.Exemptions and subcontractors shall
not be allowed.
2. Contractor shall have a valid Painting License or General Contractors License.
3. The Contractor shall obtain all necessary permits. The cost of these permits is the
responsibility of the Owner and will be invoiced accordingly.
4. The Contractor shall pay all municipal and utility company fees(i.e.,closing off
sidewalks or de-energized power lines). These charges are solely the responsibility of
the Owner and will be invoiced to the Owner,if incurred.
5. The Contractor shall comply with all fire and OSHA safety regulations throughout the
project.
6. If the Owner's Representative feels that an unsafe condition exists,she/he has the right
to stop the job until the condition is corrected.
7. Contractor shall notify the Owner's Representative three days in advance of starting and
painting and/or pressure cleaning so that cars can be moved by unit owners/tenants.
8. Contractor will furnish a list of pre-existing conditions at the project. The list,covering t
items at each building,will protect the Contractor in the event that he is questioned
regarding conditions that were present prior to his starting the job. This Damage list
must be furnished to the Owner before pressure cleaning of each building.

9. Contractor shall use plywood under the hi-reaches at all times while these machines are
on the dirt or grass,with no exceptions.
10. Contractor shall take special care not to break roof tiles. If tiles are broken Contractor
shall make Owner aware of the number of broken tiles on each roof. Contractor shall
not be responsible for breakage.IF APPLICABLE
11. The Contractor,once having started work,shall continuously and expeditiously proceed
with its vigorous prosecution until completion.Emergency de-mobilization and re-
mobilization may be available at Contractors `Cost'.
12. All Ladders,etc. Shall be secured at the end of each work day.
13. ***These specifications are prepared assuming application of the same or similar
colors to existing finish. For transparent colors or color changes it is
recommended that one gallon of sealer and one gallon of finish color be applied to
see if proper hiding is achieved. If same or similar colors do not cover according to
specifications,an extra amount shall be paid to the contractor for the third coat.
This shall be established at the start of the project.
14. Contractor shall not be responsible for carpet cleaning upon completion of pressure
cleaning.
15. The Contractor and Material Manufacturer shall provide a warranty,respectively,as
follows.
PAINT WARRANTY—Sherwin Williams Duration Exterior Satin 10-year Warranty
All-Pro Painting&Waterproofing,Inc.the Contractor,and The Sherwin Williams Paint
Company—will warranty Sherwin Williams Resilience Exterior Latex Satin against chipping,
peeling or flaking,and excessive chalking as direct result of faulty workmanship and/or material
failure.Stucco and Masonry surfaces only.
Excluded from this warranty: Peeling,blistering,chalking,fading or loss of adhesion of
coatings and sealants resulting directly or indirectly from causes other than faulty
1 workmanship and/or material failure. Excessive heat or moisture,hail,floods,hurricanes,
windstorm,tornados and other Acts of God,mechanical or electrical damage,abrasion,
collision,environmental pollution,condensation or other moisture under or from within the
building surface,settling or movement of building structure,seepage or leakage through
undercoated areas of building causing delamination of the new system,or any damages
caused by water intrusion to the interior of the property,whether direct or indirect,
incidental,consequential,or otherwise.

SUBMITTALS
1. Color selection shall be made by appointed representatives.
2. Upon request by Owner,a sample of the final finish shall be prepared on the job utilizing
existing wall surfaces before job is started.
DELIVERY,STORAGE,AND HANDLING
1. Contractor shall have all materials delivered to job site in unbroken containers bearing
manufacturer's brand,product name and number,plus color designated.
2. Contractor shall store materials and equipment at site in properly ventilated and secured
areas assigned for this purpose by Owner/Building Manager. All receiving shall be done
in this location.
3. Contractor shall comply with manufacturer's recommendations as to environmental
Conditions under which material can be applied.
4. Contractor shall repair or cause to be repaired any surfaces damaged by operations.
OWNER'S RESPONSIBILITIES
1. ***Owner or Association is to cut back shrubbery to permit workmen free and adequate
access to areas to be painted. Contractor to point out any areas of concern to
OWNER or Association prior to beginning work
2. *** Owner shall have cars moved according to schedules so that Contractor is not
delayed during painting project.Contractor to point out any areas of concern to
OWNER or Association prior to beginning work
3. ***Owner shall be responsible for removing and replacing all items from screened
balconies and/or patios so items are not damaged. Any item damaged because it was not
removed shall not be the responsibility of the Contractor.Contractor to point out any
areas of concern to OWNER or Association prior to beginning work
4. ***Owner or Association is responsible for all permits,plans,drawings&engineering
fees.
5. Owner is to be responsible for the removal of cars on building grounds with
advance notice of two(2)days to prevent possible paint spattering from scaffold or
workmen on ladders.IF APPLICABLE
6. Owner shall supply electrical service for equipment and water for building cleaning and
clean-up. Owner shall supply electricity and water at no cost to the contractor.

7. Owner shall remove and replace all screens as necessary. Owner shall be responsible for
leaving or removing window screens during the painting process.
TIMELY COMPLETION
The work to be performed under this contract shall be commenced ,20 ,and
Subject to authorization adjustments,shall be completed no later than ,20
Contractor agrees to commence the work when directed by Owner and diligently and
continuously perform such work and to coordinate the work with other work being performed on
the project by other trades,so that the Owner shall not be delayed by any act or omission of
Contractor in completion of the project within the time specified above. However,storms,fires,
loss of access,unavailability of material,or other incidents beyond the Contractors control which
will affect the end date is without penalty to the Contractor. If a civil emergency is declared
requiring de-mobilization,the Owner will reimburse contractor for a 21 delivery and pick up
expense of Hi-Reach, Swing Stage or other equipment if such equipment needs to be re-ordered.
Contractor shall make payments to his vendors' contractor and for materials used by him in the
performance of his work.
CONTRACT PAYMENTS
The schedule of payments called for under the terms of the contract is attached hereto and
incorporated herein as Exhibit"A". Upon completion by Contractor of any stage of work
requiring payment under this contract,all work will be inspected by Owner or representative
selected by the Owner to supervise said project.

Each area is to be inspected with Owner prior to payment. The final payment is to be paid when
warranty documents or written confirmation from the manufacturer that a warranty is forthcoming
has been delivered to the Owner.

Any objections to work performed shall be given in writing to the Contractor within ten(10)
days of the Contractor's written notice to Owner that the work on said building has been
completed. If no objections are made within this period,then payment shall be tendered
to Contractor and Contractor shall submit simultaneously a progress payment affidavit,
partial release of liens,or,if completion is final, a Contractor's final affidavit, on forms
which the Owner may provide,indicating that all subcontractors,laborers,material men,
and suppliers have been paid for the work completed.
All work under this contract shall be subject to the approval of the Owner. In the event of
dispute arising between Owner and Contractor under this provision,the parties shall
agree upon and appoint a third-party expert to determine whether or not the work meets
the specifications set out in contract and has been performed in a good and workmanlike
manner. If the work meets all said specifications, Owner shall make payment due,
Whereas,if the specifications are not met,al work necessary to meet the specifications
shall be done by Contractor to the satisfaction of the third-party expert before payment is
due under the contract agreement,or Owner may exercise such rights as provided herein.
All costs associated with the retaining of the third-party expert shall be divided equally
between the Owner and the Contractor.
MISCELLANEOUS
NO assignment by a party hereto of any rights under or interests in the Contract Documents will
be binding on another party hereto without the written consent of the party to be bound:and
specifically but without limitation,moneys that may become due and moneys that are due may
not be assigned without such consent(except to the extent that the effect of this restriction may be
limited by law),and unless specifically stated to the contrary in any written consent to an
assignment no assignment will release or discharge the assignor from any duty or responsibility
under the Contract Documents.
OWNER and CONTRACTOR each binds itself,its partner,successors.Assigns legal
representatives to the other party hereto,its partners,successors and legal representative in
respect to all covenants,agreements and obligations contained in the Contract Documents.
Any provisions or part of the Contract Documents held to be void or unenforceable under any
Law or regulation shall be deemed stricken,and all remaining provisions shall continue to be
valid and binding upon OWNER and CONTRACTOR,who agree that the Contract Documents
shall be reformed to replace such stricken provisions or part thereof with a valid and enforceable
provision that comes as close as possible to expressing the intension of the stricken provision.

All notices,demands,consents,approvals,elections or other communications permitted or
required to be given hereunder(a notice or notices)shall be in writing and shall be deemed
given five days following its deposit with the U.S.Mail or other forms of express delivery
service,or upon actual receipt,whichever is earlier,Notices shall be addressed as follows: (a)

In any proceeding which the OWNER or CONTRACTOR may prosecute to enforce its rights
hereunder,the unsuccessful party shall pay all costs incurred by the prevailing party to prosecute

This Agreement shall be constructed and enforced in accordance with the laws of the state of
Florida. The venue for any legal proceedings arising out of this Agreement shall be Broward

dealing with any concerns we had.He had to also deal with our city which
wasn't clear on their requirements after going to the ourselves and Dino
also going to them to find out the requirements. Like any work done,it's
important for you to look over and be happy with the job and Dino walked
the job several times with us to insure a job well done and again address
any of our concerns.We appreciate All Pro's hard work and job well done.

EXCELLENT EXCELLENT EXCELLENT! From my initial meeting with
the owner, Deno,I knew I would be well taken care of.He understood all
that I needed done and assured me that his company could handle the job
with ease. What I particulazly liked was that_his v_ctam dnnll rl�
work necessary-they pressure cleaned the roof,back patio,the driveway,
and the house. Then they painted the complete exterior of the house along
with several areas inside. I had several other quotes but most were not able
to handle the entire job or if they could they wanted a lot more money. The
entire job was handled so easily and professionally.They showed up exactly
when arranged for and continued each day until the work was completed.
Each worker was more than prompt,usually arriving before 8 and working a
full day. The workers were so nice and left the job-site spotless each day. As
well,the owner came to check on the job several times.And the result--our
house looks beautiful both inside and out. I would highly recommend All
Pro painting!

GENERAL CONDITIONS
1 - No other agreement or representations, unless incorporated in this
f w Agreement, shall be binding upon any of the parties. Oral agreements must
be written and attached to the existing contract to be binding. Any
additional work shall require a separate contract or approved change order.
2- The Contractor agrees to substantially complete all of the above work
within 25 working days from date of commencement, weather
permitting. The Contractor agrees to perform and the Owner agrees to pay
for same, based on the following considerations,free of any additional cost,
for the above outlined work.
' 3- The Total Contract Price is effective as of the above date and shall remain
so for 90 days; after such time this price is subject to adjustment.
4- If completion date of this project is prior to stated Contractor's completion
date,balance of the monies due shall be payable at that time. If any litiga-
tion arises due to non payment. Star Painting &Waterproofing, Inc. will not
be held responsible for any attorney fees for the collection of their monies
and will hold the association or its representative of the contract liable for
all collection fees, attorney , court fees if deemed necessary.
s 5- The Contractor shall not be held responsible for loss time due to Mother
Nature and delays caused by other crafts/contractors, and any other
causes deemed beyond his scope and control.
6- Any repairs required by owner to completed work for damages caused by
other crafts/contractors will be done at a rate of$50.00 per hour.
7- Any work that the owner/representative is not satisfied with shall be made
known to Contractor within 48 hours by Certified Mail.
8- The contract does not include structural repairs except as stated in the
` scope of work or the addendums.

j 9- This bid is based upon conditions as can be readily observed, any unfore-
seen conditions revealed by the cleaning process are not included in the
original contract. We therefore reserve the right to bring to the owners at-
tention any such revealed condition and the cost of correcting same.
Please note that some revealed conditions may require an engineers eval-
uation for the extent of damage and the best procedures to use for correct-
ing the defects.

1. It is understood that the Contractor shall not be held responsible for any damage to the interior of the
building(s)or its contents. Provisions shall be made to protect the building property from damage,
and public against hazard or injury. The Contractor assumes no real or implied responsibilities for

2. The owner shall arrange for removal of all personal property from terraces, balconies and areas

3. The Owner shall arrange to keep all vehicles from working areas so as to safeguard against possible
damage to same.

5. The Owner shall provide electrical power and water without charge to the

6. Windows shall be scraped of excess paint drippings and splatters. The Contractor shall not
be responsible for scratched glass, but any glass broken by painters will be replaced by the
Contractor at his expense.
7. Under no circumstance may the owner hire any of the contractor labor.

8. Any work performed by anyone other than the contractors will deem our warranty to be null and
void.

9. The Contractor will provide all protective measures required to meet the codes of DADE, BROWARD
or PALM BEACH COUNTY, FLA.and other governmental agencies having jurisdiction over this
project.
10.The Contractor shall submit statement of insurance coverage and agrees to keep said insurance in
force for duration of this project.
11. Unless otherwise requested by the owner, all necessary permits shall be pulled by the owner. If the
owner prefers that the permits be pulled by Star Painting&Waterproofing, Inc. the cost of the permit/
s plus a$350.00 transaction fee for each permit will be added to the contract price.

STAR PAINTING &WATERPROOFING, INC. guarantees per manufacturers warranty that the coatings
applied on exterior stucco walls will not blister or peel for a period of TEN YEARS . Should peeling or
blistering occur during that 10 year period on exterior stucco walls, and if it is determined that the
problem was caused by defective manufacturer,the Contractor will provide labor to the cost of the manu-
J I facturer. The Contractor is not responsible for damage caused by acts of Mother Nature, abuse,fire,
_u.<..- j hurricanes, structural defects, or other conditions, not attributable to faulty materials or workmanship.
The aforementioned warranties shall be in effect from the date of completion of this project, providing that
the contract is paid in full.Any payment that shall become due and payable under this agreement and
