Home My WebLink AboutR-2019-152 City Authorizing the expenditure of funds by Public Svcs Dept. & various departments to purchase accessories & parts from Advance Auto Parts utilizing City of Charlotte, NC amended contrac RESOLUTION NO. 2019-152 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE EXPENDITURE OF FUNDS BY THE PUBLIC SERVICES DEPARTMENT AND VARIOUS DEPARTMENTS TO PURCHASE ACCESSORIES AND PARTS FROM ADVANCE AUTO PARTS UTILIZING THE CITY OF CHARLOTTE, NORTH CAROLINA AMENDED CONTRACT NO. 2017000280-5 THROUGH THE TERM OF THE CONTRACT AND TO EXCEED AN ANNUAL VENDOR TOTAL AMOUNT OF TWENTY FIVE THOUSAND DOLLARS ($25,000.00); AUTHORIZING SUCH PURCHASES TO BE MADE WITHIN THE RESPECTIVE CITY DEPARTMENTS' APPROVED ANNUAL BUDGET APPROPRIATIONS; AUTHORIZING THE PROPER CITY OFFICIALS TO WAIVE COMPETITIVE BIDDING REQUIREMENTS AND AUTHORIZE CITY OFFICIALS TO PROCEED WITHOUT ADVERTISEMENT FOR BIDS; PROVIDING FOR CONFLICTS FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the Charter of the City of Dania Beach, Part III, Article 3, Section 4, Subsection 0), authorizes the City Manager to purchase supplies, services, equipment and materials for the City government in amounts in excess of the established monetary threshold without competitive bidding and without advertisement for bids if she is authorized to do so in advance by a resolution adopted by the City Commission; and WHEREAS, the Dania Beach Code of Ordinances, Chapter 2, Article 1, Section 2-10, "Monetary thresholds for certain purchases and payment disbursement authorizations", Subsection (a), sets the monetary threshold at Twenty Five Thousand Dollars ($25,000.00) for a vendor each fiscal year; and WHEREAS, the Public Services Department is requesting City Commission approval to purchase accessories and parts from Advance Auto Parts during Fiscal Year 2019-2020, which may exceed the annual vendor amount of Twenty Five Thousand Dollars ($25,000.00) which is the threshold for a single vendor and therefore City Commission approval is required; and WHEREAS, the Public Services Department has determined that such purchases can be obtained at the least cost to the City by utilizing pricing from the City of Charlotte, North Carolina"Automotive Parts, Accessories, Related Products and Services" Amended Contract No. 2017000280-5, which is attached as Exhibit "A", January 1, 2017 through December 31, 2021; and WHEREAS, the Public Services Department and other affected City Departments are seeking approval to exceed Twenty Five Thousand ($25,000.00) for any necessary future parts and accessories for the term of the contract provided funding is available and appropriated for each budget year; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH,FLORIDA: Section 1. That the above "Whereas" clauses are ratified and confirmed, and they are made a part of and incorporated into this Resolution by this reference. Section 2. That the City Commission authorizes and ratifies the purchase of parts and accessories from Advance Auto Parts in an amount exceeding the annual amount of Twenty Five Thousand Dollars ($25,000.00)purchase threshold for a single vendor. Section 3. That all Department Purchases from Advance Auto Parts shall be subject to and made from Construction/Maintenance Account No. 001-39-02-539-52-20 approved annual appropriations and in accordance with the City of Dania Beach Purchasing Policy. Section 4. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 5. Statement of Background and Intent A. The City of Charlotte and the Company entered into an Agreement dated January 1, 2017 (the "Contract") pursuant to which the Company agreed to provide Automotive Parts and Accessories and Related Products and Services for the City of Charlotte. B. The City and the Company agreed to amend the original Contract with the First Amendment dated January 1, 2018 to Incorporate price adjustments. C. The City and the Company agreed'to amend the original Contract with the Second Amendment dated February 1, 2018 to jncorporate alternate sourcing systems with margin percentage above actual costto Company. D. The City and the Company agreed to amend the original Contract with the Third Amendment dated September 1, 2018 to incorporate federal contract terms and conditions. E. The City and the Company agreed to amend the original Contract with the Fourth Amendment dated January 1, 2019 to incorporate unit price adjustments due to aluminum and steel tariffs and crude oil prices increases. F. The parties now desire to amend the Contract to make adjustments to unit pricing and to incorporate certain other changes. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereby agree to the following: AGREEMENT 1. The terms of the Contract are restated by and incorporated into this Second Amendment by reference. 2. Defined terms used in this Third Amendment shall have the same meaning as are assigned to such terms in the Contract. 3. This Fifth Amendment renews the contract for the first of two, two-year terms to expire on December 31, 2021. 4. This Fifth Amendment incorporates unit price adjustments due to aluminum and steel tariffs and crude oil price increases. The aggregate increase of 4.58 percent (4.58%) as specified in Exhibit A shall become effective on January 1, 2020. 5. Except to the extent specifically provided above, this amendment shall not be interpreted or construed as waiving any rights, obligations, remedies, or claims the parties may otherwise have under the Contract.
