Accepting a Conveyance of Utility Improvements Known as ''Dania Pointe Lift Station No. 2'' by Means of a Quit Claim Deed and Absolute Bill of Sale, from Dania Live 1748, LLC RESOLUTION NO. 2020-070 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, ACCEPTING A CONVEYANCE OF UTILITY IMPROVEMENTS KNOWN AS "DANIA POINTE LIFT STATION NO. 2" BY MEANS OF A QUIT CLAIM DEED AND ABSOLUTE BILL OF SALE, FROM DANIA LIVE 1748, LLC, A DELAWARE LIMITED LIABILITY COMPANY; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Dania Live 1748, LLC ("Grantor") owns and operates certain utility improvements within the area of the Dania Pointe Project, known as the Dania Pointe Lift Station No. 2 (the "Lift Station) and appurtenances to it comprising certain wastewater collection and transmission facilities (the Facilities) located in the City of Dania Beach, Florida (the "City"); and WHEREAS, the Lift Station and the Facilities currently provide wastewater collection and transmission services to private properties located in the area, including the properties identified on the attached Exhibit"A" (the Serviced Properties");and WHEREAS, the City has determined that it is in the best interest of its citizens and residents for the City to own and operate the Lift Station and the Facilities as part of the City's wastewater collection and transmission system; and WHEREAS, upon the adoption of this Resolution, the City and the Grantor will enter into an Agreement to Convey the Sewer Lift Station, pursuant to which Grantor will convey by Quit Claim Deed its interest in the Lift Station, and the property upon which it is located, and execute an Absolute Bill of Sale for the Lift Station and wastewater collection and transmission appurtenances in favor of the City; and WHEREAS, Grantor will grant such necessary access easements to the City through its property connecting the Lift Station and Facilities to the wastewater facilities of the Serviced Properties; and WHEREAS, upon the conveyance of the Lift Station, the sale of the Facilities and grant of the access easements described in the Resolution and execution of the necessary documents referred to below, the City will provide access and connection to the Serviced Properties for transmission of wastewater through the Facilities and Lift Station; and WHEREAS, upon conveyance of the Lift Station and the Facilities, the City will be assume financial and operational responsibility for all future monitoring, maintenance, and repairs; NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the foregoing recitals are true and correct and by this reference are incorporated into and form a material part of this Resolution. Section 2. That the proper City Officials are authorized to accept ownership of the Lift Station, by means of a Quit Claim Deed and Absolute Bill of Sale for all Facilities associated within the Lift Station, to be conveyed to the City by the Grantor, a Delaware limited liability company; a copy of the Quit Claim Deed is attached as Exhibit `B" and copy of the Absolute Bill of Sale is attached as Exhibit"C" and they both made a part of this Resolution. Section 3. The City Manager and City Attorney are authorized to make minor revisions to Exhibits "A", "B", and "C" and related documents as may be deemed necessary and proper for the best interest of the City and proper City Officials are authorized to do all things necessary and expedient in order to carry out the intensions of this Resolution. Section 4. That the Quit Claim Deed and necessary access easements shall be recorded in the Public Records of Broward County, Florida; the cost of recording shall be paid by Grantor and the actual recording shall be performed by the City. Section 5. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to the extent of such conflict. Section 6. Dania Beach Boulevard, Dania Beach,Florida 33004. RECITALS: Grantor is the owner of certain real property located in Broward County, Florida as more particularly described on Exhibit"A" ("Property'). Grantor has previously installed potable water, sanitary sewer, and wastewater drainage infrastructure on the Property ("Infrastructure"), ownership of which will be transferred to City, in whole or in part. In order for City to construct, install, inspect, maintain,repair, replace, remove, and operate the Infrastructure, City needs to acquire a permanent, non-exclusive utility easement, and rights of ingress, egress and access under,over,upon,and across the Property. Grantor has full power and authority to enter into this Agreement and to grant an easement to the City over that real property located in the City, more particularly described on Exhibit `B", attached hereto and incorporated herein("Easement Area"). Grantor is willing to grant to the City an easement under, over, across and through a portion of the Property for the purpose of constructing, installing, inspecting, maintaining, repairing, replacing, removing,and operating the Infrastructure,together with rights of ingress and egress,subject to the terms and conditions of this Agreement. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged by the parties,Grantor and City agree as follows: 1. Recitals. The parties acknowledge that the foregoing recitals are true and correct and hereby incorporated into this Easement as if fully set forth herein. 2. Grant of Easement. Grantor hereby grants and conveys to City and its employees, agents,contractors,successors and assigns,a perpetual non-exclusive easement("Easement')over,upon, 1 44382702_1 across, and under the Easement Area for the purpose of constructing,installing,inspecting,maintaining, repairing,replacing,removing,and operating the Infrastructure,as well as for ingress and egress,with full right and authority to enter upon and excavate the Easement Area in order to construct, install, inspect, maintain, repair, replace, remove, and operate the Infrastructure as the City may, in its sole discretion, determine. Grantor also grants City a license to temporarily locate its equipment on any portion of the Property mutually agreed upon by Grantor and City adjoining the Easement Area as may be necessary to perform the foregoing. 3. Improvements and Restoration. In the event City exercises its rights as set forth in Section 2 hereof, City shall, subject to the work described in Section 2, restore the Property and any improvements thereon to their prior existing condition at no cost or expense to Grantor unless such restoration is required due to the acts or omissions of Grantor. In exercising its rights hereunder, City shall use reasonable efforts to minimize any impacts to Grantor's ongoing activities on the Property. At no time will the City's activities on the Property interfere with ingress or egress to and from the Property by patrons,employees and invitees. 4. Representations. Grantor represents to the City that (a) Grantor has full power and authority to enter into this Agreement and to grant the Easement to City; and (b) all company approvals, authorizations and consents required for the execution and delivery of this Agreement by the Grantor have been obtained. 5. Covenants Running with the Land. This Agreement and the Easement hereby granted will run with the land and will be binding upon and inure to the benefit of the parties and their respective successors and assigns. 6. Attorneys' Fees. In the event a party institutes any legal action or proceedings for the enforcement of any right or obligation herein contained,the prevailing party will be entitled to recover its costs and reasonable attorneys' fees incurred in the preparation and prosecution of such action or proceeding. 7. Amendment or Termination. This Agreement may be amended,modified or terminated only by a written instrument signed by both parties or their respective successors and assigns, which instrument will only become effective when recorded in the Public Records of Broward County,Florida. g. Governing Laws. The laws of the State of Florida shall govern the interpretation, validity,performance and enforcement of this Easement. Venue for any action brought hereunder shall be brought exclusively in Broward County,Florida. 9. Successors and Assigns. This Agreement will be binding upon the successors and assigns of Grantor and the City.
