HomeMy WebLinkAboutR-2022-047 Jeff Ellis Management First Amendment to Agreement to Provide for Month to Month Aquatic ServicesRESOLUTION NO.2022-047 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE A FIRST AMENDMENT TO THE AGREEMENT EXISTING BETWEEN THE CITY AND JEFF ELLIS MANAGEMENT, LLC, PROVIDING FOR A MONTH TO MONTH SERVICE AGREEMENT FOR LIFEGUARD, OPERATION, AND MAINTENANCE SERVICES AT C.W. THOMAS PARK POOL AND P.J. MELI AQUATIC COMPLEX, UNDER THE SAME PRICING, TERMS, AND CONDITIONS AS PROVIDED UNDER THE EXISTING AGREEMENT; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, City officials executed an aquatic management service agreement with Jeff Ellis Management, LLC., for the provision of providing aquatic management services at P.J. Meli Aquatic Complex and Park on February 26, 2019; and WHEREAS, the initial Agreement provided for a one (1) two (2) year renewal period for the requested services, subject to the approval of the City and Jeff Ellis Management, LLC; and WHEREAS, the Parks and Recreation Department Director and staff met with the current Contractor who advised that in order to exercise the available two-year Renewal, prices would need to be increased by One Hundred Thousand Dollars ($100,000.00) annually; and WHEREAS, staff advised the Contractor that the increase would not be possible, and the City of Dania Beach is currently in the process of issuing a new Request for Proposal (RFP) for Aquatic Services; and WHEREAS, in the interim, the City requires continuing aquatic services and both parties agree to continue the existing services on a month -to -month basis for One Hundred Twenty (120) days, expiring on June 8, 2022, under the same terms and conditions of the existing agreement until such time as a new contract can be awarded; and WHEREAS, the current monthly cost of approximately Twenty -Six Thousand Seven Hundred Eighty -Seven Dollars ($26,787.00) exceeds the Twenty -Five Thousand Dollar ($25,000.00) annual vendor threshold for a single vendor requiring City Commission approval; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section 1. That the foregoing "WHEREAS" clauses are ratified and confirmed as being true and correct, and they are made a specific part of and incorporated into this Resolution by this reference. Section 2. That the proper City officials are authorized to execute a First Amendment to the existing Agreement for month -to -month aquatic services with Jeff Ellis Management, LLC., at the same pricing, terms, and conditions until such time as the City awards a new contract, and further authorizes the City to exceed the annual vendor threshold of Twenty -Five Thousand Dollars ($25,000.00). Section 3. That the City Manager and City Attorney are authorized to make minor revisions to the First Amendment to the Agreement which are deemed necessary and proper and in the best interests of the City. Section 4. That the cost of aquatic services for Fiscal Year 2021-2022 is planned and appropriated by the City Commission in the General Fund Recreation Contractual Services Account 001-72-06-572-34-10. Section 5. That all resolutions or parts of resolutions in conflict with this Resolution are repealed to such extent of such conflict. Section 6.
