HomeMy WebLinkAboutR-2022-174 Centurion Security Group, LLC First Amendment and Renewal to Agreement for Security Patrol Services RESOLUTION NO. 2022-174 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA, AUTHORIZING THE PROPER CITY OFFICIALS TO EXECUTE THE FIRST AMENDMENT AND RENEWAL TO THE AGREEMENT BETWEEN THE CITY OF DANIA BEACH, FLORIDA, AND CENTURION SECURITY GROUP, LLC, FOR SERVICES RELATED TO SECURITY PATROL SERVICES AS DESCRIBED WITHIN THE CITY OF DANIA BEACH REQUEST FOR PROPOSALS ("RFP") NO. 21-018, AUTHORIZING A $4.81 INCREASE IN THE HOURLY RATE FOR ARMED GUARD SERVICES; PROVIDING FOR CONFLICTS; FURTHER, AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, Centurion Security Group, LLC was the successful bidder to ITB No. 21- 018 for Security Guard Services; and WHEREAS, on December 8, 2021, the parties executed an Agreement for Security Guard Services for a term of one (1) year and City's sole option to renew for two (2) 2-year terms starting December 8, 2022, through December 7, 2026, and the City decided to renew the contract with the price increase; and WHEREAS, on or about October 17, 2022, the Contractor reached out to the Public Services Department to request an hourly rate increase for armed guard services from $20.07 to $24.88, which is a $4.81 increase to the hourly rate for armed security services (a 24 percent increase); and WHEREAS, Contractor's concern was to retain competent certified guards in the current marketplace, particularly, as Broward County recently issued its updated Living Wage Ordinance, which increased the prices paid from $14.00-$15.00 per hour to $17.00-$18.00 per hour; and WHEREAS, Contractor has completed a study of its services and the services of neighboring communities and determined that it provides patrolling supervisors 24 hours a day, seven days a week to its clients, at no cost, and that the value of such a position is between $19.00-$23.00 per hour in neighboring communities; and WHEREAS, the 24 percent increase would allow the Contractor to ensure to retain quality security officers by making their hourly rates more competitive; and WHEREAS, the City has studied the community and has confirmed that hourly rates for armed security services have risen, and as the City is very satisfied with the Contractor's services, and as going out for bid after only a year would open pandora's box of unknown possible costs and increases in pricing due to inflation, due to the increase in the Broward County Living Wage, and other factors; and WHEREAS,provided Contractor agrees to provide proof that the funds are being passed through to the armed guards assigned to the City, the City is willing to amend the underlying Agreement to increase the hourly rate of armed guard services so as to ensure that the Contractor can retain its qualified guards; and WHEREAS, failure to provide said proof to the City would be considered a material breach of the underlying Agreement,that could lead to "for cause"termination; and WHEREAS, based upon the foregoing, the City Administration supports the First Amendment to the underlying security services Agreement; NOW, THEREFORE,BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH,FLORIDA: Section 1. That the proper City officials are authorized to accept and execute the first amendment to the agreement between the City of Dania Beach, Florida, and Centurion Security Group, LLC, for services related to security patrol services as described within the City of Dania Beach Request for Proposals ("RFP")No. 21-018, authorizing a$4.81 increase in the hourly rate for armed guard services. Section 2. That annual cost of the contract is $703,992.96, which includes the cost of golf carts at $3,600.00 annually. Exhibit B, Tab 5, entitled "Cost Pricing Proposal" at "Armed Officers" at the second bullet shall be modified as follows: "Hourly Rate $20.07 (Twenty Dollars & Seven Cents) x 434 weekly hours — $8,710.38 (Eight Thousand, Seven Hundred and Ten Dollars and Thirty Eight Gents)" shall be stricken and replaced with "Hourly Rate $24.88 (Twenty Four Dollars and Eighty-Eight Cents) x 434 weekly hours= $10,797.92 (Ten Thousand Seven Hundred Ninety Seven Dollars and Ninety- Two Cents)." (2) The above modification to the underlying agreement is conditioned upon Contractor agreeing and covenanting to the following: (a) The City shall be entitled to request and receive from Contractor, upon five days prior written notice, proof of the payroll to the Contractor's employees assigned to the City for services rendered the prior pay period. This request for payroll information is to ensure that the hour rate increase requested above is being used for the purpose for which the request was made, to wit: to confirm that the funds are indeed being passed through to the assigned employees and that the funds are being used for the purposes indicated in your request. (b) Failure to provide the requested payroll information in a timely manner to the City shall result in a Contractor default of the underlying Agreement and the City shall be entitled to treat the default as a material default of the Agreement and the City shall be entitled to terminate the agreement for cause pursuant to Sections 22 and 24 of the ITB, attached to the underlying Agreement as Exhibit A. (3) That this Amendment shall take effect December 1, 2022. (4) The Agreement shall be for a three (3)year period, with two, one-year options to renew.
