AUTHORIZING THE ASSIGNMENT OF AGREEMENTS PURSUANT TO CITY RESOLUTION NO. 202I.177 FOR PROFESSIONAL AUDITING SERVICES FROM KEEFE MCCULLOUGH TO CITRIN COOPERMAN & COMPANY. LLP AND AUTHOzuZING EXECUTION OF A LETTER OF ASSIGNMENT; PROVIDING FOR CONFLICTS; FURTHER, PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on November 9, 2021, the City adopted Resolution No. 2021-177 authorizing the execution ol an agreement with Keefe McCullough (KMC) for the audit of fiscal years 2021 through 2025. with three (3) optional one year renewal terms; and WHEREAS, effective February 1,2024, Citrin Cooperman & Company, LLP (Citrin) acquired the attest assets of KMC, which includes the City's audit engagement agreement and related services; and WHEREAS, the City Administration recommends that the City Commission authorize assignment of the City's agreement with KMC to Citrin. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF DANIA BEACH, FLORIDA: Section l. That the lbregoing "Whereas" clauses are ratified and confirmed to be true and correct, and they are made a part ofand are incorporated into this Resolution by this reterence. Section 2. That the City Commission authorizes the assignment of the agreement for professional auditing services from KMC to Citrin and authorizes the proper City officials to execute a Letter of Assignment, which Letter is attached as Exhibit "A", and has been made a part of and incorporated into this Resolution by this reference. Section 3. That there is no budgetary impact caused by the assignment of agreement to Citrin. Section ,1. That all resolutions or parts of resolutions in conflict with this Resolution shall be repealed to the extent of such conflict. Section 5.
