We recommend using Stamoid Top double-coated vinyl with a smooth underside to prevent damage to underlying surfaces from abrasion. We use PTFE UV resistant long-life thread which never needs re-stitching. All seams have a chafe barrier to protect underlying surfaces and taped seams to deter leaking at stitching. All points of stress - at battens - are double-fabric reinforced. Zippers are covered against UV damage and have an inner protective flap to prevent damage to the furniture. Vents at ends to prevent interior condensation in humid conditions. Clearly labeled for EZ identification. CAD patterns are assigned to the yacht and are saved indefinitely for future duplication. Deposit of 50% of your order with 100% of all fabric and Special-Order parts is required for work to commence. Large projects require a Progress Payment of 25% due at substantial completion of manufacture. Payment in full is due at delivery or installation upon complete inspection and sign-off. Buyer Assumes all costs of collection, including attorneys fees, on past due invoices. Invoices over 14 days will incur a finance charge of 1.5% per month Scheduling and Delivery: Delays in Fabric Selection will remove order from the production schedule. Production coordinator must be notified if areas are not available to the field service team when on-board work is scheduled. Eclipse cannot be responsible for delays due to weather, and buyer or supplier issues. CHANGES IN THE WORK: If physical changes are made to the Vessel after Eclipse has completed the digitization of an area, or if there are changes in the specifications of the work to be performed based on that digitization, Eclipse will invoice for those additional man- hours incurred above and beyond the original attached proposal via a Change Order. TIME: Once the deposit is received, both parties recognize that conditions not reasonably anticipated and beyond Eclipse’s control may justify an extension of time for completion. Such conditions, including but not limited to, abnormal adverse weather, acts of God, “force majeure”, delays in receipt of materials, or delays in receipt of design specifications from third parties retained by the Purchaser, shall cause the Contract Time to be extended by Change Order. Time extensions will not be approved unless formally submitted in writing for approval. Approval of extensions of time will not be unreasonably withheld. Purchaser recognizes and specifically acknowledges the term “no damage for delay” upon execution of this Contract. Other Charges: Shipping charges to deliver out of the area will be invoiced. Scheduled Trips: Re-scheduling by the Field Service team due to planned areas not available will incur a trip charge. All non-check/EFT payment methods will be charged a 3.5% fee for processing. CORRECTION OF WORK: Eclipse shall promptly correct Work rejected by the Vessel's representative for failing to conform to the requirements of the Contract Documents, whether discovered before or after Substantial Completion and whether or not fabricated, installed or completed. During the one-year period for correction of Work, if the Purchaser fails to notify Eclipse and give Eclipse an opportunity to make the correction, the Purchaser waives the rights to require correction by Eclipse and to make a claim for breach of warranty. WARRANTY: Eclipse warrants to the Vessel that the workmanship and specifications will meet or exceed yacht industry standards for one-year after substantial completion. Pattern Library: All of your digitized patterns made at this time will be stored in our CAD pattern file library. Lost or damaged cushions and covers can be easily replaced using the unique item number located on the label of each piece. Your APPROVAL and a DEPOSIT is required to begin our work.
