Dania Beach Blvd., Dania Beach, FL 33004 and ("Provider") Miami New Times with its principal ofces located at 3050 Biscayne Blvd Suite 901, Miami, FL 33137 each a party. Client hereby purchases from Provider and Provider shall provide the services identied below at the rates indicated. PAY MENT DETAILS If Client pays by credit card, by executing this Agreement, Client authorizes Provider and its third-par ty payment processor(s) to charge Client’s credit card for the price of products and services ordered by Client pursuant to this Agreement, and for any other related costs and fees, plus any applicable taxes. Client’s authorization is for both non-recurring and recurring amounts. Client acknowledges and agrees that it must maintain a valid credit card on le with Provider, or provide another advance payment method, including ACH or check, as approved by Provider in writing. Client further acknowledges and agrees that Client may terminate this Agreement as to the specic services ordered above only in accordance with the applicable terms and conditions of this Agreement. If you have selected a payment method of "Credit Card", Cardholder acknowledges receipt of goods and/or services in the amount of the total shown herein and agrees to perform the obligations set forth in the Cardholder’s agreement with the issuer. The term of this Agreement shall commence on the Start Date and shall continue for the Initial Term indicated above, with the term for each purchased service corresponding to the contracted quantity of such service above. Certain services automatically continue after expiration of the purchased service quantity as described in the applicable Standard Terms and Conditions for such service as referenced below, until terminated by either Party as described in such applicable Standard Terms and Conditions (for example, digital agency marketing services continue on a month to month basis after the initial purchased quantity, until terminated by either Party as described in the Digital Agency Marketing Services Standard Terms and Conditions). Upon expiration of the contracted term for specic purchased services, such services under this Agreement will be concluded, and any fees, costs and expenses for such services under this Agreement, and all costs and expenses incurred by Provider related to such services, through the effective date of expiration will be due and payable by Client upon presentation of an invoice by Provider. 2. This Agreement shall be governed by the laws of Florida. Any dispute arising under or related to this Agreement initiated by Client shall be initiated exclusively in a federal or state court located in Miami-Dade County in Florida. Any dispute arising under or related to this Agreement initiated by Provider may be initiated in any court of competent jurisdiction. 3. This Agreement includes the Master Terms and Conditions, and the Standard Terms and Conditions for the products and services ordered by Client under this Agreement as referenced in such Master Terms and Conditions. In the event of any conict between the terms and conditions of this Agreement, the Standard Terms and Conditions shall control over the Master Terms and Conditions, which shall each, as applicable, control over the other provisions of this Agreement.. This Agreement constitutes the entire agreement between the Parties, and no verbal agreements or representations, changing or supplementing in any manner this Agreement shall be deemed effective. The terms and conditions of this Agreement (including the Master Terms and Conditions and the Standard Terms and Conditions for the products and services ordered by Client ), are subject to periodic review and update by Provider in its sole discretion, which updates shall become effective as of the date posted, published or otherwise indicated by Provider Additionally, but without limiting the foregoing, this Agreement may also be modied by the Parties in a writing agreed to by both Parties (including, without limitation, by acknowledged emails). 4. If a guarantor also signs the Agreement in addition to Client, such guarantor acknowledges and agrees that by executing the Agreement, guarantor shall be jointly and severally liable with Client for all obligations hereunder, including payment of any amounts due hereunder. 5. If this Agreement is signed by an advertising agency or other agent for Client, said agency/agent represents and warrants that it is authorized to sign this Agreement and any related agreements on behalf of Client and bind such Client to this Agreement and any decisions made by Agency in connection with the services hereunder. It is further understood and agreed that the Client is liable for all payment and other obligations under this Agreement and any related agreements jointly and severally with the agency/agent. For purposes of this Agreement, references to “Client” shall also be deemed to include such agency. 6. The undersigned represents and warrants that the undersigned is authorized to execute and enter into this Agreement on behalf of Client.
